Local Capacity Building. (a) Rural Development Community Strengthening, including: (i) training and organization of Beneficiaries for participation in Part 3 of the Project; (ii) carrying out of field visits demonstrating interaction of various watershed activities and the natural resource base; (iii) capacity building of Beneficiaries in identification, implementation, maintenance and monitoring and evaluation of activities under Part 3 of the Project, all through the provision of technical advisory services. (b) Elected Local Official, Rural Development Community Staff and Decentralized Agency Training: (i) development of technical capacity of Project implementation entities in maintenance of environmental and sustainable development; (ii) training of decision-makers and opinion leaders in the benefits of sustainable use of natural resources and techniques of preservation and conservation; (iii) institutional strengthening of Project implementation entities; and (iv) dissemination to stakeholders of translation of legal documents relating to sustainable resource use and biodiversity management. all through the acquisition of goods, such as motorcycles, provision of technical advisory services and training and the financing of Operating Costs.

Local Capacity Building. Strengthening the technical and organizational capacity of rural communities and groups of communities to plan, implement and monitor IEM Subprojects, through the provision of technical advisory services, training, and the acquisition of equipment, as set forth in the Project Implementation Manual. Part B: Local Investment Fund/Subgrants Establishment of a local investment fund to provide Subgrants to Beneficiaries for the carrying out of IEM Subprojects, including, inter alia: (a) promotion of zero-tillage and conservation agriculture in lowlands and adjacent uplands; (b) testing and dissemination of innovative technologies for land rehabilitation; (c) testing and dissemination of innovative agro-sylvo-pastoral management practices; (d) support to biodiversity promoting enterprises (medicinal plants or lowland aquaculture); (e) rehabilitation and biodiversity conservation of lowland areas with specific cultural functions; (f) protection of river banks against livestock damage; (g) creation of arboreta and the protection of sacred xxxxx; (h) the identification and improvement of wildlife routes; (i) the stabilization of the banks of fishing waters; (j) soil and water conservation works; and (k) reforestation and forest management. Strengthening the capacity of national, regional and provincial entities and institutions to incorporate an integrated ecosystem management approach in their development planning processes through the provision of technical advisory services, training, workshops, equipment and the financing of incremental operating costs. Part D: Building Partnerships for Sustainable IEM Financing Building the capacity at the national and local level to mobilize national and international funds to address environmental and resource management issues of local, regional and potentially global significance, through the provision of technical advisory services, training, workshops, equipment, and the financing of incremental operating costs.

  • Title; Capacity 2.1 During the Employment Period, the Executive shall serve as the Chief Executive Officer. Notwithstanding the foregoing, following the Separation, it is understood that the Executive may still work from any location he deems appropriate. Notwithstanding the foregoing, following the Separation, it is understood that the Executive will work with the PubCo Board to select a suitable headquarters and may work from any location he deems appropriate. 2.2 The Executive shall report directly to, and be subject to the supervision of, the “Company Board”, and shall have such authority as is delegated to the Executive by the Company Board, which shall include responsibility for the day-to-day operations of the Segment and the entire Outdoor Products brand portfolio. The Executive will be appointed to serve as a non-independent member of the Company Board. During the Employment Period, the Company will continue to nominate the Executive to be elected as a member of the Company Board. The Executive hereby accepts employment as Chief Executive Officer and agrees to undertake the duties and responsibilities inherent in such position and such other duties and responsibilities as the Board shall from time to time reasonably assign to the Executive. The Executive agrees to devote his entire business time, attention and energies to the business and interests of the Company during the Employment Period; provided that nothing herein shall preclude Executive, in each case to the extent that such activities do not materially interfere with the performance of the Executive’s duties under this Agreement and are not otherwise in conflict with the reasonable business interests of the Company, from (x) managing Executive’s personal and family investments and affairs, (y) engaging in charitable activities and community affairs, and (z) subject to the prior approval of the Company Board (which approval shall not be unreasonably withheld) and compliance with any applicable Company policies for outside Board memberships, such as the Company’s overboarding policy, accepting appointment to or continuing to serve on any board of directors or trustees of any business, corporation, or charitable organization. The Executive agrees to abide by the rules, regulations, instructions, personnel practices and policies of the Company and any changes therein which may be adopted from time to time by the Company to the extent provided to the Executive or the Executive is otherwise made aware of them. Following the Separation, the Executive shall instead (i) serve as chief executive officer of PubCo with the same authorities and responsibilities as Chief Executive Officer described herein and (ii) report directly to, and be subject to the supervision of, the “PubCo Board” and be appointed to and subsequently nominated for election to the PubCo Board on the same basis described herein. The Executive acknowledges that, prior to the Separation, he will report to the Company Board alongside the Interim Chief Executive Officer of the Company and the Chief Executive Officer of the Company’s Sporting Products Segment.

  • Maximum Capacity The Sick Leave Bank shall accumulate unused Bank days from year to year to a maximum capacity which shall not exceed double the number of eligible employees as defined in the above Section C, Eligibility for Membership.

  • Power and Capacity The Shareholder has the power, authority and capacity to enter into this Agreement and to consummate the transactions contemplated hereby.   • Trustee Capacity It is expressly understood and agreed by the parties hereto that (i) this Agreement is executed and delivered by HSBC Bank USA, National Association not individually or personally but solely as trustee of the Supplemental Interest Trust, in the exercise of the powers and authority conferred and vested in it, (ii) each of the representations, undertakings and agreements herein made on the part of the Supplemental Interest Trust is made and intended not as personal representations, undertakings and agreements by HSBC Bank USA, National Association but is made and intended for the purpose of binding only the Supplemental Interest Trust, (iii) nothing herein contained shall be construed as creating any liability on the part of HSBC Bank USA, National Association, individually or personally, to perform any covenant either expressed or implied contained herein, all such liability, if any, being expressly waived by the parties hereto and by any Person claiming by, through or under the parties hereto and (iv) under no circumstances shall HSBC Bank USA, National Association be personally liable for the payment of any indebtedness or expenses of the Trust or be liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken by Supplemental Interest Trust under this Agreement.

  • Corporate Capacity The Acquirer has the corporate power, capacity and authority to enter into and complete this Agreement;

  • Shareholder Capacity No Person executing this Agreement who, during the term hereof, is or becomes a director or officer of the Company makes any agreement or understanding herein in his or her capacity as a director or officer of the Company. Each Principal Shareholder signs solely in his, her or its capacity as the record holder and beneficial owner of, or the trustee of a trust whose beneficiaries are the beneficial owners of, Principal Shareholder Shares.
