Means of Cooperation. 1. The Parties agree to make available the appropriate resources, including financial means, insofar as their respective resources and regulations allow, in order to fulfil the cooperation objectives set out in this Agreement.
2. The Parties shall encourage the European Investment Bank to continue its operations in Indonesia, in accordance with its procedures and financing criteria and Indonesia's laws and regulations. TITLE VI INSTITUTIONAL FRAMEWORK
Means of Cooperation. 1 The Parties shall cooperate in combating crime through their competent authorities, in accordance with the provisions of this Agreement, subject to the legislation and international obligations of their States. 2 The Parties shall determine their competent authorities and/or contact points through which direct communication is ensured and if necessary shall exchange liaison officers .
Means of Cooperation. 1-1 Party B agrees to make investment and conduct cooperation according to Party A’s business model of Management Hotel, namely, Party B shall be responsible for providing legitimate property (hereinafter referred to as the “Property”) in compliance with Party A’s standard, conducting renovation and modification of the Property at its own expense completely in accordance with Party A’s 7 Days Inn prevailing standards, and delivering to Party A for management and operation after the renovation and modification of the Property are completed and passed the standard inspection of Party A. The Property after the renovation and modification are completed according to the prevailing standards of 7 Days Inn is called the “Managed Hotel”. Party B will not involve in the management and operation of the Managed Hotel. Party B agrees to pay Party A fees pursuant to the provisions specified in Article 3 herein.
1-2 Party B hereby provides the property for the operation of the Managed Hotel located at No. , Road, District, City, with floors, rooms, and a gross floor area of square meters. The Property’s ownership certificate number is and the land certificate number is . Party B warrants that it is the sole 7 Days Inn (Shenzhen) Co., Ltd. 3 xxx.0xxxxxxx.xx (owner/ legitimate lessee) of the Property and enjoys complete (ownership/user’s right) over the Property and has the full power and right to deliver the Property to Party A for the operation of the Managed Hotel.
1-3 Party B shall be solely liable for any and all legal liabilities as well as compensation for losses in the event of any dispute arising out of the Property provided by it (including but not limited to lawsuits or claims brought by any third party, closing down the Property and exercise of mortgage) or failure to carry out normal operation of the Managed Hotel, in connection with the land use right, property ownership, user’s right over the Property, purpose of the Property and/or mortgage of ownership, and Party A shall not have any relevance therewith.
1-4 Party A only contributes brands, trademarks, technical services (including but not limited to engineering technical modification, hotel service training and marketing and promotion) as well as management and operation (including but not limited to human resources, finance and operation management) rather than capital investment in any form. Means of Cooperation. 1. Legal entities established in Algeria, as defined in Annex I, including either physical persons or private or public legal persons, shall participate in indirect cooperation activities of the Union’s Framework Programme for research and tech nological development and demonstration activities (hereinafter referred to as the ‘Framework Programme’), in accordance with the terms and conditions established by or referred to in Annexes I and II. Legal entities established in the Member States of the Union, as defined in Annex I, shall participate in Algeria’s research programmes and projects in thematic areas equivalent to those of the Framework programme under the same terms and conditions established by, or referred to in Annexes I and II.
2. Cooperation may also take the following forms:
(a) regular discussions on the guidelines and priorities for research policies and planning in Algeria and the Union;
(b) discussions on cooperation, developments and future pros pects;
(c) the timely provision of information concerning the imple mentation of programmes and research projects of Algeria and of the Union, and concerning the results of work undertaken within the framework of this Agreement;
(d) joint meetings;
(e) visits and exchanges of research workers, engineers and technicians, including for training purposes;
(f) exchanges and sharing of equipment, materials and testing services;
(g) contacts between programme or project managers of Algeria and the Union;
(h) participation of experts in seminars, symposia and work shops;
(i) exchanges of information on practices, laws, regulations, and programmes relevant to cooperation under this Agreement;
(j) research and technological development training;
(k) reciprocal access to scientific and technologic information in the framework of this cooperation;
(l) any other means to be adopted by the European Union- Algeria Joint Scientific and Technological Cooperation Committee, as defined in Article 4, and deemed in conformity with the policies and procedures applicable in both Parties;
(m) supporting the optimum exploitation of the results of research and development by innovating companies in order to promote the spread of new knowledge and inno vation;
(n) assisting the management of scientific research and supporting the setting up of an information system on research;
(o) examining the possibility of cooperation in setting up incu bators and nurseries and the start-up and creation of research centres, inclu...
Means of Cooperation. 1. Legal entities established in Jordan, as defined in Annex I, including either physical persons or private or public legal persons, shall participate in indirect cooperative activities of the European Community’s Framework programme for research and technological development and demonstration activities (hereinafter referred to as the ‘Framework programme’), subject to the terms and conditions established by, or referred to in Annexes I and II. Legal entities established in the Member States of the Community, as defined in Annex I, shall participate in Jordan’s research programmes and projects in themes equivalent to those of the Framework programme under the same conditions as those applicable to legal entities of Jordan, subject to the terms and conditions established by, or referred to in Annexes I and II.
2. Cooperation may also take the following forms and means: — Regular discussions on the orientations and priorities for research policies and planning in Jordan and the Community; — Discussions on cooperation, developments and prospects; — Any other modality that would be adopted by the European Community-Jordan Joint Scientific and Technological Coop eration Committee, as defined in Article 4, and deemed in conformity with the policies and procedures applicable in both Parties.
Means of Cooperation. 1. Party A and Party B shall form a joint-venture company (the “JV Co”) in Shenzhen to exclusively operate secondary properties, rental properties, the business of sale and leasing of new home and other related value-added services within the communities managed by Party B.
2. The registered capital of the JV Co shall be RMB50 million (subject to further adjustments upon mutual agreement), with Party A investing RMB25.5 million in cash (representing 51% of the share capital of the JV Co) and Party B investing RMB24.5 million in cash (representing 49% of the share capital of the JV Co).
3. Both parties shall deposit the agreed-upon capital contribution into a designated account within 10 business days starting from the date of this Agreement, and the breaching party shall own the shares of the JV Co according to its actual amount of capital contribution, and bear the responsibilities for breach of contract.
4. The JV Co shall formulate its articles of association pursuant to the Companies Law and this Agreement. The articles of association are binding on the JV Co and its shareholders, directors and general manager.
Means of Cooperation. 1. Principal means of cooperation which have been identified by the Participants include:
i. Annual meetings between the Participants with the host rotating between the Participants: The annual meetings will focus on dialogue to review progress and advance the objective of this MoC. The Participants may jointly decide to include Participating Organisations in the annual meetings at their discretion.
ii. The Participants may hold more frequent informal or expert level meetings, as appropriate.
Means of Cooperation. 3.1 In order to promote cooperation and further these shared objectives, the Parties intend to:
(a) identify and participate in joint events, projects, programmes and other initiatives;
(b) facilitate regular dialogue, coordination and cooperation with relevant UN bodies;
(c) exchange information, knowledge and best practice.
3.2 UNOG undertakes to act as a coordinating body for facilitating the implementation of actions that UEFA will carry out in cooperation with UNOG and relevant organizations of the UN.
3.3 Where appropriate, the Parties will seek opportunities to carry out activities identified in this Agreement jointly with the European Union and the Council of Europe.
3.4 The implementation of joint activities shall be subject to the availability of adequate resources to be determined by each party in accordance with their respective rules and regulations.
Means of Cooperation. AQSIQ and FVO shall promote within the limits of their resources:
(a) the providing of training programmes, and internships for government officials;
(b) the providing of training programmes, for technical personnel, including but not limited to inspection and testing technical personnel, and standardisation personnel;
(c) the exchange of information, transfer of expertise and training;
Means of Cooperation. AQSIQ and OFCOM shall promote:
(a) the providing of training programmes, study tours and internships for government officials;
(b) the providing of training programmes, study tours for technical personnel, including but not limited to inspection and testing technical personnel, and standardisation personnel;
(c) the exchange of information, transfer of expertise and training;
(d) the implementation of joint actions such as seminars and workshops;
(e) technical and administrative cooperation;
(f) the information of stakeholders about the other country’s regulations; and
(g) any other forms of cooperation decided by the TBT/SPS Sub-Committee.
