Mode of Cooperation. 1. Party A authorizes Party B to act as the sales agent of medical cinemas in Sichuan Province within the validity period of this agreement, and the contract will be renewed every year for three years.
2. The relationship between Party A and Party B is limited to the product agency relationship authorized by Party A, and they are independent parties to the agreement. As an agent, Party B shall meet the following requirements:
2.1 Party B is willing to accept Party A's audit, supervision and guidance, and has legal business qualification.
2.2 The security deposit paid by Party B to Party A's sales agent. After signing this agreement, Party B shall pay the above-mentioned deposit of RMB 500,000 to Party A, which can be used to deduct the purchase price. Otherwise, if Party B cancels the cooperation agreement halfway, Party A has the right not to return this security deposit.
2.3 When Party B develops sales agents in the authorized area, the agency authority of Party B shall not be transferred without the written seal of Party A. All sales agents in Sichuan Province developed by Party B shall sign a sales contract with Party B, but Party B shall report the scanned copy of the contract to Party A within three working days after signing the sales contract.
3. During the cooperation period, Party B shall purchase according to the price list of ultrasonic Doppler blood flow detector series products of Party A, which is attached to this agreement. Party B shall not engage in any sales behavior that violates Party A's price system, otherwise Party A has the right to cancel Party B's agency authority and preferential purchase right.
4. As Party A's authorized regional sales agent in Sichuan Province, Party B's annual sales amount shall not be less than RMB300,000, the second year's amount shall not be less than RMB600,000, and the third year's amount shall not be less than RMB900,000. Party A will give 5% of the actual annual delivery amount as a discount if the standards are met. If the annual delivery amount exceeds RMB1 million, it will give 10% as a sales discount, which will be deducted in the second year's delivery. If it fails to meet the standards, Party A has the right to terminate the agency agreement at any time.
5. During the agency period, Party B shall host or participate in at least three relevant local academic exchange meetings with Party A's product exhibition and discussion at its own expense every year, which will be used as the index of the next...
Mode of Cooperation. 2.1 Party A shall specify the trademark, ID (industrial design), packaging design plan, etc. to be used by Xiaomi Customized Products (as defined in clause 3.1). Party B shall be responsible for the overall development, production and supply of Xiaomi Customized Products, and for manufacturing and delivering Xiaomi Customized Products according to Party A’s orders.
2.2 Party A shall provide Party B with the PO forecast based on its market projection and be responsible for the promotion and sales of Xiaomi Customized Products. Party B shall be responsible for the production of XCP and delivery thereof to the warehouse designated by Party A.
2.3 Party A shall have the right to sell and dispose of Xiaomi Customized Products in all channels, including but not limited to the domestic, international, online and offline channels; Party B may not sell or re-sell Xiaomi Customized Products in any way without Party A’s written consent.
2.4 Party B shall sell Xiaomi Customized Products to Party A on cost basis, and both Parties shall share the net profits from Party A’s sale of Xiaomi Customized Products provided by Party B according to the agreed proportion.
2.5 It is agreed that both Parties perform the collection, storage, transmission, use and disclosure of user data incurred during the period of the provision of Xiaomi Customized Products pursuant to Appendix III “User Data Clause” attached to this Agreement.
Mode of Cooperation. 2.1 Party A and Party B, relying on the superior resources and strengths of both parties, Party B shall voluntarily join the project and jointly operate the project within the cooperation area. Party A shall provide the overall operation service of the project, and Party B shall be responsible for specific channel connection and expansion within the cooperation area.
2.2 Cooperation mode
2.2.1 Party A and Party B agree that Party B shall pay the service cooperation fee of RMB to Party A to obtain the regional cooperation right of the project in city, province (hereinafter referred to as “Cooperation Area”) and the technical service support from Party A.

2.3 Both parties agree that until Party B pays all the service cooperation fees stipulated in Article 2.2, Party B shall not be deemed to have acquired the regional cooperation right of the project and Party A shall not carry out relevant cooperation with Party B.
2.4 This Contract shall be valid for years and shall be renewed through negotiation upon expiration. The contract shall be automatically terminated upon expiration if not renewed. During this period, the subsequent negotiation between both parties shall prevail.
Mode of Cooperation. 2.1 Party A shall designate the proposed trade-xxxx, industrial design (“ID”) and package design and other designs as applicable to be used for XCP (as defined in Clause 3.1). Party B shall be responsible for the integrated development, manufacture and supply of XCP, and shall manufacture and deliver XCP in accordance with the purchase orders of Party A (“PO”). XCP shall, to the maximum extent permitted by the market, reflect the Huami brand, or otherwise specify that XCP is designed, developed and manufactured by Party B.
2.2 Party A shall provide its PO forecast to Party B based on its market projection. Party B shall be responsible for the R&D and manufacture of XCP and shall deliver XCP to the warehouse designated by Party A. Party A shall be responsible for the marketing and sales of XCP.
2.3 The Parties agree that Party A shall be the exclusive distributor of XCP and have the right to sell XCP through all channels, including without limitation, domestic, overseas, online or offline and other channels. Party B shall not sell XCP to any other distributors, provided that Party B may display XCP on its own website, WeChat, Weibo or other online platforms and within its office and place of business.
2.4 Party B shall sell XCP to Party A on cost basis, and the profit generated from Party A’s sale of XCP provided by Party B shall be allocated between Party A and Party B in the proportion of 1:1. The Parties may negotiate separately to determine a different profit share proportion for certain model or batch of XCP.
Mode of Cooperation. The two parties will establish a joint venture company in Hong Kong to realize the cooperation objectives. The two parties will initiate the establishment of the joint venture company when both parties have identified the first target company to be acquired.
Mode of Cooperation. Contribution by the Parties
Mode of Cooperation. 1. Party A intends to build an incoming/outgoing call center in Building C, Xinyuan International; Party B is willing to provide funds and technical support for the construction of the call center.

Mode of Cooperation. 3.1 Party B shall provide the already developed parts of the 3D engine, network engine and Logical Framework Engine for the contract product hereunder and provide technology support for and approve the new development directions proposed by Party A.
3.2 Party B shall complete the functional test, performance test and etc. on the contract product.
3.3 On basis of the parts of the engines provided by Party B, as specified in Article 3.1 herein, and the projects jointly developed by both parties, Party A shall independently develop applications for the contract product.
3.4 Party A shall complete the copyright registration for the contract product.
