Operating Teams. The JSC may appoint one or more other working teams ("Operating Teams") to perform the day-to-day implementation of the Research Plan and Technology Installation Plan and such other functions as the JSC may determine.

Operating Teams. It is the intention of the Parties to collaborate in the exploration and development of the Hackberry Creek Project Area through joint teams comprised of employees, consultants or representatives of each Party. In this regard, the Parties shall form the working groups described below (collectively the Operating Teams) to provide overall supervision, direction and coordination of the lease acquisition, exploration, drilling, development and production operations under this Agreement. The Operating Teams shall be composed of a minimum of five (5) separate joint teams: (i) the Exploration Team, (ii) Engineering Team, (iii) the Land Team, (iv) the Commercial Team and (v) the Management Team. Each of the team may subdivide into separate sub-teams as the individual teams deem appropriate. Unless otherwise provided, each Team shall consist of at least one (1) and no more than five (5) representatives from each Party. The head of each team (“Team Lead”) shall initially be a ZAZA employee except for the Commercial Team and the Management Team which HESS shall chair. HESS shall, however, have the option after the initial well on the Hackberry Creek Project Area is drilled to total depth to place a HESS employee as the Team Lead on any of the Operating Teams. The work of each Party’s team members shall be performed independently at office locations provided by the Party designating such members. However, from time to time either Party’s team members may be seconded at the other Party’s offices in order to maximize team efficiencies. The Operating Teams are teams specific to this Agreement and shall be independent from any study team (in connection with the undertaking of a feasibility study) and/or any project team that may be established pursuant to the terms of the Operating Agreement.
Operating Teams. The parties hereby establish a Joint Project Team (“JPT”) which shall be composed of representatives of each of Trius and Bayer, each of whom shall have appropriate experience, knowledge and authority within such party’s organization to carry out the duties and obligations of the JPT. The initial representatives of the parties on the JPT are as follows: The JSC may delegate to the JPT one or more of the JSC’s responsibilities relating to those portions of Global Development Plan activities that are to be conducted in the Bayer Territory or relating generally to the development and registration of Product in the Field in the Bayer Territory and/or the harmonization of global marketing, promotion and commercialization strategy with respect to Product in the Field as the JSC deems appropriate. The JSC may also establish one or more other Operating Teams, to which it may delegate one or more of its responsibilities. Matters relating to the composition, meetings, minutes and decision-making authority of each Operating Team shall be as set forth in Sections 3.1(a), 3.1(c), 3.1(d) and 3.1(e), respectively, mutatis mutandis.

  • Negotiating Teams The Board, or designated representatives appointed to serve on its team, will meet with representatives designated by the Association for the purpose of establishing procedures for negotiating and reaching mutually satisfactory agreements. Each party's negotiating team shall consist of not more than five members.

  • Project Team County’s Designated Representative for purposes of this Agreement is as follows: County shall have the right, from time to time, to change the County’s Designated Representative by giving A/E written notice thereof. With respect to any action, decision, or determination which is to be taken or made by County under this Agreement, the County’s Designated Representative may take such action or make such decision or determination or shall notify A/E in writing of an individual responsible for, and capable of, taking such action, decision, or determination, and shall forward any communications and documentation to such individual for response or action. Actions, decisions or determinations by County’s Designated Representative on behalf of County shall be done in his or her reasonable business judgment unless express standards or parameters therefor are included in this Agreement, in which case, actions taken by County’s Designated Representative shall be in accordance with such express standards or parameters. Any consent, approval, decision, or determination hereunder by County’s Designated Representative shall be binding on County; provided, however, County’s Designated Representative shall not have any right to modify, amend, or terminate this Agreement or executed Supplemental Agreement. County’s Designated Representative shall not have any authority to execute a Supplemental Agreement unless otherwise granted such authority by the Williamson County Commissioners Court. A/E shall have the right, from time to time, to change A/E’s Designated Representative by giving County written notice thereof. With respect to any action, decision, or determination which is to be taken or made by A/E under this Agreement, A/E’s Designated Representative may take such action or make such decision or determination, or shall notify County in writing of an individual responsible for and capable of taking such action, decision, or determination and shall forward any communications and documentation to such individual for response or action.   • Teams One team for the purposes of the Event shall consist of one Vehicle. Each Vehicle can contain a maximum of three Team Members, provided such Team Members have entered into a Team Entry Agreement with the Company or have otherwise agreed in writing to participate in the Event upon and subject to the Terms of Entry and the Event Rules. For the avoidance of doubt, it is the sole responsibility of each Team to inform themselves of the maximum numbers of persons legally permitted to travel in the Vehicle under Relevant Law. The Company shall provide each Team with the contact details of the Approved Hirer who will be able to provide each Team with a Vehicle for use in the Event, subject to the Team entering into an agreement (the "Borrowing Agreement") with the Hirer outlining the terms of use of the Vehicle. Should the Vehicle not be delivered to the Designated Finish Point by 14:00 local time on 24th August 2025, then the team will be liable for the "Hire Costs" outlined below. Each Vehicle will be of a similar specification to that outlined in Schedule 4 to the Team Entry Agreement. For the avoidance of doubt, the Company shall make no representations or warranties as to the suitability of the Approved Hirer or of the Vehicle for participation in the Event and any rights or warranties which a Team may have or be granted in relation to the Vehicle shall be limited to those contained in the Rental Agreement or implied by any Relevant Law.

  • Contractor’s Project Manager 7.2.1 The Contractor’s Project Manager is designated in Exhibit F (Contractor’s Administration).   • Project Steering Committee 1. For a sound implementation and management of the project, a steering committee shall be set up in line with provisions of the programme manual. 2. The steering committee is the decision-making body of the project and it shall be composed by representatives of the LP and all PPs duly authorised to represent the respective LP and PP institutions. It shall be chaired by the LP and it shall meet on a regular basis. Associated partners shall be invited to take part in the steering committee in an advisory capacity. External key stakeholders may also be invited to take part to one or more meetings in an observer/advisory capacity. 3. The steering committee shall at least: a. be responsible for monitoring and validating the implementation of the project and the achievement of the planned results as in the approved application form; b. perform the financial monitoring of the project implementation and to decide on any budget modifications as in § 11 of this agreement; c. monitor and manage deviations of the project implementation; d. decide on project modifications (e.g. partnership, budget, activities, and duration) if needed; e. be responsible for the settlement of any disputes within the partnership (as stipulated in § 22 of this agreement). 4. Further aspects, including the creation of sub-groups or task forces, may be set out in the rules of procedure of the steering committee.

  • Working Groups From time to time, a Joint Committee may establish and delegate duties to sub-committees or directed teams (each, a “Working Group”) on an “as-needed” basis to oversee particular projects or activities (e.g., joint project team, joint finance group, or joint intellectual property group). Each such Working Group shall be constituted and shall operate as the Joint Committee determines; provided, that each Working Group shall have equal representation from each Party, unless otherwise mutually agreed. Working Groups may be established on an ad hoc basis for purposes of a specific project or on such other basis as the Joint Committee may determine. Each Working Group and its activities shall be subject to the oversight, review and approval of, and shall report to, the Joint Committee that formed said Working Group. In no event shall the authority of the Working Group exceed that specified for the Joint Committee that formed the Working Group. All decisions of a Working Group shall be by unanimous agreement. Any disagreement between the designees of AbbVie and Ablynx on a Working Group shall be referred to the Joint Committee that formed the Working Group for resolution.
