OWNERSHIP AND USE OF DRAWINGS, SPECIFICATIONS AND OTHER DOCUMENTS. 10.1 The drawings, specifications and other documents prepared by CFZ, or any Subcontractors, are instruments of the creator of such documents, through which the Work to be executed is described. CFZ may retain one record set, and shall request a second set and an AUTOCAD copy to provide to ESTABLISHMENT. CFZ should provide structural, mechanical, electrical and other necessary calculations and memoirs used to the design estimations. ESTABLISHMENT shall not own or claim a copyright in the drawings, specifications and other documents prepared by CFZ, or others, and unless otherwise indicated the corresponding creator shall be deemed the author of them and will retain all statutory and other reserved rights, in addition to the copyright. The drawings, specifications and other documents prepared by CFZ, or the contractors, and copies thereof furnished to ESTABLISHMENT, are for use solely with respect to this Project and any repairs, modifications, expansions of the Building or other uses reasonably necessary by ESTABLISHMENT to beneficially use and occupy the Building (collectively, the “Permitted Uses”). ESTABLISHMENT is granted an irrevocable, limited license to use and reproduce the drawings, specifications and other documents, appropriate to and for the performance of the Work exclusively, therefore ESTABLISHMENT may not use this documents for other projects in Costa Rica. The owner of such documents in turn, will not be allowed to use these documents for other projects in Costa Rica, unless authorized by ESTABLISHMENT for its expansion in the Park. Nonetheless, CFZ will use any information provided by ESTABLISHMENT for the development of the Project as confidential and will not own or claim a copyright over such information as used solely for the Project.

The drawings, specifications and other documents prepared by CFZ, or the contractors, and copies thereof furnished to VOLCANO, are for use solely with respect to this Project and any repairs, modifications, expansions of the Building or other uses reasonably necessary by VOLCANO to beneficially use and occupy the Building (collectively, the “Permitted Uses”). VOLCANO is granted an irrevocable, limited license to use and reproduce the drawings, specifications and other documents, appropriate to and for Work the Permitted Uses.
8.2 All intellectual property performed by CFZ or Subcontractors within the scope of works and services indicated in this Contract, including but not limited to the construction plans and Scope Manual shall be delivered to VOLCANO in case of an advanced termination of the Contract or at the contract release. At the same time, VOLCANO may request copies of any documents that may constitute an intellectual property at VOLCANO’s cost, without denial by CFZ or Subcontractor.
8.3 All drawings, specifications and other documents related to the design of the Facility are confidential and CFZ shall execute confidentiality agreements with all Subcontractors.

Neither the CM/GC nor any Subcontractors shall own or claim a copyright in the Drawings, Specifications, and other documents prepared by A/E, and A/E shall be deemed the author of them and will, along with any rights of Owner, retain all common law, statutory, and other reserved rights, in addition to the copyright. All copies of these documents, except the CM/GC’s set, shall be returned or suitably accounted for to A/E, on request, upon completion of the Work.
B. The Drawings, Specifications, and other documents prepared by the A/E, and copies thereof furnished to the CM/GC, are for use solely with respect to this Project. They are not to be used by the CM/GC or any Subcontractors on other projects or for additions to this Project outside the scope of the Work without the specific written consent of Owner and A/E. The CM/GC and Subcontractors are granted a limited license to use and reproduce applicable portions of the Drawings, Specifications, and other documents prepared by A/E appropriate to and for use in the execution of their Work.

Neither Contractor nor any Subcontractor shall own or claim a copyright in the Drawings, Specifications, and other documents prepared by A/E, if any, and A/E shall be deemed the author of them and will, along with anyrights of Owner, retain all common law, statutory, and other reserved rights, in addition to the copyright. All copies of these documents, except Contractor’s set, shall be returned or suitably accounted for to A/E, on request, upon completion of the Work.

The Drawings and Specifications and the design reflected therein shall be kept strictly confidential and shall not be disclosed or released except as necessary for the performance of the work. The CMAR may retain one record set. Neither the CMAR nor any Subcontractor shall own or claim a copyright in the Drawings, Specifications or other documents prepared by the Architect. The Owner will retain all common law, statutory and other reserved rights, in addition to the copyright. All copies of them, except the XXXX’x record set, shall be returned to the Owner upon completion of the work. The Drawings, Specifications and other documents prepared by the Architect, and copies thereof furnished to the XXXX, are for use solely with respect to this Project. They are not to be used by the CMAR or any Subcontractor on other projects or for additions to this Project outside the scope of the work without the specific written consent of the Owner. The CMAR and its Subcontractors are granted a limited license to use and reproduce applicable portions of the Drawings, Specifications and other documents prepared by the Architect necessary for execution of the work. All copies made under this license shall bear the statutory copyright notice, if any, shown on the Drawings, Specifications and other documents prepared by the Architect. Submittal or distribution to meet official regulatory requirements or for other purposes in connection with this Project is not to be construed as publication in derogation of the Owner’s copyright or other reserved rights.

All copies of them, except the Construction Manager’s record set, shall be returned or suitably accounted for to the Owner, on request, upon completion of the Project. The Drawings, Specifications and other documents prepared by the Design Professional, and copies thereof furnished to the Construction Manager, are for use solely with respect to this Project. They are not to be used by the Construction Manager on other projects or for additions to this Project outside the scope of the Work without the specific written consent of the Owner. The Construction Manager is granted a limited license to use and reproduce applicable portions of the Drawings, Specifications and other documents prepared by the Design Professional appropriate to and for use in the performance of the Construction Manager’s services under this Agreement. All copies made under this license shall bear the statutory copyright notice, if any, shown on the Drawings, Specifications and other documents prepared by the Design Professional. Submittal or distribution to meet official regulatory requirements or for other purposes in connection with this Project is not to be construed as publication in derogation of the Design Professional’s copyright or other reserved rights.
7.2 All documents, including electronic data, required by this Agreement and prepared by the Construction Manager as instruments of service, are the property of the Owner whether the work for which they are made be executed or not. Any reuse without the specific written verification or adaptation by the Construction Manager will be at the Owner’s sole risk and without liability or legal exposure to the Construction Manager. The Construction Manager shall not acquire a copyright for project documents, but shall be permitted to retain copies including reproducible copies or electronic data of drawings, specifications and other project documents prepared by the Construction Manager.
OWNERSHIP AND USE OF DRAWINGS, SPECIFICATIONS AND OTHER DOCUMENTS. 1.5.1 The Drawings, Specifications, Addenda and other documents prepared by Architect, Walmart or Walmart's Consultants through which the Work to be executed by Contractor is described shall not be used by Contractor, its Subcontractors or any person other than Walmart on projects other than the Project unless expressly authorized in writing by Walmart. Contractor and Subcontractors are granted a limited license to use and reproduce applicable portions of the Drawings, Specifications, Addenda and other documents prepared by Architect or Walmart's Consultants appropriate to, and for use in the execution of, their work under the Contract Documents. Neither Contractor nor any Subcontractor or material, or equipment supplier shall own or claim a copyright in the Drawings, Specifications and other documents prepared by Architect, Walmart or Walmart's Consultants. Submittal or distribution to meet official regulatory requirements or for other purposes in connection with this Project shall not be construed to be a publication or derogation of Walmart's rights with respect to such Drawings, Specifications, Addenda and other documents.
1.5.2 Contractor also represents and warrants that all of its Work shall be considered a work made for hire and that Walmart shall be the sole and exclusive owner of any and all right, title, and interest in, to, and under intellectual property (including, without limitation, all inventions, patents, works of authorship, copyrights, trademarks, trade names, trade dress, and trade secrets) that is (1) created by, for, or on behalf of Contractor, any Subcontractor or any of their respective affiliates, officers, employees, partners, members, managers, agents and representatives; and (2) related to the Work and/or any materials used to complete the Work, or otherwise related to this Contract (the “Intellectual Property”), and Contractor hereby irrevocably assigns, transfers, sets over, conveys, and delivers its entire right, title, and interest in and to the Intellectual Property to Walmart, and its successors and assigns.

The Drawings, Specifications, and other documents prepared on behalf of Owner are instruments of the services of Contractor and its consultants and will become the property of Owner upon Contractor’s receipt of final payment from Owner hereunder. Neither the Contractor nor any Subcontractor or material or equipment supplier shall own or claim a copyright in the Drawings, Specifications and other such documents. All copies of them, except the Contractor's record set, shall be returned or suitably accounted for to the Owner, on request, upon completion of the Project Work. The Drawings, Specifications and other such documents, and copies thereof furnished to the Contractor, are for use solely with respect to this Project. They are not to be used by the Contractor or any Subcontractor or material or equipment supplier on other Projects or for additions to this Project outside the scope of the Project Work without the specific written consent of the Owner. The Contractor, Subcontractors and material or equipment suppliers are granted a limited license to use and reproduce applicable portions of the Drawings, Specifications and other such documents appropriate to and for use in the execution of their Project Work under the Contract Documents. All copies made under this license shall bear the statutory copyright notice, if any, shown on the Drawings, Specifications and other such documents. Submittal or distribution to meet official regulatory requirements or for other purposes in connection with this Project is not to be construed as publication in derogation of the copyright or other reserved rights.
