Payment/Benefits. (a) During the Consulting Period, as compensation in full for providing the Consulting Services under this Agreement, the Company shall pay the Consultant $22,353.00 per month, or such other amount as is determined by the Compensation Committee of the Board of Directors of the Company upon agreement with the Consultant.
(b) The Consultant acknowledges and agrees that as a consultant to the Company he will no longer be eligible to participate in the Company's Variable Compensation Plan, Cash Profit Sharing Plan or Supplemental Savings Plan or to otherwise receive any cash compensation from the Company other than pursuant to clause (a) of this Section 3 (or otherwise in connection with serving on the Company's Board of Directors); provided, however, that the Consultant will be eligible to receive his pro rata portion for fiscal 1997 of the benefits afforded under such plans to the Consultant while he was an employee of the Company.
(c) The Consultant acknowledges and agrees that as a consultant to the Company he (i) will no longer be eligible to receive health, disability or life benefits from the Company but (ii) will be eligible, as of June 1, 1997, to begin receiving payments under each of the Company's Retirement Plan and Supplemental Executive Retirement Plan pursuant to the terms and conditions of such plans.
Payment/Benefits. In consideration for XxXxxxx’x covenants and agreements contained herein, HealthTronics agrees to pay XxXxxxx (a) $390,000, payable in immediately available funds or other payment form acceptable to XxXxxxx, on the Effective Date and (b) $8,334 per calendar month (prorated for partial months), from the Effective Date until the third anniversary of the Effective Date. Notwithstanding anything in this Agreement to the contrary, HealthTronics shall have no obligation to make any payment under this Agreement if XxXxxxx is in material breach of a material term of this Agreement.
Payment/Benefits. In consideration for the provision of the Services by Xxxxxxxxx, HealthTronics agrees to pay Xxxxxxxxx $11,309.67 semimonthly, on the first and fifteenth day of each month, beginning on July 15, 2007, until the expiration of the Consulting Services Period. Notwithstanding anything in this Agreement to the contrary, HealthTronics shall have no obligation to make any payment under this Agreement if Xxxxxxxxx is in material breach of any material term of this Agreement. If Xxxxxxxxx dies during the Consulting Services Period, Xxxxxxxxx shall not be entitled to any payments under this Section 4 after the date of death.
Payment/Benefits. In consideration for Biderman’s covenants and agreements contained herein, HealthTronics agrees to pay Biderman (a) $150,000, payable in immediately available funds or other payment form acceptable to Biderman, on the Effective Date and (b) $4,167 per calendar month (prorated for partial months), from the Effective Date until the third anniversary of the Effective Date. Notwithstanding anything in this Agreement to the contrary, HealthTronics shall have no obligation to make any payment under this Agreement if Biderman is in material breach of a material term of this Agreement.
Payment/Benefits. In consideration for the provision of the Services by Xxxxxxx, HealthTronics will pay Xxxxxxx $11,458 semimonthly, on the first and fifteenth day of each month, beginning on October 1, 2008, until the expiration of the Consulting Services Period; provided that Xxxxxxx shall be paid a pro-rated portion of such semi-monthly amount for the period from January 1, 2009 to January 7, 2009. Notwithstanding anything in this Agreement to the contrary, HealthTronics shall have no obligation to make any payment under this Agreement if Xxxxxxx is in material breach of any material term of this Agreement. If Xxxxxxx is employed by a new employer (the date of such employment, the “New Employment Date”) during the Consulting Services Period, then (a) unless otherwise provided herein, HealthTronics shall pay to Xxxxxxx, promptly following the New Employment Date, an amount equal to the sum of all then remaining unpaid amounts due under this Section 6 through January 7, 2009, and (b) the Consulting Services Period shall expire on the New Employment Date; provided, that Xxxxxxx provides HealthTronics advance written notice of the New Employment Date. If the Consulting Services Period terminates or expires prior to January 7, 2009 for any other reason, unless otherwise provided herein, HealthTronics shall pay to Xxxxxxx, promptly following such termination or expiration date, an amount equal to the sum of all then remaining unpaid amounts due under this Section 6 through January 7, 2009.
Payment/Benefits. The Company shall provide Employee with the following benefits after this Agreement becomes effective:
(a) A severance payment in the amount of $110,000 which is equal to six (6) months’ pay at Employee’s final base pay rate, and less applicable withholding taxes and regular deductions, payable in a lump sum shortly following the Termination Date; and
(b) If Employee is covered under the Company’s group health plan as of the Termination Date and he timely elects to continue his group coverage pursuant to federal/state law (COBRA), the Company will pay six (6) months of the applicable COBRA premiums as COBRA is provided in accordance with the terms of the applicable plans and the law beginning on the first of the month following the Termination Date until the earlier of (i) the date you become employed and covered under another employer’s group health plan, or (ii) the last day of the six month period described herein. Thereafter, Employee will be solely responsible for the timely payment of the COBRA premiums. Employee understands and acknowledges that as of the Termination Date, he will be paid all wages and accrued, unused paid time off that Employee earned during his employment with the Company through the Termination Date. Employee understands and acknowledges that he shall not be entitled to any payments or benefits from the Company other than those expressly set forth in this paragraph 2.
Payment/Benefits. In consideration for the provision of the Services by Xxxxxx, HealthTronics agrees to pay Xxxxxx $206,250, payable in equal semi-monthly installments of $18,750 on or around the first day and the fifteenth day of each month during the Consulting Services Period. In addition, the Company shall reimburse Xxxxxx for the cost of the premiums for his insurance coverage under the Company’s existing employee medical and health plans during the Consulting Services Period based on Xxxxxx’x coverage elections in effect on August 1, 2005, provided that the continued participation of Xxxxxx and/or his family is possible under the general terms and provisions of such plans. Notwithstanding anything in this Agreement to the contrary, HealthTronics shall have no obligation to make any payment under this Agreement if Xxxxxx is in material breach of any material term of this Agreement. If Xxxxxx dies during the Consulting Services Period, Xxxxxx shall not be entitled to any payments under this Section 4 after the date of death.
Payment/Benefits. SEA shall for the period from the Commencement Date until the termination of this Agreement pay:
(a) 1,500 EUR (one-thousand five hundred EUR) gross for each calendar month worked (pro-rated for any part month) – no roster pattern (as per FTL) until First Officer release Line check is successfully passed.
(b) 2,500 EUR (two-thousand five hundred EUR) gross for each calendar month worked (pro-rated for any part month) – 22 days ON (as per FTL) and 8 days OFF scheduled monthly pattern until experience of 1000 hours as First Officer is achieved on applicable type.
(c) 3,900 EUR (three-thousand- nine hundred EUR) gross for each calendar month worked (pro-rated for any part month) – 22 days ON 8 days OFF scheduled monthly pattern after experience 1000 hours on A320 is achieved
(d) 30,00 EUR gross for each block hour over 80 hours in calendar month of overtime pay
(e) Per Diem of 50,00 EUR per Crew Member for each overnight assignment if over 16 hours of duty period
(f) procure that the Crew Member is provided with the Benefits set out in Schedule 2. less any bank transfer charges and any taxes that may be required to be deducted by the law of the relevant jurisdiction. (if any)
Payment/Benefits. (1) A unit member shall receive one (1) week of pay for each semester hour earned and shall be paid on regularly scheduled bi-weekly paydays for the sabbatical period described in Section K.1.b.(1) and (2). For Section K 1 b (3) the unit member shall be paid 1/200th of their salary per day on regularly scheduled bi-weekly pay days for the sabbatical period.
(2) The rate of pay will be 1/200th of their current salary (per diem).
Payment/Benefits. (1) During this sabbatical leave, the unit member granted leave for one (1) full academic year will be paid at one-half (1/2) the salary he/she would have received during the period of such leave.
(2) Effective July 1, 1986, a one-half (1/2) year sabbatical leave will be granted to those eligible under this provision. The unit member in this case will receive full salary for the half year sabbatical.
(3) A unit member on sabbatical leave shall be considered a continuous employee of BOCES in terms of employee benefits.
(4) There shall be no movement on the salary schedule unless the unit member works more than ninety (90) days in the school year. The unit member shall not accrue seniority during the sabbatical leave period.
