Primarily the licensor shall first attempt to rectify the error or have it rectified, either itself or via third parties commissioned by it, and if necessary offer reasonable workaround solutions to rectify the error. If the rectification is not conducted successfully within a reasonable period of time, the licensee may withdraw from the contract or claim a reduction in the license fee.

More particularly and/or in addition (where applicable) for: ● contract consultations and approvals in accordance with the Agreement; ● approving screen credits; ● assessing suitability for participation in, or the provision of services for, the Production; ● the production of promotional materials; ● monitoring production reports; ● payroll and benefits management as necessary for data importer to discharge its payment responsibilities (e.g. in respect of applicable residuals) and in connection with budget monitoring and auditing purposes; ● administration of vendors where, in practice, data importer has direct dealings with such vendors or where data importer has agreed to provide assistance; ● communications (including in emergencies); ● ensuring business continuity; ● protecting the health and safety of Talent and Crew and others; ● complying with applicable legal and other requirements; ● recordkeeping and reporting obligations; ● conducting audits and investigating security breaches related to the Production; ● compliance with law enforcement; ● pursuing legal rights and remedies; ● defending litigation; ● dealing with insurance claims; ● managing any internal complaints or claims; ● complying with internal policies and procedures; and ● providing assistance, consultation and advice to data exporter in matters related to the Production such as in respect of vendors, HR, labour relations, diversity and inclusion, health and safety and security.
