Project Charges. For each Project identified in Schedule H, the charges for such Project will be agreed by the parties and set out in the applicable Project Statement. Project Charges. Unless different payment terms are agreed to by the Parties with respect to Project work, promptly following the Acceptance of a Project deliverable, Provider shall present Williams with an invoice for any Charges due and owing in addition to the Monthly Base Charges payable pursuant to SECTION 12.1(a)(i) above for such Project that are associated with such Project deliverable.
Project Charges. Vendor’s charges for the Project Work will equal: (i) the lesser of (A) the actual number of Person Days that Vendor Personnel expend in performing the Project Work multiplied by the Personnel Rates for the applicable labor categories, as adjusted for applicable discounts under Section 9.1(b) below, or (B) Vendor’s firm estimate of the labor charges for such Project Work as stated in its Project Estimate or Assessment Phase Estimate (as applicable), as such Project Estimate may be adjusted pursuant to Section 3.4(e) above; plus (ii) incidental expenses to the extent reimbursable under Section 9.2.

Project Charges. Where a cost saving project is identified by a Party, that Party will promptly notify the other Party of the project. If the Parties jointly determine that capital expenditure is required to capture the cost savings, the Parties will discuss and agree in writing whether any capital expenditure will be made and by whom (bearing in mind the principle that allocation of any capital expenditure should fairly reflect the allocation of benefit resulting from such initiative). In the event that the Parties cannot agree whether to make such capital expenditure and/or who should make it, then neither Party is obliged to incur any capital expenditure.
Project Charges. The Charges applicable to individual Projects shall be calculated by reference to the rate card set out at Appendix 5-C (Rate Card) to this Schedule 5. The rates set out in Appendix 5-C (Rate Card) constitute a fixed price daily rate for resources to work on Projects, as differentiated by skill type, level of expertise, location and based on an eight (8) hour Working Day globally (Project Days).
Project Charges. (a) To the extent necessary, Santa Fe, Lordsburg and Santa Fe Barbados shall provide their written consent or signature to any documents or things necessary to accomplish such registration, recordation and notice with respect to the Project Charge. Project Charges. For any one-time or limited-time Additional Service that the Parties agree in writing will be provided by Seller (as set forth in a Schedule to Annex A or Annex B) (each, a “Project”), BBU shall pay Seller 105% of the Actual Costs of such Project (“Project Charges”). Examples of Projects include projects for set-up tasks, system improvements, separation of benefit plans and setting up independent benefit plans, data migration and the creation of a separate instance of all or any portion of Seller’s system, a new system or software or new installations. The Project Charges for any Project contemplated to be conducted during the Initial Period will be amortized over the Initial Period or the remaining portion thereof. The Project Charges for any Project conducted after the Initial Period will be amortized over the current BBU Option Extension Period or Additional Extension Period (as applicable) or the remaining portion thereof. For any Project Charges paid on an amortized basis, there shall be a true up, if necessary, in the invoice for the last month of the applicable period to reflect any difference between the Project Charges amortized over such period (or remainder thereof) and actual Project Charges incurred by Seller. To the extent that the Project Charges exceed in the aggregate one million dollars (U.S. $1,000,000) for any single Project or related Projects, such Project Charges shall be paid by BBU as Seller incurs the applicable Actual Costs, upon receipt of an invoice in accordance with Section 8.6 (Invoicing and Payment) setting forth in reasonable detail the calculation of the applicable Project Charges. In addition, the Parties anticipate that the Transition Plan will include the ongoing Projects identified on Annex F. The Parties agree that such Projects shall be within the scope of this Transition Services Agreement, and BBU shall be responsible for all Project Costs for such Project incurred on or after the Effective Date.
