QUALITY AND MEASUREMENT. All Gas delivered by Seller shall meet the pressure, quality and heat content requirements of the Receiving Transporter. The unit of quantity measurement for purposes of this Contract shall be one MMBtu dry. Measurement of Gas quantities hereunder shall be in accordance with the established procedures of the Receiving Transporter.

QUALITY AND MEASUREMENT. 6.1 Gas supplied shall comply with the same standards of pressure and quality as applied to the supply of Gas by Transporter under the Gas Act 1986 and any applicable Statutes and Regulations in force from time to time.
QUALITY AND MEASUREMENT. 5.1. All Product delivered under this Contract shall meet the specification for that Product, if any, set forth in the applicable Confirmation or the Product specification attached thereto. If no Product specification is set forth, all Product delivered under this Contract shall meet the latest GPA specifications for that Product and contain no deleterious substances or concentrations of any contaminants that may make it or its components commercially unacceptable in general industry application.
QUALITY AND MEASUREMENT. Seller warrants that gas delivered under this Agreement shall meet the quality and measurement standards established by interstate pipeline and/or local distribution companies receiving gas from Seller for Buyer's account at the Point(s) of Delivery.
QUALITY AND MEASUREMENT. Seller warrants that all crude oil purchased hereunder shall be of merchantable quality (that is, unaltered and uncontaminated by any foreign substances or chemicals not normally associated with oil) and suitability shall be determined within the Buyer's exclusive, good faith opinion. Quantities of oil delivered hereunder shall be determined by a method of measurement generally accepted within the industry including, but not limited to, the use of automatic measuring equipment, tank gauges on 100% tank table basis, and certified truck gauges and meters. Meters shall be proven in accordance with the latest American Petroleum Institute standards. Volume shall be measured in barrels of forty-two (42) U.S. Gallons as adjusted for temperature to 60 degrees Fahrenheit, less deductions for basic sediment and water and other impurities determined according to applicable API practices. Oil containing basic sediment and water in excess of the quantity permitted by the carrier's tariff shall be treated by Seller to render it merchantable. Tests for quality shall be made at regular intervals by Buyer or Buyer's Agent in accordance with recognized procedures. Each party shall have the right to have a representative present to witness all tests and measurements but in the absence of either party's representative, the results of the tests and measurements performed by the Buyer shall be deemed to be conclusive.

QUALITY AND MEASUREMENT. 8.1 Quality . All Gas delivered by Seller hereunder shall meet the then currently existing quality specifications as contained in Section 3.2 of the General Terms and Conditions of Northwest’s FERC Gas Tariff, Third Revised Volume No. 1 as may be amended or superseded from time to time. Gas which does not meet these quality specifications will be deemed “non-conforming” Gas. In the event that (i) Buyer refuses to receive or transport Gas nominated for delivery by Seller to Buyer, to the extent such Gas is non-conforming, (ii) Seller delivers non-conforming Gas to Buyer’s local distribution system as measured by Buyer’s chromatograph meter or (iii) Buyer refuses to accept non-conforming Gas, to the extent of such refusal or delivery of non-conforming Gas, the event will be considered a Force Majeure event and Seller shall be relieved of its obligation to deliver and Buyer will be relieved of its obligation to receive and pay for the Gas until the situation is remedied. Both Seller and Buyer will use commercially reasonable efforts to remedy the situation as soon as possible so that deliveries can resume.
QUALITY AND MEASUREMENT. A. Quality. Deliveries of Gas by Seller to Buyer at the Delivery Point(s) pursuant to this Agreement shall meet the pressure, quality and heat content requirements of the Principal Pipelines as established by the FERC Gas Tariffs for such pipelines, as may be in effect from time to time (“Gas Quality Standard”).

TAXES The parties have selected either "Buyer Pays At and After Delivery Point" or "Seller Pays Before and At Delivery Point" as indicated on the Base Contract. Buyer Pays At and After Delivery Point: Seller shall pay or cause to be paid all taxes, fees, levies, penalties, licenses or charges imposed by any government authority ("Taxes") on or with respect to the Gas prior to the Delivery Point(s). Buyer shall pay or cause to be paid all Taxes on or with respect to the Gas at the Delivery Point(s) and all Taxes after the Delivery Point(s). If a party is required to remit or pay Taxes that are the other party's responsibility hereunder, the party responsible for such Taxes shall promptly reimburse the other party for such Taxes. Any party entitled to an exemption from any such Taxes or charges shall furnish the other party any necessary documentation thereof.
