Right of Transfer. Neither the BUYER nor the SELLER shall be entitled to assign or transfer contract resulting from this Agreement except to its successor or to the transferee of all or substantially all of its assets, and in the case of any such assignment or transfer, the contract shall be binding upon and shall insure to the benefit of such successor or transferee.
Right of Transfer. It is understood that the term "transfer" refers to movement within a classification (Article V, Section 1A), and that a transfer request will take precedence over any promotional request regardless of seniority.
Right of Transfer. In the event that Sold Assets have not been transferred to Purchaser or the Purchaser’s Designee at Closing, Seller shall or shall cause the respective Selling Affiliate to, upon Purchaser’s request, transfer such Sold Assets to Purchaser for free.
Right of Transfer. The Customer is entitled to transfer any licenses it has acquired with an unlimited period of use to a third party. If the Customer does transfer such licenses to third parties, it shall cease to use the Software and shall remove the installed copies of the Software from its equipment and its Instances and erase any copies located on other data media or, at the request of Siemens, shall provide the same to Siemens insofar as the Customer is not required to retain the same for a longer period in accordance with applicable law. The use of any such retained copies is prohibited.
Right of Transfer. (a) Subject to Section 15(c) hereof, ESPV and any of its Affiliates which make Purchases hereunder may, upon the prior written consent of RB (which consent shall not be unreasonably withheld or delayed, and which consent shall not be required (i) in connection with a transfer by or among ESPV and its Affiliates or (ii) during such times as RB is in breach of this Agreement (solely to the extent such breach continues uncured for a period of thirty (30) calendar days)), assign the Participation Interests and/or their respective rights under this Agreement (each a “Participation Right”) to any other entity subject to such assignee agreeing in writing to be bound by the terms set forth in this Agreement, subject to Section 15(b).
Right of Transfer. 1. Industrial property rights are transferable inter vivos and mortis causa.
Right of Transfer. Notwithstanding any other remedy, when a student is assigned to a school identified for improvement which fails to meet the outcome standards after a two-year period following such identification and which is not scheduled for reconstitution in the following year, the City Board will, to the extent space is available, provide the student with an opportunity to transfer to another SLPS school designated by the City Board which is not so identified and SLPS will provide transportation to the student as appropriate. The State shall not utilize transportation provided pursuant to this Section in determining the efficiency of the City Board’s transportation, and the City Board shall receive State transportation aid.
Right of Transfer. Purchaser may assign the Purchased Receivables and/or its rights under this Agreement to any other entity subject to such assignee and each successor assignee agreeing to be bound by the terms set forth in this Agreement including Section 6.
Right of Transfer. The caregiver shall be required to comply with any reasonable request to transfer to another suitable position or place of work within the hospital (within the limits of the caregiver's skill, competence and training).
