Scope of Legal Services. (a) The legal services we will provide are:
(i) the services specified in our fee proposal, together with the usual things supplied for such services; or
(ii) if no services are specified in our fee proposal or we do not provide a fee proposal, the specific services we agree to provide.
(b) If during an engagement the relevant legal services change:
(i) we may decline to provide the new services and may review our fee proposal for the initial services; and
(ii) these terms will apply to any new services we agree to provide, together with any updated or supplementary fee proposal.
(c) After we have provided you with advice, information or other services, we are not liable to inform you of subsequent:
(i) changes to the law or administrative practice relevant to the services; or
(ii) times, dates or conditions for the exercise of any right or discharge of any obligation in connection with the services.
(d) We are not qualified to provide investment or valuation advice and recommend you obtain such advice from a qualified expert.
Scope of Legal Services. Counsel shall provide the Legal Services approved by the Attorney General, which services are more fully described and set forth on Exhibit B, attached and incorporated fully herein. Counsel shall execute its responsibilities by following and applying the highest professional standards. If the State or the Attorney General becomes dissatisfied with the work product or the working relationship with any individual assigned to work pursuant to this Agreement, the State or the Attorney General may request in writing the replacement of any or all such individuals, and Counsel shall grant such request.
Scope of Legal Services. The Law Firm will provide any and all legal services requested of it by the Mayor, Board of Trustees, Town Administrator, and any boards or employees of the Town authorized by the Mayor, Board of Trustees or Town Administrator to request legal services of the Law Firm. Such services shall include, but are not limited to the following:
a. Attend regular and special meetings of the Board of Trustees; attend study session meetings of the Board of Trustees as requested.
b. Attend meetings and conferences with Board of Trustees, Town boards and commissions, Town staff and officers as directed by the Mayor, Board of Trustees or Town Administrator.
c. Prepare and/or review ordinances and resolutions.
d. Prepare and/or review contracts for services, materials, and real estate involving the Town.
e. Respond to all inquiries and communications of a general legal nature from the Mayor, members of the Board of Trustees, Town Administrator, and Town staff.
f. Represent the Town in its dealings and negotiations with federal, state and local governmental entities and agencies, special improvement districts and utilities.
g. Represent the Town in litigation matters involving the Town.
h. Enter an appearance in and/or monitor litigation matters that are being actively handled by outside counsel.
i. Perform such other duties as may be prescribed by the Mayor, Board of Trustees, or Town Administrator. The Law Firm agrees to exercise its best efforts on behalf of the Town and to handle the matters for which representation has been requested of it faithfully and with due diligence, and in accordance with the Colorado Rules of Professional Conduct. The Law Firm cannot and does not guarantee or agree that a result favorable to or satisfactory to the Town will be achieved. No settlement or compromise will be made without the Town's consent. Scope of Legal Services. For the purpose of providing the legal services the Law Firm will assign a sufficient number of its attorneys and/or senior foreign legal consultants1 who, during the performance of the subject of the Agreement, may also use the work of advocate trainees, legal assistants and interns to ensure that the requirements of the Mandator are always complied with in a timely manner and to the appropriate level of quality. The following attorneys and/or senior foreign legal consultants in particular will participate in this case for the Law Firm: ……………………………, while ………………. will be the attorney responsible for the provision of legal services pursuant to Articles 2.2 to 2.4 of this Agreement. The Law Firm will ensure that the overall management of the Dispute will be covered by a single attorney or senior foreign legal consultant, responsible for the provision of the legal services (hereinafter the “Leading Counsel”). The Leading Counsel will be the leader of the team of lawyers of the Law Firm for the duration of the provision of the legal services by the Law Firm pursuant to this Agreement. The Leading Counsel will participate in the preparation of all submissions relating to the Dispute (defence, statement for the defence, rebuttal and so on), in the representation of the Mandator during oral proceedings before the arbitration tribunal (hereinafter the “Pleading”) and in preparations for oral proceedings before the arbitration tribunal. In the event of a change to this person during the Dispute the Law Firm must immediately inform the Mandator and propose a replacement person who fulfils the same requirements to continue in the activity of his predecessor, while this change must always be approved by the Mandator expressly and in advance. The Law Firm agrees that the Leading Counsel will participate at least 30% (thirty per cent) in the running of the case (hereinafter the “Quota”). The Quota will be calculated from the total number of hours in a calendar month genuinely invested by the Law Firm in the legal representation pursuant to Article 3 of this Agreement. With regard to a calendar month in which there is oral proceedings and Pleading, the Quota will not be calculated for the months immediately preceding and immediately following that month, and failure to comply with it in these months will not be considered a breach of the Agreement. Scope of Legal Services a) BLG may use the software and database subject to the Software License Agreement on any and all accounts BLG chooses and LMF shall provide BLG the services described herein on such accounts at no cost to BLG.
b) For Delinquent Unit accounts subject to Purchase Agreements between LMF and Community Associations, BLG shall serve as Counsel as further defined by the respective Purchase Agreements, and shall provide collection related services at the direction of LMF as provided for, and limited by, the Purchase Agreements between LMF and the Community Associations.
c) The LMF sales staff or LMF’s representatives shall provide reasonable support services to BLG with regard to the Delinquent Unit accounts assigned and defined pursuant to Purchase Agreements.
d) BLG’s representation under this Agreement does not extend to any specific members of the Community Associations’ Board of Directors. BLG is not obligated to advise or represent Community Associations regarding any additional matters unless BLG agrees to it by separate written retainer agreement with the Community Association, and under the condition that the terms set forth herein will continue to apply.
e) BLG will take direction from LMF for Delinquent Unit accounts subject to Purchase Agreements, pursuant to the terms of the Purchase Agreements. The Community Associations have granted this authority to LMF pursuant to an irrevocable Power of Attorney given under the Purchase Agreements between LMF and the Community Associations. LMF will provide BLG, on an annual basis, in writing, with a current list of individuals who have the authority to act on behalf of LMF.
f) The parties hereto understand and agree that BLG is not a party to any Purchase Agreements between LMF and any such Community Associations.
Scope of Legal Services. A. Counsel shall provide representation for eligible state employees and state officers pursuant to IC 4-6-1-6, 4-6-2-1 and 4-6-2-1.5 in matters concerning grievance and misconduct complaints filed before the Indiana Disciplinary Commission so long as such grievance or misconduct arise within the scope of employment; litigation matters, primarily in (but not limited to) defense and prosecution of civil lawsuits, enforcement of administrative orders, judicial review of final agency actions, civil appeals, and any other matter type the Attorney General determines to be appropriate for assignment to Counsel and agreed to by Counsel (the “Legal Services”). In addition to the general matters where Counsel may be assigned to provide Legal Services, Counsel shall also provide Legal Services in the matters of State of Indiana ex rel. Xxxxx Xxxxxx

The Legal Services are more particularly described in Exhibit A, attached hereto and incorporated herein. Counsel shall represent the State in pursuing the State's legal rights to recover equitable relief, damages, compensation, fines, penalties, fees, and costs to which the State may be entitled from the Defendant(s) for violations of Indiana’s Deceptive Consumer Sales Act or any other applicable law (the " Legal Services"). Any subsequent investigation or litigation undertaken by the Attorney General against Xxx Xxx or related Defendants beyond the scope of this Agreement shall not entitle Counsel to recovery or payment. Counsel shall execute its responsibilities by following and applying the highest professional standards. If the State becomes dissatisfied with the work product or the working relationship with any individual assigned to work pursuant to this Agreement, the State may request in writing the replacement of any or all such individuals and Counsel shall grant such request.
Scope of Legal Services. The Client and Attorney have, following discussion of those matters underlying the Client’s retention of Attorney, determined that the services to be performed by Attorney are generally as follows:
(a) Attorney shall review and analyze the various materials and proposals concerning the cable television renewal process in Chelmsford;
(b) Attorney shall offer advice to the Client on the various aspects of the cable television renewal process, including, but not limited to, legal, regulatory and financial advice;
(c) Attorney shall help ensure that the Client complies with all applicable state and federal statutes and regulations concerning the cable television renewal process;
(d) Attorney shall draft such letters as necessary to the cable television license applicant;
(e) At the appropriate time, Attorney shall draft the cable television renewal license for the Client, at the request of the Client;
(f) Attorney shall meet with Chelmsford officials when necessary;
(g) Attorney shall attend and participate in any meetings and/or public hearings that the Client holds in connection with the cable television renewal process, at the request of the Client; and
(h) Attorney shall perform such other tasks related to the cable television renewal process as is necessary, at the request of the Client.
