STANDARDS FOR CONDUCT. Company shall use Commercially Reasonable Efforts to execute and to perform, or cause to be performed, Development activities with Compounds and Products in in good scientific manner and in compliance with Applicable Law, Good Clinical Practice, and Good Laboratory Practice.
STANDARDS FOR CONDUCT. A. Loras College, through its official representatives, including, but not limited to, a program director, has the authority to establish and enforce rules of conduct necessary for the operation of the course during the entire period of the term, including free time. The illegal use of drugs and/or alcohol at any time, including free time or independent activity, is strictly prohibited. Should an official representative of Loras College decide that a participant must be dismissed from the course because of violation of any stated rules, for disruptive behavior or for any conduct that might bring the program into disrepute or its participants into legal jeopardy, that decision will be final. Dismissal from the course will result in the loss of all academic credit for the term. Persons dismissed from the program will remain responsible for all costs incurred on their behalf and any additional costs resulting from their dismissal and early departure. No refunds will be given. B. I understand that each state and foreign country has laws and standards of acceptable conduct including dress, manners, morals, politics, drug and alcohol use, and behavior. I recognize that behavior which violates those laws or standards could harm the relations of Loras College with those states and the institutions therein, as well as my own health and safety. I will become informed of and will abide by all such laws and standards to or through which I will travel during the program. In particular, I understand that the possession, use of, or association with illegal drugs or public drunkenness may subject me to severe legal penalties. C. I will attend to any legal problems I encounter including those with any foreign nationals or government. Loras College is not responsible for providing any assistance under such circumstances. In most cases, the United States government will also not offer assistance. D. I understand that these courses are not staffed in order to provide round-the- clock supervision of participants. Participants must take responsibility for their own behavior, their own safety, and the consequences of their actions, especially if they fail to follow the best advice of program leaders and on-site travel providers and personnel. E. I understand that faculty directors and Loras College staff have the authority to establish and enforce expectations for the smooth functioning of the course.   • Standards of Conduct Whenever the Member is required or permitted to make a decision, take or approve an action, or omit to do any of the foregoing, then the Member shall be entitled to consider only such interests and factors, including its own, as it desires, and shall have no duty or obligation to consider any other interests or factors whatsoever. To the extent that the Member has, at law or in equity, duties (including, without limitation, fiduciary duties) to the Company or other person bound by the terms of this Agreement, the Member acting in accordance with the Agreement shall not be liable to the Company or any such other person for its good faith reliance on the provisions of this Agreement. The provisions of this Agreement, to the extent that they restrict the duties of the Member otherwise existing at law or in equity, replace such other duties to the greatest extent permitted under applicable law.

  • Human and Financial Resources to Implement Safeguards Requirements The Borrower shall make available necessary budgetary and human resources to fully implement the EMP and the RP.

  • Policies, Guidelines, Directives and Standards Either the Funder or the Ministry will give the HSP Notice of any amendments to the manuals, guidelines or policies identified in Schedule C.   • User Conduct You agree not to use Mobile Banking or the content or information delivered through Mobile Banking in any way that would: (a) infringe any third-party copyright, patent, trademark, trade secret or other proprietary rights or rights of privacy, including any rights in the Software; (b) be fraudulent or involve the sale of counterfeit or stolen items, including, but not limited to, use of Mobile Banking to impersonate another person or entity; (c) violate any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising); (d) be false, misleading or inaccurate; (e) create liability for us or our affiliates or service providers, or cause us to lose (in whole or in part) the services of any of our service providers; (f) be defamatory, trade libelous, unlawfully threatening or unlawfully harassing; (g) potentially be perceived as illegal, offensive or objectionable; (h) interfere with or disrupt computer networks connected to Mobile Banking; (i) interfere with or disrupt the use of Mobile Banking by any other user; or (j) use Mobile Banking in such a manner as to gain unauthorized entry or access to the computer systems of others.
