Technical Integration. If technical integration testing is indicated as an item on the Order Document, prior to delivery of the Product to GE, Licensor shall develop testing procedures and provide them to GE for its approval (such approval not to be unreasonably withheld). Such testing procedures shall be sufficient to test the functionality of the Product in GE’s operating environment and using GE’s data. Within thirty (30) days after installation of the Product, Licensor shall apply such testing procedures and, if such procedures are satisfied and the Product otherwise conforms to its specifications and the requirements of this Agreement, Licensor shall certify to GE that acceptance testing may commence. In the event that the Software fails to pass any of Licensor’s testing procedures within said thirty (30) day-period, Licensor must make a good faith effort during the following thirty (30) days to remedy defects and functional/operational issues prohibiting successful testing. If testing fails after completion of this second thirty-day period, GE may cancel this Agreement and require immediate refund of all sums paid to Licensor, in addition to any other remedies accorded by law or under this Agreement.
Technical Integration. Hotmail and Greet Street agree to mutually determine a minimum level of integration between Hotmail's E-mail service and the Store's product ordering and personalization process. For example, by way of illustration only, Hotmail may choose to pass Greet Street the E-mail addresses of each user so that Greet Street may automatically populate the "From" field of Dynamic E-mail products purchased by that customer. Greet Street and Hotmail agree to mutually explore further options for integrating the Store with Hotmail's service.
Technical Integration. NewCo and Microsoft will cooperate in good faith to develop a technical integration plan to enable NewCo’s use of the Microsoft Commerce Platform, including any service level agreements associated with systems uptime, accessibility and connectivity. Such technical integration plan will address the APIs that NewCo has access to in connection with its use of the Microsoft Commerce Platform.
Technical Integration. 1.1.3.5.1 Orange will work with Customer to determine the level of Orange effort needed to integrate and setup the WCP Service into the IT Infrastructure. Depending on the level of effort and the scope of the WCP Service implementation project, Orange may either provide Customer with a project plan that outlines the steps and activities that the Parties will undertake to implement the WCP Service, or send to Customer’s technical contact or an Administrator an e-mail to explain the necessary technical changes that Customer needs to make to the IT Infrastructure in order to implement and use the WCP Service.
1.1.3.5.2 Customer will supply Orange with all technical data and all other information that Orange may reasonably request to allow Orange to supply the WCP Service.
Technical Integration. Subject to Media Company’s obligations that the Monthly Impressions be VAST Compliant and VMT’s agreement to serve Creatives into certain types of XXX Properties, throughout the Term, VMT will ensure, at its sole expense, that its systems and all Creatives sold by it for display on the XXX Properties function properly and interoperate with all ad serving systems and functionality (including, without limitation, ad calls, inventory management, ad insertion, and sales management reporting) used by Media Company or its third-party ad serving providers on the XXX Properties as may be specified by Media Company or such providers during the Term.
Technical Integration. The interface for delivery of the services through the CSC would be accessed and delivered through the portal developed by CSC SPV. Hence, both parties shall work in coordination for technical integration of CSC SPV Portal and DAC & FW Portal to deliver services effectively through the CSC Portal. Either party shall share their application, documentation, API's, source code etc (collectively known as artifacts) required for the technical integration subject to security & confidentiality requirements of the artifacts under consideration.
Technical Integration. Xxxxxx.xxx will make the Business Center available on an Xxxxxx.xxx server, to be linked to from the ebank Site, on or about the Availability Date (as defined herein).
Technical Integration. The Parties acknowledge that certain aspects of the Services described in this Exhibit will initially be manually performed; however, the Parties desire to establish a technical integration for Test report and result delivery. As set forth in Section 1(b)(iii) of the Agreement, the Parties will reach an agreement on a operational plan that addresses the technical issues needed to provide the Services outlined in this Exhibit, including transfer of Test order information to Personalis, transfer of order status information to Tempus (including Specimen received, Specimen rejected and reason for rejection, quantity or quality not sufficient of testing (e.g., QNS) and reason for insufficiency, testing in progress, report signed out, missing requisition form items/information, test on hold for clinical review, patient consent, or other related reasons, order is on hold, or order is cancelled), and electronic delivery of Test results and Deliverables to Tempus. Each Party agrees to be responsible for its own costs and expenses associated with activities under the agreed upon integration activities. The Parties will work to in good faith to establish the agreed upon integration within [***] after the Effective Date.
Technical Integration. 1.1 No later than sixty (60) days after the Effective Date, Concur and Partner agree to jointly complete a development plan to integrate the Partner Store and the Partner Catalog, as appropriate, with the Concur Commerce Network, and specifying, among other things, the Launch Date. Concur shall also provide to Partner all documentation necessary for Partner to become compliant with the Concur Commerce Network. Partner has read and understood the "Supplier OnRamp" documentation included in this Agreement as Exhibit A and agrees that the Integration between Partner and Concur to be performed by the parties pursuant to this Agreement shall be within the framework of and consistent with Exhibit A. Concur reserves the right to modify Exhibit A at any time, at its sole discretion. Concur shall notify Partner within sixty (60) days of making any material change to Exhibit A.
1.2 Partner acknowledges and agrees that the parties will use only those protocols identified in Exhibit A as the required communication protocols between the Partner Store and the Concur Commerce Network.
1.3 Each of Partner and Concur agree to provide the other with at least thirty (30) days notice of any change in its Application which it believes would materially affect the Integration. The parties shall cooperate to implement any necessary changes to the Integration in order to accommodate such changes in the Application.
Technical Integration. Throughout the Term, Crackle and Sales Representative will use their mutual commercially reasonable efforts to ensure, at their sole respective expenses, that their systems and all Graphical Ads sold by Sales Representative for display on the Crackle Properties function properly and interoperate with all ad serving systems and functionality (including, without limitation, ad calls, inventory management, ad insertion, targeting (including geographic, demographic and behavioral targeting methods), rich media solutions and sales management reporting) used by Crackle or its third-party ad serving providers on the Crackle Properties as may be specified by Crackle or such providers during the Term. Crackle and Sales Representative will each respond to the other within 24 hours regarding technical integration, ad serving and fill rate issues.
