Telematic Services. The Telematic System is a telematic based system developed by Volvo Truck Corporation (VTC), and provided by UD Trucks Corporation (UDTC) for the trucks branded UD (VTC and UDT being referred together as “Volvo”), to support customers with information on their trucks, drivers and fleet performances, positioning, tracking, messaging and integration of third-party applications. The system consists of technical sensors, processors, a GSM/GPRS mobile gateway, software as a service (SaaS) solutions run by Volvo, which the customer can access via the internet in order to use the services and access certain of its data (“Telematic Web Portal”), as well as of the vehicle-based and other components (“Telematic Hardware”). The telematic hardware separately purchased by Customer collects, processes, monitors, analyses, and sends certain data interactively over the wireless network from the truck to Volvo in order to enable Volvo’s systems to further process the data and to provide the Services covered by this agreement, depending on the service level chosen by the Customer. Data may also be obtained by Volvo through use of diagnostic tools, e.g. Tech Tool, at workshops and dealers. The data concerned includes, but is not limited to, performance information of vehicle components, in particular power/torque utilization, brake usage, gear shifting and fuel consumption, the vehicle-ID, certain tachograph data (including the driver ID-number), the geo-position, the location, the detection of road and ambient conditions data with time stamps and operating hours. Some features of the Services may mix data from several third-party service providers. The running of the Telematic System and the provision of the Services includes the transfer of data to third-party service providers, in particular dealers and workshops authorized by Volvo, for the purposes of providing the Services as well as new services and for other purposes, for instance to monitor critical components and fault codes for proactive maintenance. Further information in relation to this is provided in the truck driver manuals and in descriptions of the Services and the Services’ additional terms and conditions. Telematic Services. The methods of information of the FACTOCICNET customer site are described in the Customer guide. They operate within the scope of article 13 of the general conditions and of the software license contract. These services provide detailed information online about the Company’s accounts and about its Purchasers’ accounts. By using the FACTOCICNET customer site, the Company may download all of this information to its microcomputer and send its invoices to the Factor by file transmission. Billing of these services is included in the monthly set price stated in the e-Pack purchase order. Any additional information request, especially for paper editions, will be the subject of specific pricing mentioned in the company price guide in a quote subject to the approval of the Company; this payment will be debited from the current account.
Telematic Services. 11-1 Subject Crédit Agricole Leasing & Factoring will make available to the Client a computerised trading service. The purpose of this service is to enable the Client to remotely view information about the various accounts managed by Crédit Agricole Leasing & Factoring under the factoring agreement. In particular, data concerning the accounts of the Buyers and the Client are conveyed by this service as information and provided there are operations under way. It requires a monthly subscription of 40 Euros, tax not included. The Client benefits from a quota of 500 Buyer Account openings for a valid period of 6 months Beyond the quota or the aforesaid period of validity, these account opening costs will be invoiced in terms of the effective rate, according to the rate guide attached in Appendix 7. Furthermore, Crédit Agricole Leasing & Factoring will be able to carry out the closing of any Buyer Account that was dormant for a minimum continuous period of 12 months.

  • Basic Services The Architect/Engineer’s Basic Services include all disciplines identified in Article 15 and all related usual and customary design, consultant, and other services necessary and reasonably inferable to complete the Project, or any phase of the Project, in accordance with the Owner’s requirements and the terms of this Agreement.

  • Specific Services Contractor agrees to furnish the following services: Contractor shall provide the services described in Exhibit “A”. No additional services shall be performed by Contractor unless approved in advance in writing by the County stating the dollar value of the services, the method of payment, and any adjustment in contract time or other contract terms. All such services are to be coordinated with County and the results of the work shall be monitored by the Health and Human Services Agency Director or his or her designee.

  • Personal Services 1. Subject to the provisions of Articles 14, 16 and 17, salaries, wages and other similar remuneration or income derived by a resident of a Contracting State in respect of personal (including professional) services shall be taxable only in that State unless the services are rendered in the other Contracting State. If the services are so rendered, such remuneration or income as is derived therefrom may be taxed in that other State.

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition.

  • Training Services Training Services may include pre-packaged training Products, and/or the development or customization of training programs as requested, including Live Training, Computer Based/Multi-Media Training which encompasses Internet-Delivered Training, and/or Video Based Training.

  • TELEPHONE SERVICES All telegraph, telephone, and communication connections which Tenant may desire outside the Premises shall be subject to Landlord’s prior written approval, in Landlord’s sole discretion, and the location of all wires and the work in connection therewith shall be performed by contractors approved by Landlord and shall be subject to the direction of Landlord, except that such approval is not required as to Tenant’s cabling from the Premises in a route designated by Landlord to any telephone cabinet or panel provided for Tenant’s connection to the telephone cable serving the Building, so long as Tenant’s equipment does not require connections different than or additional to those to the telephone cabinet or panel provided. As to any such connections or work outside the Premises requiring Landlord’s approval, Landlord reserves the right to designate and control the entity or entities providing telephone or other communication cable installation, removal, repair and maintenance outside the Premises and to restrict and control access to telephone cabinets or panels. In the event Landlord designates a particular vendor or vendors to provide such cable installation, removal, repair and maintenance for the Building, Tenant agrees to abide by and participate in such program. Tenant shall be responsible for and shall pay all costs incurred in connection with the installation of telephone cables and communication wiring in the Premises, including any hook-up, access and maintenance fees related to the installation of such wires and cables in the Premises and the commencement of service therein, and the maintenance thereafter of such wire and cables; and there shall be included in Operating Expenses for the Building all installation, removal, hook-up or maintenance costs incurred by Landlord in connection with telephone cables and communication wiring serving the Building which are not allocable to any individual users of such service but are allocable to the Building generally. If Tenant fails to maintain all telephone cables and communication wiring in the Premises and such failure affects or interferes with the operation or maintenance of any other telephone cables or communication wiring serving the Building, Landlord or any vendor hired by Landlord may enter into and upon the Premises forthwith and perform such repairs, restorations or alterations as Landlord deems necessary in order to eliminate any such interference (and Landlord may recover from Tenant all of Landlord’s costs in connection therewith). No later than the Termination Date, Tenant agrees to remove all telephone cables and communication wiring installed by Tenant for and during Tenant’s occupancy, which Landlord shall request Tenant to remove. Tenant agrees that neither Landlord nor any of its agents or employees shall be liable to Tenant, or any of Tenant’s employees, agents, customers or invitees or anyone claiming through, by or under Tenant, for any damages, injuries, losses, expenses, claims or causes of action because of any interruption, diminution, delay or discontinuance at any time for any reason in the furnishing of any telephone or other communication service to the Premises and the Building.

  • Outside Services Consultant shall not use the service of any other person, entity, or organization in the performance of Consultant’s duties without the prior written consent of an officer of the Company. Should the Company consent to the use by Consultant of the services of any other person, entity, or organization, no information regarding the services to be performed under this Agreement shall be disclosed to that person, entity, or organization until such person, entity, or organization has executed an agreement to protect the confidentiality of the Company’s Confidential Information (as defined in Article 5) and the Company’s absolute and complete ownership of all right, title, and interest in the work performed under this Agreement.

  • Support Services HP’s support services will be described in the applicable Supporting Material, which will cover the description of HP’s offering, eligibility requirements, service limitations and Customer responsibilities, as well as the Customer systems supported.

  • New Services (a) From time to time during the term of this Agreement, either Party may request the other Party to provide additional or different services which such other Party is not expressly obligated to provide under this Agreement (excluding, for the avoidance of doubt, any Additional Services or Service Increases, the “New Services”). The Party receiving such request shall consider such request in good faith; provided, however, that no Party shall be obligated to provide any New Services, including because, after negotiations between the Parties pursuant to Section 2.04(b), the Parties fail to reach an agreement with respect to the terms (including the Service Charges) applicable to the provision of such New Services.
