Usage Audit. You agree to provide GrammaTech with written certification providing Software usage information as requested by GrammaTech and confirming that, during the term of the Software License, the Software is being used in accordance with the terms of this Agreement. Upon at least thirty
Usage Audit. Upon reasonable notice to Customer, during the term of this Agreement and for three years thereafter, Customer will keep current, complete, and accurate records regarding the reproduction, distribution, and use of the Application. Customer will provide such information to Upland and certify that it has paid all fees required under this Agreement within five business days of any written request, so long as no more than two requests are made each year. Customer shall permit Upland to audit Customer’s use of the Application. Such audit may be conducted no more than once per quarter, at Upland’s expense, and this right will be exercised with reasonable prior notice, in such a manner as not to interfere with Customer’s normal conduct of business. If any of the audits referred to herein reveal that Customer has underpaid any fees to Upland in connection with the Application, Customer shall pay to Upland an amount equal to such underpayment within 10 business days of the date of the relevant audit. This Section 1.4 shall survive the termination or expiration of the Agreement for a period of one (1) year.
Usage Audit. If Appian has evidence to suggest that Customer is using the Appian Software in violation of this Agreement, Appian may, upon reasonable notice and during regular business hours, inspect the computers and records of Customer that are relevant to the particular concern that Appian has and which are reasonably necessary to verify Customer’s compliance with this Agreement (“Usage Audit”). To the extent reasonably practicable, Appian will first attempt to verify Customer’s compliance remotely through the inspection of log files or access to other files, documents, or data, prior to conducting a Usage Audit by visiting Customer’s facilities. Customer shall comply with all reasonable requests made during a Usage Audit, including by making its personnel available to answer questions and providing copies of the relevant records, provided that Appian shall use commercially reasonable efforts not to interrupt Customer’s authorised use of the Appian Software or Customer’s normal business operations. Appian agrees to comply with any generally applicable regulations and procedures governing access to Customer’s facility where the information Appian seeks in connection with a Usage Audit is kept, subject to Customer providing Appian advance written notice of the same and provided that any conflict between such regulations and procedures and the terms of this Agreement shall be settled in favour of this Agreement. If a Usage Audit results in a finding that Customer has breached this Agreement or that Customer’s use of the Appian Software exceeds the permitted use by more than 5%, Customer shall pay Appian’s costs to perform the Usage Audit.
Usage Audit. Your Bridge order provides coverage for a specific quantity of network systems. Empowered may at its sole discretion audit Your usage of Bridge. In the event that the quantity of network systems under management by You increases above the quantity described on Your order, Empowered will provide You with written notice of the overage. Empowered may at its sole discretion: (a) elect to charge You an additional fee for the quantity of network systems over and above the quantity described on Your order; or (b) require You to reduce Your usage to the specific quantity of network systems described on Your order within 30 days. Any additional fees will be calculated on a prorated basis from the date of audit to the end of Your Term.
Usage Audit. Your Empowered Advisor Order provides coverage for a specific quantity of network devices. Empowered Networks Inc. may at its sole discretion audit Your usage of Empowered Advisor. In the event that the quantity of network devices under management by You increases above the quantity described on Your Order, Empowered Networks Inc. will provide You with written notice of the overage. Empowered Networks Inc. may at its sole discretion: (a) elect to charge You an additional fee for the quantity of network devices over and above the quantity described on Your Order; or (b) require You to reduce Your usage to the specific quantity of network devices described on Your Order within 30 days. Any additional fees will be calculated on a prorated basis from the date of audit to the end of Your Term.
Usage Audit. Incredibuild may request that Licensee furnish it with a report with respect to the use by Licensee of the Software Product and/or Cloud Services in order to verify Licensee’s usage of the Software Product and/or Cloud Services in accordance with the terms of this Agreement. Without derogating from the foregoing, Incredibuild shall be entitled to audit Licensee’s usage of the Software Product and/or Cloud Services at Licensee’s facilities in order to verify proper usage in accordance with the terms herein. Such audits shall be scheduled a reasonable time in advance during Licensee’s normal business hours. If the audit uncovers any Licensee wrongful act, then, on top of any other applicable remedy available to Incredibuild at law or in equity, the cost of such auditing shall be borne by Licensee. By requesting an audit, Incredibuild does not waive its rights to enforce this Agreement or to protect our intellectual property by any other means permitted by law.
Usage Audit. Company (or a third party it reasonably designates) shall, from time to time, be entitled to audit Customer’s deployment and use of the Platform (a “Usage Audit“), and Customer shall facilitate such Usage Audit by providing Company with all access reasonably requested by Company (such as, for the purpose of calculating any Fees for overages). Non-Utilization Credit SLA. Customer shall be entitled to the Platform-related credits set forth in the Non-Utilization Credit SLA in Schedule A hereto (the “Non-Utilization Credit SLA“).For the avoidance of doubt, the Non-Utilization Credit SLA only applies in respect of Managed RIs and Managed SPs, and shall not apply in respect of any RIs or SPs that were purchased by the Customer or by any third party on its behalf (to the extent that such purchases result in RI non-Utilization or SP non-Utilization of the Managed RIs or Managed SPs).
Usage Audit. If Appirio believes that Customer has used the Licensed Software or the Crowdsourcing Platform outside the scope of this CS Agreement, upon reasonable notice, Appirio may conduct an audit of Customer’s use during Customer’s normal business hours. Appirio will comply with reasonable security requirements of Customer while conducting such audit.
Usage Audit. Illusive may request once per year that Licensee furnish it with a report in a format requested by Illusive with respect to the use by Licensee of the Software in order to verify Licensee’s usage of the Software in accordance with the terms of this Agreement.
Usage Audit. 11.1. The PLATFORM has a system to identify the actions of each user, with the time and repercussions.
11.2. The USER will have one or more users to perform analyses or actions, the consequences of which will be the responsibility of the USER.
11.3. The content of the communications (text message, e-mail, push message, purchase ticket), and the type of discount/offer given from the PLATFORM, will be validated by the USER; therefore, the financial consequences of these discounts/promotions will not be the responsibility of LOYAL GURU.
11.4. The group of customers to which campaigns are made will be specifically chosen by the USER; therefore, any complaints made by customers, due to the receipt of unwanted communications, will also be responsibility of the USER. LOYAL GURU will allow management of the sending of campaigns to users while respecting their wishes for receiving communications.
