Use of Surpluses. 53.1 If the Organisation out-performs the Delivery Plan in any Financial Year and if as a consequence the Council would benefit from any Surplus and the Council does not require the same to meet any obligations or commitments (whether to third parties or otherwise) then to the extent permitted by and subject to any conditions set out in the Delivery Plan the Organisation shall (having first consulted with the Area Board to the extent that the Organisation deems appropriate) use or apply such Surplus in accordance with clause 53.2 or clause 53.3 as appropriate, or otherwise with the written consent of the Council's Representative (such consent not to be unreasonably withheld or delayed).

Salix will indemnify the Council against the cost of any: claims by transferring employees that their working conditions have changed substantially as a result of their having transferred; act or omission by Salix in relation to transferring employees which takes place after transfer; and Wrongful or unfair dismissal or redundancy claims relating to the transfer. Salix may not make significant amendments to staffing levels or structure without the Council’s prior consent. Existing contract hire and maintenance agreements for cars currently held by transferring employees will transfer to Salix. Monies owed to the Council by transferring employees for car loans will become payable to Salix from the commencement date.
