Works Councils and Employee Representative Bodies. The Data Room contains details of all work councils and employee representative bodies which by law or any collective bargaining agreement have the right to be informed and/or consulted on matters which affect the Employees.
Works Councils and Employee Representative Bodies. The Data Room contains:
7.5.1 full and accurate particulars of all Representative Bodies which by law or under any collective bargaining agreement have the right to be informed and consulted on matters which affect the Employees of any Group Company; and
7.5.2 all union recognition agreements, collective or workforce agreements, trade union membership agreements, dismissal procedures agreements, works council and European Works Council agreements (other than national collective bargaining agreements or industry wide collective agreements) between any Group Company and any Representative Body.
Works Councils and Employee Representative Bodies. The Disclosure Letter lists all employee representative bodies which by law or any collective bargaining agreement have the right to be informed and consulted on matters which affect the Relevant Employees.
Works Councils and Employee Representative Bodies. 7.3.1 So far as the Principal Seller is aware the Disclosure Letter lists all work councils, employee representative bodies and labour unions which by law or any collective bargaining agreement have the right to be informed and consulted on matters which affect the Relevant Employees.
7.3.2 The Group Companies have complied with all obligations under the European Regulations or otherwise to provide information to and/or consult with or obtain consents from any Relevant Employees or any Employee Representative Bodies about the transactions effected by this Agreement or the Network Services Agreement. Notwithstanding any other provision of this Agreement, this warranty 7.3.2 is given by the Principal Seller at Closing and not at the date of this Agreement. Back to Contents
Works Councils and Employee Representative Bodies. 7.3.1 The Data Room contains details of all work councils and employee representative bodies which by law have the right to be informed and/or consulted on matters which affect the Current Employees.
7.3.2 So far as the Transferors are aware, no litigation is currently underway or has been commenced in the 24 months prior to the date of this Agreement between a Business and any Group Company and any such works council or representative body.
Works Councils and Employee Representative Bodies. The Disclosure Documents contain:
(a) details of all works councils and other employee representative bodies which, by law or any collective bargaining agreement or any other agreements or arrangements, have the right to be informed and consulted on matters which affect the Employees; and
(b) all union recognition agreements, collective agreements and works council and European Works Council agreements (other than national collective bargaining agreements or industry wide collective agreements) between, on behalf of or binding upon a Target Group Company and trade unions or representative bodies relevant to the Employees.
Works Councils and Employee Representative Bodies. (a) The Disclosure Documents contain details of:
(i) all works councils and other employee representative bodies which, by law or any collective bargaining agreement or any other agreements or arrangements, have the right to be informed and consulted on matters which affect the Employees; and
(ii) all union recognition agreements, collective agreements and works council and European Works Council agreements (other than national collective bargaining agreements or industry wide collective agreements) between the Group Companies and trade unions or representative bodies relevant to the Employees (together, the “Collective Bargaining Agreements”).
(b) The Group has at all times complied in all material respects with its obligations: (i) under each Collective Bargaining Agreement; and (ii) to inform and/or consult with employee representatives of the Employees.
(c) The Group has at all times informed and consulted appropriate employee representatives in respect of any collective redundancies or reductions in force, any relevant transfer under the Transfer of Undertakings (Protection of Employment) Regulations 2006 (“TUPE”) or equivalent legislation in any other jurisdictions, its obligations to a European or domestic works council and any other matter or issue that might reasonably be expected to trigger an obligation to inform or consult. The Group has no obligation to any employee representative that will prevent or delay or otherwise affect the Acquisition.
(d) During the last twelve (12) months, no Group Company has been party to any relevant transfer as defined in TUPE or similar local legislation applicable to a Group Company.
Works Councils and Employee Representative Bodies. The Disclosure Letters list all works councils, trade unions and employee representative bodies with which the Group Companies deal or formally recognise. No written request has been received by any Group Company for the recognition of any other works council, trade union or employee representative body.
Works Councils and Employee Representative Bodies. Annex 10.11.2 lists all works councils and employee representative bodies which by law or any collective bargaining agreement have the right to be informed and consulted on matters which affect the employees of the BOMAG Group Companies.
Works Councils and Employee Representative Bodies. The Disclosure Documents contain details of all works councils, trade unions and other employee representative bodies representing some or all of the DivestCo Employees and all collective bargaining agreements between a Seller Group Company and an employee representative body (other than national, industry or sector level collective bargaining agreements) that are applicable to the DivestCo Employees.
