Delivery Terms lf at our fault, we do not adhere to the agreed delivery date, then Customer can rescind the agreement upon the unsuccessful expiry of the grace period granted by Xxxxxxxx in writing. Any additional claims of Customer, in particular for damages, based on non-fulfilment shall be excluded.
Delivery Terms a) Delivery dates and delivery timeframes have to be agreed in writing and any changes need to be confirmed in writing in order to be binding. b) In case of engineering services provided by Seisenbacher, delivery timeframe starts at the time of design freeze or alternatively with the handing of final designs to the Customer. In case of any design changes after design freeze, initially agreed delivery dates and times will become obsolete and new delivery dates and timeframes have to be reviewed and confirmed by Seisenbacher. c) On time delivery requires on-time and in-full submission of order and call-offs as well as any required document that the Customer is obliged to submit to Seisenbacher prior to start of engineering or manufacturing and assembly based on a confirmed timetable. Any permits for shipping or legal documents must be ready at an agreed date as well in order to guarantee delivery timeframes as contractually stipulated. d) The Customer shall not reject partial and advance deliveries unless such deliveries are unacceptable to the Customer and have been confirmed as part of the contract or order. e) The delivery date is considered complied with when the stated items to be delivered on such agreed date have left the plant or are ready for dispatch on such date. Unless otherwise stated in the order confirmation, delivery dates shall be non-binding dates. e) In case of unforeseen events such as force majeure, business disruption due to strikes or traffic congestion that may delay shipments from suppliers or to Customers, or other reasons that Seisenbacher cannot be held liable nor responsible for, the delivery period and delivery date shall be extended or postponed as long as the unforeseen circumstances impact daily operations and a re-start of production may require.
Delivery Terms. 1. Surplus or short deliveries of up to 10% of the quantity ordered, which are customary for this sector, are permitted. This also applies to specially designed products as well as DIN parts that need to be specially processed. Other specifications require prior written agreement. 2. Whether the customer is in default or not shall not be relevant in this context. In case of unauthorized non- acceptance of the goods by the customer, costs and damages, transport risks and additional transport costs shall be borne by the customer unjustifiably denying the acceptance of the goods. 4. If we do not meet the delivery deadline or the delivery date, the customer is obliged to inform us, in writing, of an appropriate secondary delivery time. 5. If the non-compliance with delivery times is due to force majeure, such as war, riots, storms, disasters or similar events, such as strikes, lockouts, etc., the delivery time shall be appropriately extended, i. e. usually equivalent to the period of delay.

If performance is still not possible within the new delivery deadline, Promotion Pets is entitled to withdraw from the contract in full or in part and shall promptly reimburse an already received consideration. In particular the late delivery of Promotion Pets‘ own sub-suppliers is deemed a case of non-availability if neither Promotion Pets nor its sub-supplier is acting with fault. 5.5. Furthermore, the customer’s right to termination of a contract upon expiry of a reasonable period of grace granted to Promotion Pets without result shall remain unaf- fected. 5.6. Whether delivery is in default shall otherwise be determined pursuant to the stat- utory provisions. However, a delivery reminder by the customer shall in any case be required.
Delivery Terms. All deliveries are “free warehouse” to a location determined by TSI, and unless determined otherwise, shall include packaging and conservation.
