Comparable Job Terms definition

Comparable Job Terms means, in respect of a Business Employee, terms of employment that provide for the following: (a) a position with job duties reasonably comparable to those applicable to the applicable employee’s position with Seller or its Affiliates immediately prior to the applicable Hire Date; (b) an annual base salary rate (or in the case of an hourly employee, base hourly rate of pay), at least equal to such employee’s base salary or rate of pay as in effect immediately prior to the applicable Hire Date; (c) immediate eligibility for Buyer’s or any of its Affiliates’, as applicable, employee benefit plans available to similarly situated employees of Buyer or any of its Affiliates, as applicable (which benefits shall include, at a minimum, health insurance, a tax-qualified defined contribution retirement plan, and paid time off for sick/medical reasons and personal reasons, including vacation, and shall exclude any frozen defined benefit retirement plan), effective as of the applicable Hire Date; (d) an annual base salary rate (or in the case of an hourly employee, base hourly rate of pay) plus target cash incentive opportunity (calculated as the sum of the annual discretionary cash incentive funded target opportunity and the variable quarterly formulaic incentive compensation target opportunity, as applicable) that, in the aggregate, is no less favorable than the aggregate base salary rate (or base hourly rate of pay if applicable) and target cash incentive opportunity provided to such Business Employee immediately prior to the applicable Hire Date; (e) a primary work location which, with respect to the employee, does not result in a Material Change of Work Location, except for employees who work remotely on a permanent basis as of immediately prior to their applicable Hire Date (and not as a result of any temporary work-from-home policy implemented as a result of COVID-19); and (f) prior service credit for the employee’s recognized service with Seller (or any of its Affiliates) prior to the applicable Hire Date in accordance with and to the extent specified in Section 5.2(e), in each case without regard to any changes made after the date of this Agreement by Seller or its Affiliates pursuant to Section 5.1(a)(vi)(D).
Comparable Job Terms means, in respect of a Business Employee, terms of employment that provide for the following (in each case, other than with respect to clause (c), with such comparability measured based on the information set forth on the Updated Closing Census, as updated in accordance with Section 5.2(a)): (a) a position substantially comparable to the Business Employee’s position with Seller or its Affiliates immediately prior to the applicable Hire Date, as adjusted to reflect Buyer’s and its Affiliates’ conventions and standard practices regarding titles and reporting structures; (b) an annual base salary rate (or in the case of an hourly employee, base hourly rate of pay), at least equal to such Business Employee’s base salary or rate of pay as in effect immediately prior to the applicable Hire Date; (c) eligibility for employee benefits that are no less favorable, in the aggregate, than those employee benefits provided to either (x) such Business Employee immediately prior to the applicable Hire Date pursuant to the Employee Benefit Plans set forth on Section 3.13(a) of the Seller Disclosure Letter or (y) except as provided on Section 1.1(B) of the Buyer Disclosure Letter, similarly situated employees of Buyer or its Affiliates, in each case, other than any frozen retiree health or welfare benefits, frozen non-qualified deferred compensation plans, frozen defined benefit retirement plans, or one-time special bonus opportunities; (d) an annual discretionary target percentage cash incentive opportunity and variable formulaic cash incentive compensation opportunity (if applicable), in each case, that is no less favorable than such incentive opportunity provided by Seller or any of its Affiliates to the Business Employee immediately prior to the applicable Hire Date (for the avoidance of doubt, other than one time or special non-ordinary incentive compensation opportunities payable in connection with, or a result of, the transactions contemplated by this Agreement); (e) target equity and/or equity-based incentive opportunities (if applicable) that are no less favorable than such incentive opportunities provided by Seller or any of its Affiliates to the Business Employee immediately prior to the applicable Hire Date (with such reasonable vesting terms as may be determined by Buyer in its sole discretion) but, for the avoidance of doubt, excluding Seller’s Free Share and Employee Purchase Plan or any other employee purchase plan or “free share” program maintained by Selle...

  • comparables means information that compares an issuer to other issuers;

  • Comparable Position means a position where:

  • Third Party Terms means, if any, the end user license agreement(s) or similar terms for the Third Party Software, as applicable and attached as Exhibit D.

  • Financial Terms means the amount of compensation to be received by Vendor as evidenced by the Contract Documents, during the contract time.

  • Product Terms means the document that provides information about Microsoft Products and Professional Services available through volume licensing. The Product Terms document is published on the Licensing Site and is updated from time to time.

  • URL Terms means the terms with which Customer must comply, which are located at a URL, referenced in this Agreement and are hereby incorporated by reference.

  • Service Terms means the rights and restrictions for particular Services located at xxxx://xxx.xxxxxx.xxx/serviceterms (and any successor or related locations designated by us), as may be updated by us from time to time.

  • Special Terms means the Section of the Contract entitled “Special Terms” that contains terms specific to this Contract, including but not limited to the Scope of Work and contract payment terms. If there is a conflict between the General Terms for Services Contracts and the Special Terms, the Special Terms shall prevail.

  • Commercial Terms means this Agreement excluding the Purchase Order;

  • Other Terms means as follows:

  • Service Specific Terms has the meaning given in the G Suite Agreement or Complementary Product Agreement, as applicable, or, if Customer’s G Suite Agreement does not define “Service Specific Terms”, means the then-current terms specific to one or more Core Services for G Suite set out at xxxxx://xxxxxx.xxxxxx.xxx/terms/service-terms/.

  • Product Specific Terms means the terms applicable to a specific item of Licensed Software as set out in Schedule 2;

  • Key Terms means, with respect to a Relevant Transaction and a party, the valuation of such Relevant Transaction and such other details the relevant party deems relevant from time to time which may include the effective date, the scheduled maturity date, any payment or settlement dates, the notional value of the contract and currency of the Relevant Transaction, the underlying instrument, the position of the counterparties, the business day convention and any relevant fixed or floating rates of the Relevant Transaction. For the avoidance of doubt, "Key Terms" does not include details of the calculations or methodologies underlying any term.

  • Online Services Terms means the additional terms that apply to Customer’s use of Online Services published on the Licensing Site and updated from time to time.

  • Specific Terms in relation to a Loan means the specific terms applicable to that Loan as set out in the document entitled ‘Specific Terms’ related to that Loan;

  • Restricted Services means services of any kind or character comparable to those Executive provided to the Company during the eighteen (18) month period immediately preceding Executive’s last date of employment with the Company.
