Compliance with Legislation. Should any term of this Agreement fail to comply with a mandatory minimum standard or requirement imposed by applicable legislation, then the minimum standard or requirement shall apply in place of the offending term of this Agreement, and shall constitute the rights and obligations of the Parties in that respect.
Compliance with Legislation. The amount transferred shall respect the rules for registered pension plans imposed by the Income Tax Act. Any reduction resulting from the application of such rules is dealt with according to the terms of the Exporting Plan. The Exporting Authority shall complete and send to the Importing Authority "Appendix C- Information Required For Tax Purposes". The provisions of this agreement apply to the extent that they do not contravene the provisions of the Pension Plans, the Nova Scotia Pension Benefits Act, the Income Tax Act, Canada or any other applicable legislation.
Compliance with Legislation. The Partner in all his dealings and in carrying on its business has complied with all applicable laws including The Regulations and all applicable Taxes Acts and environmental and planning legislation and qualifies in all respects with the terms of participation as prescribed in The Regulations.
Compliance with Legislation.
13.11.1. In this clause 13.11: Legislation means a provision of a statute or subordinate legislation of the Commonwealth, or of a State, Territory or local authority.
13.11.2. The Service Provider agrees to comply with any Legislation applicable to its performance of this contract.
13.11.3. The Service Provider acknowledges that its attention has been drawn to the fact sheet referred to in Item 22 [Applicable Legislation] which provides details of some Legislation that may be applicable to the performance of the contract.
Compliance with Legislation. You shall at all times comply with all relevant legislation from time to time in force insofar as it is relevant to performance of the services under this agreement. You shall not unlawfully discriminate within the meaning and scope of the provisions of the UK Race Relations Xxx 0000, the UK Sex Discrimination Act 1995 (as revised, amended or supplemented from time to time) or as prohibited by the laws of the place of the performance of any of the services. You shall take all reasonable steps to protect the environment in relation to the performance of the services and shall comply with all applicable environmental laws, regulations and DFID practice.
Compliance with Legislation. The Borrower shall do or cause to be done, and the Borrower shall cause the Guarantors to do or cause to be done, all acts necessary or desirable to comply with all material Applicable Laws, including, without limitation, all Requirements of Environmental Law and to preserve and keep in full force and effect all franchises, licences, rights, privileges and permits necessary to enable each of the Obligors to operate and conduct their respective businesses in accordance with standard industry practice and to advise the Lender of any anticipated changes, loss or sale of such franchises, licences, rights, privileges and permits.
Compliance with Legislation. The Guarantor’s business shall comply with the applicable laws in all aspects that the Credit Agent considers significant. The Guarantor shall timely submit tax returns and pay taxes in such terms and in such amounts as provided for by any applicable laws in all aspects that the Credit Agent considers significant.
Compliance with Legislation. The Employee acknowledges that the conditions relating to settlement agreements [and compromise contracts] under section 147(3) of the Equality Xxx 0000, section 288(2B) of the Trade Union and Labour Relations (Consolidation) Xxx 0000, section 203(3) of the Employment Rights Xxx 0000, regulation 35(3) of the Working Time Regulations 1998, section 49(4) of the National Minimum Wage Xxx 0000, regulation 41(4) of the Transnational Information and Consultation etc. Regulations 1999, regulation 9 of the Part-Time Workers (Prevention of Less Favourable Treatment) Regulations 2000, regulation 10 of the Fixed-Term Employees (Prevention of Less Favourable Treatment) Regulations 2002, regulation 40(4) of the Information and Consultation of Employees Regulations 2004, paragraph 13 of the Schedule to the Occupational and Personal Pension Schemes (Consultation by Employers and Miscellaneous Amendment) Regulations 2006, regulation 62 of the Companies (Cross Border Mergers) Regulations 2007, section 58 of the Pensions Xxx 0000, regulation 62(4) of the Companies (Cross-Border Mergers) Regulations 2007 and regulation 9 of the Posted Workers (Enforcement of Employment Rights) Regulations 2016 have been satisfied by this Agreement.
Compliance with Legislation. To comply with all relevant requirements of the Xxxxxxxxx Xxx 0000-0000 or any similar Act of the Oireachtas affecting the use of the Premises.
Compliance with Legislation. 23.1 The Provider hereby warrants to the Company that, as at the Commencement Date, the provision by it of the Flexibility Services will not cause the Provider:
23.1.1 to be in breach of the Electrical Safety, Quality and Continuity Regulations 2002 (as amended from time to time) or of any regulations made under Section 29 of the Electricity Xxx 0000 relating to safety or standards applicable in respect of the business of;
23.1.2 to be in breach of any provision of the Grid Code (where applicable) or the Distribution Code of its host Public Distribution System Operator or make its compliance with any provision of either the Grid Code or the Distribution Code impossible;
23.1.3 to be in breach of or to otherwise be non-compliant with any Connection Agreement and/or any agreement for the supply of electricity or acceptance of electricity from a Distribution System;
23.1.4 to be in breach of any provision of its licence granted pursuant to Section 6 of the Electricity Xxx 0000 (if any);
23.1.5 to be in breach of any restrictions and conditions attaching to relevant authorisations of the Environment Agency; or
23.1. 6 to be in breach of section 105 of the Utilities Xxx 0000.
23.2 If, at any time during the Term, the provisions of Flexibility Services would cause the Provider to be in breach or non-compliance as described in Clause 23 (whether by reason of any change or modification to the agreements, codes and legal requirements referred to therein since the Commencement Date or otherwise), the Provider agrees that it will not accept a Utilisation Instruction and/or Dynamic Utilisation Request issued by the Company hereunder and, where it declines to accept a Utilisation Instruction and/or Dynamic Utilisation Request on such grounds, the Provider will:
23.2.1 notify the Company within twenty five (25) minutes of receipt of the Utilisation Instruction and/or Dynamic Utilisation Request; and
23.2.2 provide (to its reasonable satisfaction) a written statement and all such supporting evidence as shall be necessary to demonstrate how compliance would cause such breach or non-compliance.
