The Proration Schedule shall be conclusive and binding upon Buyer unless Buyer provides Seller with written notice of objection (the “Notice of Disagreement”) within ten (10) days after Buyer’s receipt of the Proration Schedule, which notice shall state the prorations of expenses proposed by Buyer (the “Buyer’s Proration Amount”).
The fees and expenses (if any) of Buyer’s independent auditors and attorneys incurred in connection with the review of the Proration Schedule shall be borne by Buyer, and the fees and expenses (if any) of Seller’s independent auditors and attorneys incurred in connection with their review of the Notice of Disagreement shall be borne by Seller.
If either party terminates the Agreement pursuant to this provision, District shall refund to Participant a pro-rata portion of Participant’s total payment in accordance with the Proration Schedule attached to and incorporated in this Agreement as Exhibit A, within 30 days after the termination date provided that Participant verifies in writing that it has blocked all Way2Go Passes that have been distributed to its Users within three (3) working days after the termination date.
Buyer and Seller hereby acknowledge and agree that neither Buyer nor Seller shall have any right to re-adjust any item on the Proration Schedule (or any item omitted therefrom) after the Closing.
Escrow Holder shall prepare and deliver to Seller and Buyer a proration schedule (the "Proration Schedule") of the adjustments described in this Section 5.6 no later than two (2) days prior to Closing.
