Substitution of Key Personnel. Consultant has represented to City that certain key personnel will perform and coordinate the Services under this Agreement. In the event that City and Consultant cannot agree as to the substitution of key personnel, City shall be entitled to terminate this Agreement for cause. Substitution of Key Personnel. (09/17) Contractor shall make no substitutions of Key Personnel unless the substitution is necessitated by law, illness, death, resignation, or termination of employment. Contractor shall notify the City within ten (10) Calendar Days after the occurrence of any of these events. Any substitutions or replacements of Key Personnel require the written approval of the City. Contractor shall provide the City with the maximum possible period of notice of substitution or replacement of Key Personnel in order to allow for background screening, fingerprint checks, and other investigation as may be required in Section 3.11.3. For any proposed substitute or replacement Key Personnel, Contractor shall provide the following information to the City: a detailed explanation of the circumstances necessitating the proposed substitution or replacement, a complete resume for the proposed substitute(s), and any additional information requested by the City. Proposed substitutes or replacements should have qualifications comparable to or better than those of the persons being replaced. No change in Contract prices may occur as a result of substitution or replacement of Key Personnel.

Should Consultant’s Representative become unavailable, Consultant may substitute other personnel of at least equal competence and experience upon written approval of District. If District and Consultant cannot agree as to the substitution of Consultant’s Representative, District shall be entitled to terminate this Agreement in accordance with Section 2.2(a) for cause. Any personnel who fail or refuse to perform the Services in a manner acceptable to District, or who are determined by District to be uncooperative, incompetent, a threat to the adequate or timely completion of the Services or a threat to the safety of persons or property, shall, at the request of the District, be promptly removed by Consultant from providing the Services.
Substitution of Key Personnel. Consultant has represented to Agency that certain key personnel will perform and coordinate the Services under this Agreement. Key Consultant personnel to be assigned to this Agreement are identified in the List of Key Consultant Personnel set forth in the attached Exhibit “C” (“Key Personnel”). Key Personnel shall be available to perform under the terms and conditions of this Agreement immediately upon commencement of the term of this Agreement. Should one or more of such personnel become unavailable, Consultant may substitute other personnel of at least equal competence upon written approval of Agency. The Agency shall have the right to approve or disapprove the reassignment or substitution of Consultant key personnel listed in Exhibit C for any reason at its sole discretion. In the event that Agency and Consultant cannot agree as to the substitution of key personnel, Agency shall be entitled to terminate this Agreement for cause.
Substitution of Key Personnel. The Consultant recognizes and agrees that if a change is made substituting or changing assigned Key Personnel, the Consultant shall be responsible for all costs associated with Transfer of Knowledge and Information. The County will not pay for any time spent for the Transfer of Knowledge and Information.
Substitution of Key Personnel. Any substitutions or replacements of Key Personnel require the written approval of the City, which will not be unreasonably withheld provided that Contractor provides sufficient information as required in the paragraph directly below. Contractor shall provide the City with the maximum possible period of notice of substitution or replacement of Key Personnel in order to allow for background screening, fingerprint checks, and other investigation as may be required.
Substitution of Key Personnel. The CM/GC shall not replace any Key Personnel during the Project without the written permission of the Department, which shall not be unreasonably withheld. If the CM/GC intends to substitute any Key Personnel, a request must be given to the Department at least 30 Calendar Days (or such shorter period as permitted by the Department) prior to the intended time of substitution. When replacements have been approved by the Department, the CM/GC shall provide a transition period of at least 10 Business Days (or such shorter period as permitted by the Department) during which the original and replacement personnel shall be working on the Project concurrently. Once a replacement for any Key Personnel is authorized, further replacement shall not occur without the written permission of the Agency.
Substitution of Key Personnel. The Construction Manager acknowledges and represents that the designated Authorized CM Representatives are “key” personnel who will perform specific tasks, duties, and services pursuant to this Agreement. In the event one or more of such key personnel are not able, or are unavailable, to continue in such capacity, the Construction Manager may substitute other personnel of at least equal skill, knowledge and competence, subject to the District’s prior written approval of any such substitution. The District may require that the Construction Manager replace any Authorized CM Representative or other Construction Manager personnel in the event the District determines that such person has performed in an unsatisfactory manner.
