ACCEPTABLE USE OF SERVICES. Subject to Clarity’s service and maintenance responsibilities set forth in Section 2, Customer agrees to use the Services only for lawful purposes. Customer agrees not to use Clarity Services for transmitting or receiving any communication or material of any kind which in Clarity’s reasonable judgment the transmission, receipt or possession of such communication or material (i) would constitute criminal or illegal activities; give rise to a civil liability, or otherwise violate any applicable local, state, national or international law or (ii) encourages conduct that would constitute a criminal offense, give rise to a civil liability, or otherwise violate any applicable local, state, national or international law. Customer agrees not to attempt to hack, misuse, disrupt or disable or damage the Service in any way and that it will not interfere with or disrupt other users of Services and/or any other service provider who furnishes services to Customer in connection with this Agreement. Customer will not deliberately or intentionally fail to configure, operate or maintain any devices using Clarity’s services in accordance with industry standards and best practices, including the limitation of excessive “keep alives,” short registration timers, message flooding and other abusive activities. Customer agrees not to engage in the delivery of unwanted or unsolicited communications or SPAM to third parties using Clarity Services or resources. Clarity reserves the right to terminate your service upon 10 days’ notice if Clarity, in its reasonable discretion, believes that you have violated the above restrictions to its detriment, leaving you responsible for the full month's charges to the end of the current term, including without limitation unbilled charges and taxes, plus a termination fee not to exceed an amount equal to three times the monthly usage fee, all of which shall immediately become due and payable. If Clarity, in its reasonable discretion believes that you have violated the above restrictions, Clarity may forward the objectionable material, as well as your communications with Clarity and your personally identifiable information to the appropriate authorities for investigation and prosecution and you hereby consent to such forwarding.
ACCEPTABLE USE OF SERVICES. Client will comply with Xxxxxx’x Acceptable Use Policy available at xxx.xxxxxx.xxx/xxxxx. The Acceptable Use Policy may be updated from time to time by Smarsh. Client is prohibited from, and will not copy, modify, adapt, transmit, sell, distribute or otherwise use the Services, in whole or in part, except as expressly permitted in this Agreement. Client is solely responsible for Client Data and represents and warrants that Client Data will not (a) infringe any third party right, including, without limitation, third party rights in patent, trademark, copyright, or trade secret; or (b) constitute a breach of any other right of a third party, including without limitation, any right under contract or tort theories. Client will abide by all applicable local, state, national or foreign laws, rules, regulations or treaties in connection with Client’s use of the Services including, without limitation, those related to data privacy, communications, SPAM, or the transmission and storage of technical or personal data. It is Client’s responsibility to post all legally required privacy policies, or notices and to obtain all legally required or necessary consents with respect to the transmission, collection or storage of Client Data. Client represents that, with respect to any account, website or webpage Client directs Smarsh to archive, Client has all necessary rights or licenses to archive such account, website or webpage and that the archiving of the same does not place Client or Smarsh (as Client’s agent) in violation of any website terms and conditions included on the website.
ACCEPTABLE USE OF SERVICES. 25.1 The Services provided by Company may only be used by Customer and End Users for lawful purposes, and Customer agrees to be bound by Company’s Acceptable Use Policy as detailed in Appendix A to this Agreement in relation to the use of the Services.
25.2 Customer shall indemnify Company and its suppliers and keep Company and its suppliers indemnified against all losses, damages, costs or expenses and other liabilities (including legal fees) incurred by, awarded against or agreed to be paid by Company and its suppliers arising from any claim brought by a third party (“Claim”) arising out of or in connection with Company’s Acceptable Use Policy, except to the extent that such liabilities have resulted directly from Company’s failure to properly observe its obligations under clause 25.3.
25.3 The Company shall:
(a) notify Customer in writing of any Claim;
(b) allow Customer to conduct all negotiations and proceedings and provide Customer with such reasonable assistance as is required by Customer, each at Customer’s cost, regarding the Claim; and
(c) not, without prior consultation with the Customer, make any admission relating to the Claim or attempt to settle it, provided that the Customer considers and defends any Claim diligently, using competent counsel and in such a way as not to bring the reputation of the Company into disrepute.
ACCEPTABLE USE OF SERVICES. The Services and EPB Equipment provided to Customer shall only be used by the Customer for commercial, nonresidential use. Customer shall not: (i) make the Services and/or EPB Equipment available, nor permit the Services and/or EPB Equipment to be made available, or to provide television, Internet, telephone or similar services to one or more third parties; (ii) use Pay-Per- View for commercial gain or public viewing without EPB's prior express authorization; (iii) resell or transfer the Services or EPB Equipment to any other person for any purpose, or charge others to use the Services or EPB Equipment; (iv) use the Services in any manner that is contradictory to EPB's Acceptable Use Policy; (v) tamper with, disrupt, or "hack" any Service or EPB Equipment;
ACCEPTABLE USE OF SERVICES. The Services and Equipment provided to Customer shall only be used by the Customer. Customer shall not: (i) make the Services and/or Equipment available, nor permit the Services and/ or Equipment to be made available or to provide television, Internet, telephone or similar services to one or more third parties; (ii) use Pay-Per-View for commercial gain or public viewing without Fort Xxxxxxx Connexion’s prior express authorization; (iii) resell or transfer the Services or Equipment to any other person for any purpose, or charge others to use the Services or Equipment; (iv) use the Services in any manner contradictory to Fort Xxxxxxx Connexion’s Acceptable Use Policy; (v) tamper with, disrupt, or “hack” any Service or Equipment; or (vi) make use of the Services or Equipment in any way inconsistent with their intended purpose. A Customer’s use of the Services is subject to Fort Xxxxxxx Connexion’s Acceptable Use Policy and Privacy Notice and you agree to be bound by these policies. Copies of this Agreement, the Acceptable Use Policy and the Privacy Notice are available at xxx.xxxxxxxxxxx.xxx. A Customer who violates any terms contained in this Agreement or in any applicable policy is subject to having Services suspended or terminated. It is Customer’s responsibility to read and understand this Agreement and all applicable policies prior to accepting any Services and Equipment. It is Customer’s sole responsibility for ensuring other users of the Services and Equipment at the Premises understand and comply with this Agreement and all applicable policies.
ACCEPTABLE USE OF SERVICES. The Services and XxxxXxxxx.Xxx Equipment provided to Customer shall only be used by the Customer for commercial, non- residential use. Customer shall not: (i) make the Services and/or XxxxXxxxx.Xxx Equipment available, nor permit the Services and/or XxxxXxxxx.Xxx Equipment to be made available or to provide television, Internet, telephone or similar services to one or more third parties; (ii) resell or transfer the Services or XxxxXxxxx.Xxx Equipment to any other person for any purpose, or charge others to use the Services or XxxxXxxxx.Xxx Equipment; (iii) use the Services in any manner that is contradictory to XxxxXxxxx.Xxx’s Acceptable Use Policy; (iv) tamper with, disrupt, or “hack” any Service or XxxxXxxxx.Xxx Equipment; (v) make use of the Services or XxxxXxxxx.Xxx Equipment in any way that is inconsistent with their intended purpose. A Customer’s use of the Services is subject to XxxxXxxxx.Xxx’s Acceptable Use Policy and Privacy Notice and you agree to be bound by these policies. Copies of this Agreement, the Acceptable Use Policy and the Privacy Noticeare available at xxx.XxxxXxxxx.Xxx. A Customer who violates any terms contained in this Agreement or in any applicable policy are subject to have their Services suspended or terminated. It is Customer’s responsibility to read and understand this Agreement and all applicable policies prior to accepting any Services and XxxxXxxxx.Xxx Equipment. It is Customer’s sole responsibility for ensuring that other users of the Services and XxxxXxxxx.Xxx Equipment understand and comply with this Agreement and all applicable policies.
ACCEPTABLE USE OF SERVICES. 4.1. The Customer is prohibited from using the Service for auto-dialing, telemarketing (including, without limitation, charitable or political solicitation or polling), fax or voicemail broadcasting or fax or voicemail blasting purposes.
4.2. The Customer agrees to indemnify STP against any cost and/or damage and/or expense and/or claim and/or demand, including any made by a third party, arising out of the Customer's or End User's use of the Service in violation of the Acceptable Use of Services, and all costs relating thereto, all of which will immediately be due and payable.
ACCEPTABLE USE OF SERVICES. The Paying Organization and its end users shall use the Services solely in accordance with this Agreement, all applicable laws and the Acceptable Use Policy. Aconex may modify the Acceptable Use Policy at its sole discretion and such modifications shall be effective upon their publication on the Platform or Aconex's web site. If there is any conflict between the Acceptable Use Policy and this Agreement, then the Acceptable Use Policy shall take precedence. 9.
ACCEPTABLE USE OF SERVICES. 9.1. The Provider agrees to use and ensure that his/her clients use the Services provided by Imaginet in a way that is consistent with all South African laws and regulations related to the use of those Services.
9.2. The Provider agrees to read and abide by, and ensure that his/her clients read and abide by, Imaginet's Acceptable Use Policy (AUP), which will be considered as an Annex to and a part of this Agreement. The AUP can be found on Imaginet’s website at xxxx://xxx.xxxxxxxx.xx.xx, or requested by letter or e-mail. The Provider understands and accepts that the AUP may change from time to time, without notice, and that it is his/her responsibility to regularly check for updates.
ACCEPTABLE USE OF SERVICES. Client and its Subscribed Users agree to comply with Xxxx's Acceptable Use & IT Requirements Policy.
