Accredited Officers. The accredited officers who shall conduct all business under the provisions of this Agreement shall be on the part of the Authority those designated by the General Manager from time to time and whose decision shall be final; and on the part of the Union, the President, Business Agent, Secretary, and such additional representatives as may be selected by its laws. Communications, written or verbal, from the Union to the Authority, or from the Authority to the Union, shall be addressed to the proper officer or officers of both, and where in the ordinary course of business it is necessary for confer- ence between heads of departments of the Authority and offi- cers or representatives of the Union, these shall be conducted in the offices of the heads of departments or Division Managers, as the case may be, unless otherwise agreed upon, and proper respect shall at all times be shown by the heads of departments and Division Managers and the officers or repre- sentatives of the Union to each other.

Accredited Officers. A. The accredited officers, who shall conduct all business under the provisions of this Agreement, shall be, on the part of the Company, those designated by the General Manager and, on the part of the Union, those designated by the President/Business Agent and such additional representatives as may be selected by it laws. B. Representatives of the Union, including representatives of the International Union, shall be permitted access to the Company’s premises for the purpose of determining that the Agreement is being observed and for the adjustment of complaints and grievances against the Company. Union visitors shall check in with the location’s Dispatch office prior to the site visit and may enter locations beyond the drivers’ lounge only with the specific permission of the Company. In no event may any visitor interfere with the business of the Company. C. Any Union official, including representatives of the Union’s International body, shall be permitted to attend all meetings between employee members and Company representatives. D. Union Stewards shall be granted reasonable time off, without pay, for the investigation or settlement of grievances, work rules or disputes involving the administration of the Agreement. Employee meetings with Company officials, if their attendance is required by the Company, shall be paid for by the Company. The request for time off shall be submitted at least 24 hours in advance, whenever possible with exceptions for urgent circumstances. E. The Company shall grant a Leave of Absence for Union Business, upon advance written request, to any member of the Union who may be elected or appointed to any full-time Union office. Upon retiring from said office, the employee shall return, to his or her place formerly held in the service of the Company with seniority rights continuing. The Company shall not be responsible for any pay to an employee on Union Business “Leave of Absence.” F. The Company will permit reasonable unpaid time off to an employee to prepare for the employee’s grievance or arbitration hearing, upon at least 24 hours advanced written request to the Company and the employee shall not incur an attendance infraction. The Company may deny the request if it would interfere with providing service to the public. G. The Union agrees to notify the Company in writing of duly accredited representatives and committees representing the Union, promptly upon their election or appointment to such office. H.   • Union Officers Employees hereafter elected or appointed to full­ time Union office shall be granted a leave of absence without loss of sen­ iority but without accumulating seniority during the period of the leave of absence.

By accepting any Note, each Holder waives and releases all such liability. Such waiver and release are part of the consideration for the issuance of the Notes.

  • Compensation of Officers The officers of the Corporation shall be entitled to receive such compensation for their services as shall from time to time be determined by the Board of Directors.

  • Other Officers Such other officers as the Board of Directors may choose shall perform such duties and have such powers as from time to time may be assigned to them by the Board of Directors. The Board of Directors may delegate to any other officer of the Corporation the power to choose such other officers and to prescribe their respective duties and powers.

  • Appointment of Officers The Board shall appoint the officers of the Corporation, except such officers as may be appointed in accordance with the provisions of Section 5.3 of these bylaws.

  • Election of Officers After their election the Managers shall meet and organize by electing a President from their own number, a Secretary and a Treasurer, and any other officers determined to be necessary by the Board, who may, but need not, be Managers. Any two or more of such offices, except those of President and Secretary, may be held by the same person.
