ACDBE Participation. The Contractor has proposed to meet the Airport Concessions Disadvantaged Business Enterprise (ACDBE) goal of twenty-five percent (25%) participation through its joint venture with an Authority-certified ACDBE. The Contractor has promised that the ACDBE participation in the contract shall be not less than twenty-five percent (25%) during the operation period of the contract and that the ACDBEs will receive not less than a twenty-five percent (25%) share of the Management Fee commensurate with the ACDBEs’ contributions and responsibilities as specified in the joint venture agreement and subcontracts. The type, quantity and nature of the participation shall be as described in the Contractor's proposal attached as Exhibit D-1. The Contractor shall ensure that every reasonable opportunity is offered to expand their roles in the Contract in those operational areas deemed appropriate. (1) The ACDBE goal is applicable to this Contract at all times during the Contract Term, including the Option Period, if the Option Period is exercised. In unusual situations, consistent with the principles stated in Paragraph 4.9 of the Authority’s Contracting Manual (Fourth Edition, Revision 2), the Authority may permit the Contractor to replace an ACDBE with another ACDBE. In the event of disapproval, the Contractor shall continue to maintain the current ACDBE until the Authority approves a substitution. If the substitution is approved, the Contractor shall replace the current ACDBE with another ACDBE that has been reviewed, certified and approved by the Authority’s Department of Supplier Diversity. The substitute ACDBE firm(s) shall participate at least to the same extent as the previous ACDBE participant. The Contractor shall monitor the certification status of any and all ACDBE firms included in this Contract and shall ensure that their status as certified ACDBEs remains current. (2) If the Contractor has a Joint Venture Partnership as a part of the Contract, the Joint Venture Partners shall comply with the terms of the Joint Venture Agreement, attached hereto as Exhibit D-3.

ACDBE Participation. The requirements of 49 CFR Part 23, regulations of the U.S. Department of Transportation, apply to this Agreement. It is the policy of Authority to practice nondiscrimination based on race, color, sex, or national origin in the award or performance of this contract. While an ACDBE specific goal has not been established for this agreement, Authority encourages ACDBE participation in this contract. The following information has been submitted and approved by Authority: (1) the names and addresses of ACDBE firms and suppliers that will participate, (2) a description of the work that each ACDBE will perform, (3) the dollar amount of the participation of each ACDBE firm participating, (4) written and signed documentation of commitment to use an ACDBE whose participation it submits to meet a contract goal; and (5) written and signed confirmation from the ACDBE that it is participating as provided in Contractor’s commitments hereunder. Contractor shall make good faith efforts to replace an approved ACDBE who fails to fulfill its obligations with another ACDBE. Good faith efforts are defined in Appendix A, 49 CFR Part 26. Changes to the approved ACDBE listing must receive prior approval of Authority. Contractor will be required to report participation on the form included in Exhibit “D” on a monthly basis.
ACDBE Participation. ‌ The Authority has developed and implemented an Airport Concession Disadvantaged Business Enterprises (ACDBE) program as required by 49 CFR Part 23 and 49 CFR Part 26. Concessionaire agrees to ensure that ACDBEs, as defined in 49 CFR Part 23 and Authority's ACDBE Program, have a fair opportunity to participate in the performance of this Contract. Concessionaire will take all necessary and reasonable steps in accordance therewith to ensure that ACDBEs are encouraged to compete for and perform subcontracts related to the construction, administration and operation of the concession continually throughout the term of this Agreement. Concessionaire specifically agrees to comply with all applicable provisions of the Authority's ACDBE Program and any amendments thereto. ACDBE and Non-ACDBE sub-concessionaires shall also be required to agree to comply with all applicable provisions of the Authority's ACDBE Program.
