Addition of New Members. Members acknowledge that additional Members may be added to the Network upon execution of this Multi-Purpose Agreement.
Addition of New Members. Subject to (a) the requisite approval of the Board in accordance with Section 4.1(b)(v) or Section 4.1(d)(iv) (as applicable), (b) the prior written approval of all of the Members in the case of an issuance of Units authorized by the Board pursuant to Section 4.1(b)(v) and (c) full compliance by the Company with Section 7.9 in the case of an issuance of Units authorized by the Board pursuant to Section 4.1(d)(iv), the Board may, from time to time in its discretion, authorize and cause the Company to issue and sell Units to any Person that is not a Member and admit any such Person as Member, subject to the compliance by such Person with the provisions of Section 14.5 hereof as if such Person was a Transferee of Units. Any Person that purchases Units from the Company pursuant to this Section 3.9 and is admitted by the Company as a Member shall be considered a Permitted Transferee for all purposes of this Agreement.
Addition of New Members. The addition of new members to the Compact must receive unanimous approval from member agencies. • The addition of new members to the Compact must be verified through an invitation by letter from the NWC inviting a state/province/territory to join the Compact. • The invited state/province/territory will become a member by responding to the letter of invitation positively, in writing, signed by an appropriate authority and signing of the Participation and Approval statement included under the Northwest Wildland Protection Agreement.
Addition of New Members. Any school district may elect to petition the participating school districts for membership. The addition of new members may occur by mutual agreement of all parties.
Addition of New Members. A flood control zone district or other entity may be admitted to the Authority by approval of the Board. As a condition of becoming a Member, a new Member must accept the terms of this Agreement. The Board may also require payment or other contributions or actions by a new Member as the Board may deem appropriate, and may set such start date for service as it deems appropriate, it being the intention of this provision that the addition of new Members shall not cause the pre-existing Members to incur additional cost.
Addition of New Members. New member communities may be added to the Partnership in accordance with the process listed below.
12.1 An interested community should submit a letter of interest to the Director of the Partnership.
12.2 The Director will perform an initial assessment of the interested Town’s Public Health needs and make a recommendation to the Boards of Health within the Partnership.
12.3 Each Board of Health will take a vote on allowing the additional community to join. In the event of a disagreement, the Town Managers will make the decision.
12.4 Additionally, there will be a one-time non-refundable minimum entry fee, which will be determined by the Heath Director for The Partnership, of which 50% will go towards the new Communities Annual assessment upon successful entrance into The Partnership. The intent of the fee is to cover the costs incurred by the Partnership to extend services to the new member Community.
Addition of New Members. As the committee grows and progresses, additional stakeholders may be added, pending approval by the Committee at large; - An existing member must bring forward a motion for a new member. - The new member would be invited to present their rationale for membership status in writing including mutual benefits to be accrued. - Requests for membership will be determined by a vote of all Committee members. - A favourable vote will be determined by a majority vote of all Committee members. The position of Chair and co-chair will be elected annually by majority vote. In the event that the Chair is not able to attend a meeting, the co-chair shall serve in the Chair's absence. The Chair will be a voting member. The responsibilities of the Chair include: - Facilitating the discussions of the Committee; - Approving and setting the agenda of Committee meetings; - Reviewing and approving the minutes of each Committee meeting; - Spokesperson for the Committee; - Oversight of the Secretariat; and, - Signing authority for correspondence and expenditures of the Committee.
Addition of New Members. School districts which are not Member Districts at the time of the execution of this Agreement, and which later elect to participate, may become parties to this Agreement and thereupon become Member Districts, upon the approval of all Member Districts, subject to such terms and conditions as the then Member Districts shall determine. Such terms and conditions shall include, but not be limited to, the amount which each new district shall contribute to the costs for operation of the Center, and the amount it shall pay on account of capital obligations.
Addition of New Members. Additional Members (in addition to the Initial Members) (each, a “New Member”) may be included into the Authority upon unanimous approval of the Board and upon the execution of a written amendment to this Agreement approved in writing by all the Members. The Board may establish criteria for the addition of a New Member, including fees for joining the Authority, voting privileges, and Board membership. Additional New Members may be allowed to appoint Directors to the Board as set forth in a written amendment to this Agreement.
Addition of New Members. Upon the inclusion of New Members into the Work Group as provided in this Agreement, such New Members shall be assigned an allocation share consistent with the Interim Allocation and the Final Allocation as appropriate, based on the best information then in possession of the Work Group and the proportionate shares of the existing Members shall be equitably diluted. New Members shall be required to pay their proportionate share of the total amount of Shared Costs assessed as of the time the New Member joins the Work Group. In the event this occurs during the Interim Allocation period, the New Member’s payment shall be disbursed as reimbursement to the existing Members in equal shares. In the event this occurs after Final Allocation, the New Member’s payment shall be retained by the Steering Committee for use in the Work and credited proportionately to the accounts of the existing Members.
