Additional Rent - Operating Expenses. Beginning on the Sublease Commencement Date, Subtenant shall pay to Sublandlord on a monthly basis, as additional rent, an amount equal to one-twelfth (1/12) of Subtenant’s Prorata Share of Sublandlord’s good faith estimate of the cost of operating, maintaining, repairing and replacing the Hangar, including the Subleased Premises, the fuel farm and the surrounding parking areas (“Operating Expenses”), for each calendar year. For purposes of this Sublease, Operating Expenses shall also include Real Estate Taxes (defined below) and Insurance Costs (defined below). Sublandlord shall have the right, to be exercised no more than once per calendar year, to adjust in good faith Sublandlord’s estimate of Operating Expenses for such calendar year as of the first day of that calendar year and, in such event, Sublandlord shall provide Subtenant with written notice of such revised good faith estimate in reasonable detail. If Sublandlord does not provide Subtenant with written notice of such estimate prior to the beginning of a calendar year, Subtenant, upon receipt of Sublandlord’s revised good faith estimate, will remit an appropriate payment (or receive an appropriate credit) which is applicable to any prior months. Within one hundred twenty (120) days after the end of each calendar year, Sublandlord shall provide Subtenant with a written statement of Subtenant’s Prorata Share of the actual Operating Expenses for the prior calendar year (“Operating Expense Statement”). Any difference between Subtenant’s Prorata Share of the actual Operating Expenses and the monthly estimated payments made by Subtenant under this provision shall be adjusted between Sublandlord and Subtenant by an appropriate payment or credit being made within sixty (60) days after the receipt of Sublandlord’s Operating Expense Statement. The adjustment requirements of this provision shall survive the expiration or other termination of this Sublease. The amount of any adjustment which may be necessary subsequent to the expiration or other termination of this Sublease shall be paid by the appropriate party within sixty (60) days after delivery of Sublandlord’s Operating Expense Statement. Sublandlord shall maintain and make available to Subtenant records in reasonable detail setting forth the actual Operating Expenses incurred by Sublandlord and shall permit Subtenant to examine and audit such records during Sublandlord’s regular business hours. Additional Rent - Operating Expenses. In addition to the Base Rent, Tenant shall also pay to Landlord, as Additional Rent, Tenant’s Proportionate Share of all Operating Expenses over Base Year Operating Expenses (the “Operating Expense Obligation”).
(i) For the purposes of this Section 3.3, the following words and terms shall have the following meaning:
Additional Rent - Operating Expenses. LESSEE, in addition to the sums payable to LESSOR as Annual Base Rent as determined in Section 2 hereof shall pay to LESSOR for each year (or portion thereof, as applicable) of the Lease Term, as Additional Rent, LESSEE’s Allocable Percentage of any and all actual Operating Expenses attributable to the Building for said year of the Lease Term (herein, “Additional Operating Expense Rent”). Operating Expenses as set forth in Exhibit B hereto are the unaudited actuals for calendar year 2007 (and will be subject to change based on actual costs and expenses incurred for each of the categorized Exhibit B costs and expenses in the remainder of 2008 and for each subsequent calendar year during the Term).
Additional Rent - Operating Expenses. SECTION 1. During the Term of this Lease, the Lessee covenants and agrees to pay, as additional rent, the Lessee's pro-rata share of Operating Expenses. The term "Operating Expenses" as used herein, shall specifically exclude real estate taxes, and insurance as governed by Article VI and Article VII of this Lease, "Operating Expenses" shall include Lessor's costs or expenses incurred for the operation, cleaning, maintenance, landscaping, repair, replacement and upkeep of the Premises necessary to keep the Premises in reasonably good working order, repair, appearance and condition; all costs, including reasonable management fees charged for properties of similar size and occupancy, material and equipment costs, for cleaning and janitorial service, all costs related to provision of heat, air conditioning, water, sewerage and other utilities (exclusive of reimbursement to Lessor for any of the same received as a result of direct billing to other tenants); payments under service contracts; all compensation, fringe benefits, payroll taxes, and worker's compensation insurance premiums related to employees for the purpose of the maintenance and upkeep of the Premises, but shall exclude the cost of repairs or replacements that are of a capital nature. The parties intend that Lessee furnish its own ordinary operating services for the Demised Premises. In the event Lessor is asked or required to provide these operating services, Lessee agrees to pay monthly estimated charges in advance subject to year end reconciliation. Lessee shall have the right to perform a review of Lessors operating expense calculations; and Lessor shall make all material available for Lessee's inspection. The foregoing not withstanding, If at any time during the Term hereof, the number of square feet in all of the buildings on the Site shall change, the Lessee's share of operating expenses shall be correspondingly adjusted.
Additional Rent - Operating Expenses. Tenant covenants and agrees to pay to Landlord, as additional rent, Tenant’s Percentage Share of Landlord’s Operating Expenses (hereafter defined) for each of Landlord’s calendar years, or ratable portion thereof, included in the Lease Term. Tenant shall make estimated payments on account of Operating Expenses in monthly installments on the first day of each month in advance, based on amounts reasonably estimated from time to time by Landlord, and with a final payment adjustment between the parties within 14 days after Landlord provides Tenant a statement of Landlord’s Operating Expenses and Tenant’s Share of such Operating Expenses over Base Operating Expenses for Landlord’s most recent calendar year. This section shall survive the expiration or earlier termination of this Lease.
Additional Rent - Operating Expenses. LESSEE, in addition to the sums payable to LESSOR as Annual Base Rent as determined in Section 2 hereof shall pay to LESSOR for each year (or portion thereof, as applicable) of the Lease Term, as Additional Rent, LESSEE’s Allocable Percentage of any and all Operating Expenses attributable to the Building for said year of the Lease Term (herein, “Additional Operating Expense Rent”). Operating Expenses as set forth in Exhibit B hereto (provided for illustration) are the unaudited expenses for calendar year 2012. Actual Operating Expenses will be subject to change based on actual costs and expenses incurred for each of the categorized Exhibit B costs and expenses actually incurred in 2015 and for each subsequent calendar year during the Lease Term, and through the Extended Term (if any).
Additional Rent - Operating Expenses. 5.1 In addition to paying the Base Rent specified in Article 4 hereof, Tenant shall, commencing on the Lease Commencement Date as to the 37th Floor Premises for the 37th Floor Premises and on January 1, 2011 for the 25th Floor Premises, respectively, and thereafter through the end of the Term, pay as Additional Rent, for each Calendar Year or portion thereof during the Term, (i) Tenant's Proportionate Share of increases, if any, in Operating Expenses and (ii) Tenant's Proportionate Share of increases, if any, in Taxes, as hereinafter set forth in Sections 5.3 and 5.
Additional Rent - Operating Expenses. Tenant covenants and agrees to pay to Landlord, as additional rent, all of the Landlord's Operating Expenses (hereafter defined) for the Premises for each of Landlord's fiscal years, or ratable portion, included in the Term. Such additional rent shall be payable in monthly installments on the first day of each month in advance, based on amounts reasonably estimated from time to time by Landlord, and with a final payment adjustment between the parties within 14 days after Landlord provides Tenant a statement of Landlord's Operating Expenses for Landlord's most recent fiscal year.
Additional Rent - Operating Expenses. 1. From time to time, at any time, during the remaining term of this Lease, Landlord may elect to convert any of the costs and expenses payable by Tenant directly as described in paragraph 8A, 9A to "Operating Expenses" to be included in Additional Rent including the estimates thereof contemplated by paragraph 12E.
2. Notwithstanding the provisions of subparagraph B2 above, the following items shall constitute Operating Expenses (which may be included in the estimates of Tenant's share of Operating Expenses contemplated by paragraph 12E) and shall be allocated in the manner described below based upon good faith computations and estimates performed by Landlord:
(i) Janitorial for Building C (excluding the areas within Tenant's Premises which are separately contracted and paid for by Tenant), water and trash collection costs shall be shared in proportion to the rentable area of the Premises as compared to the rentable area occupied by Tenant and all other tenants of Building C from time-to-time.
(ii) Tenant shall pay 100% of the costs of electric power and HVAC costs of Building C until other tenants occupy Building C. Upon such time as tenants other than Tenant occupy Building C, Landlord shall use its best efforts to allocate the costs of electric power and HVAC costs in a manner based upon the actual usage of Tenant and such other tenants.
Additional Rent - Operating Expenses. Operating Expenses pursuant to the Lease Agreement shall continue to be calculated in the same manner as they were in the original Lease. Original Premises - (Suite 460) is 14,356 rentable square feet. The Base Year shall be 1997 and the Operating Expense Base shall be $7.00 per rentable square foot. Tenant’s proportionate share shall be 9.39%. Expansion Premises “A” (Former 410) is 1,551 rentable square feet. The Base Year shall be 1998 and the Operating Expense Base shall be $6.60 per rentable square foot. Tenant’s proportionate share shall be 1.02%.
