Benefit and Binding. Effect Neither Buyer nor the Sellers may assign this Agreement without the prior written consent of the other party; provided, however, that Buyer may assign this Agreement without the prior written consent of the Sellers to any entity that controls, is controlled by or is under common control with Buyer.
