Closeouts. The Subrecipient’s obligation to the Grantee shall not end until all close-out requirements are completed. Activities during this close-out period shall include, but are not limited to: making final payments, disposing of program assets (including the return of all unused materials, equipment, unspent cash advances, program income balances, and accounts receivable to the Grantee), and determining the custodianship of records. Notwithstanding the foregoing, the terms of this Agreement shall remain in effect during any period that the Subrecipient has control over CDBG funds, including program income.

Closeouts. (a) Licensee shall not sell any Licensed Products as closeouts until the season for which the Licensed Products were intended has ended without the express written consent of Callaway Golf. Due dates for applicable closeout reports vary according to the sponsoring agency. For NIH, closeout reports are due no later than 120 days after the project’s end date. Failure to submit timely and accurate final reports may affect future funding to the organization and/or awards with the same PI/PD. The PI/PD must ensure that the following requirements are met: • Proper closeout procedures have been followed for personnel hired during the award. The PI/PD should arrange to move personnel paid on the project to an alternate funding source or advise them of pending layoff at least one month before the project ends. • All personnel effort has been certified in accordance with the University´s policy. • All technical reports required by the sponsor have been prepared (final progress report, final invention reports) • Patents or copyrights have been reported via OADRGS, and procedures have been followed, if applicable. The OADRGS is responsible for: • Sending an award close notification to the Principal Investigator. • Submitting to the agency, the final progress report and the final invention report • Coordinating with the Budget Officer the submission of a Final Financial Report.

Closeouts. ‌‌ The Master Contracts will be closed out upon the closeout of all task orders awarded under the Master Contract. The OCO is responsible for closing their task orders under the Master Contract. Task order closeout will be accomplished within the procedures set forth in FAR part 4, Administrative Matters, and FAR part 42, Contract Administration and Audit Services. The OCO is encouraged to utilize FAR 42.708, Quick-Closeout Procedures, to the maximum extent practicable. GSA also encourages the use of the increased closeout thresholds for cost- reimbursable contracts in accordance with GSA Class Deviation CD-2021-07. The OCO has the authority to negotiate settlement of indirect costs in advance of the determination of final indirect cost rates if the task order is physically complete and the amount of unsettled indirect cost to be allocated to the task order is relatively insignificant. A determination of final indirect costs under quick-closeout procedures shall be final for the task order it covers and no adjustment shall be made to other task orders for over-or under-recoveries of costs allocated or allocable to the task order covered by the agreement. Once agreement for quick-closeout is reached on an individual task order, a bilateral modification will be issued to close out the task order. The Contractor agrees to cooperate with the OCO to close out task orders as soon as practical after expiration, cancellation, or termination.
Closeouts. (a) The following is added to the end of Section 2(f) of the Agreement: The parties acknowledge that Other Third-Party Stores shall include: Nordstrom Rack (no Last Call stores); Saks Off Fifth; Stein Mart; and other stores as approved on a case-by-case basis and xx xriting by Callaway Golf, in its sole and absolute discretion. Ashworth shall first present any closeout Licensed Products to the Axxxxxxx Outlet Stores before presenting the closeout Licensed Produxxx xx xhe Other Third-Party Stores.
