This Purchase Order is subject to the laws of Chile. The Code of Conduct for Sub-suppliers of the Aqseptence Group shall apply to these Terms and Conditions. Seller shall indemnify Buyer and the Indemnified Parties from any and against and all loss, damage, suit, award, fines, claims, etc. derived from any actual or assessed infringement of any statue, law, regulation or ordinances.

COMPLIANCE WITH LAWS AND CODE OF CONDUCT. The supplier shall comply with all laws and regulations applicable to its performance under the contract, including but not limited to laws and regulations regarding fighting corruption, antitrust and competition law, environment, health and safety, fair labor practices as well as prohibiting child and forced labor. The supplier further agrees to act in accordance with the principles and expectations as set forth in the Plansee Group Code of Conduct (xxxx://xxx.xxxxxxx.xxx/code-of-conduct/EN.pdf) and Supplier Policy (xxx.xxxxxxx.xxx/xxxxxxxx-xxxxxx) and will cooperate with reasonable requests to verify compliance from Tikomet or its customers. Supplier warrants that it complies with the European Union Directive 2011/65/EU Restrictions on Hazardous Substances (RoHS) and the European Union Directive 2012/19/EU on waste electrical and electronic equipment (WEEE), that all goods will be provided in compliance with applicable RoHS and WEEE regulations, and that appropriate inquiries have been made among its suppliers and subcontractors to confirm compliance with RoHS and WEEE. Further, in the case of scrap or other goods that may be considered waste under all applicable law(s), supplier warrants that all such shipments contain only materials subject to the green control procedures of the Basel Convention on the Control of Transboundary Movements of Hazardous Wastes and Their Disposal (and its local law equivalents), and supplier agrees to furnish information to accompany such shipment(s) in accordance with Article 18 of Regulation (EC) No 1013/2006 on shipments of waste. Supplier and Tikomet agree that, as soon as a shipment starts, supplier shall have an obligation to take back the shipment or ensure its recovery in an alternative way and provide, if necessary, for its storage in the meantime if such shipment cannot be completed as intended or if effected as an illegal shipment. Without prejudice to Tikomet’s right to claim damages for breach, Tikomet agrees to assume the aforementioned obligation if supplier is not in a position to complete the shipment or recovery. In the case of delivery of goods containing tungsten, tantalum/niobium, tin, or gold, the supplier represents and warrants that such materials have not been sourced from conflict regions or high-risk areas, or in the case of scrap that such goods are recycled metals (reclaimed end-user or post-consumer products). COMPLIANCE WITH LAWS AND CODE OF CONDUCT. Consultant agrees (i) to comply with all applicable laws, statutes and regulations, including without limitation the U.S. Foreign Corrupt Practices Act and any similar foreign laws; and (ii) that Consultant, and every other person working for Consultant, or on her behalf, has not and will not, in connection with any transactions related to this Agreement or any other work in connection with sale of Products, make, offer or promise to make, or transfer any payment or anything of value, directly or indirectly, to any Government Official, or to any third party for payment to any Government Official, to improperly obtain, retain, or direct business or secure an improper advantage or take any other action, directly or indirectly, to violate any applicable laws and regulations prohibiting public or commercial bribery, extortion, kickbacks, or other unlawful or improper means of conducting business. For purposes of this Agreement, “Government Official” means the following: officer or employee of any government; officer or employee of any public international organization (e.g., the United Nations, World Bank, or International Monetary Fund); officer or employee of any department, agency, or instrumentality of any government or of any public international organization; officer or employee of any government-owned or government-controlled company; political party; political party official; or anyone, whether a private person or otherwise, acting in an official capacity on behalf of any of the above or of any government entity. Consultant acknowledges receipt of the current copy of Aspen’s Code of Business Conduct and Ethics (“Code of Conduct”) available at hxxx://xx.xxxxxxx.xxx/xxxxxxxxx/governance/default.aspx; understands how the Code of Conduct applies to the Consultant and agrees to strictly comply with the Code of Conduct.
COMPLIANCE WITH LAWS AND CODE OF CONDUCT. Supplier will advise all personnel who perform Services of the applicable terms of this Agreement and ensure each person’s compliance with such terms. Supplier will ensure that the Services are performed at all times in compliance with applicable laws, statutes, ordinances and regulations, and in compliance with any internal codes or rules governing conduct and ethics. Supplier shall comply with Company’s policies and procedures as a condition of doing business with Company, including but not limited to the Supplier Code, available on xxxxx://xxx.xxxxxxxxx.xxx/content/legal/terms-conditions or by request, which terms are hereby incorporated by reference into this Agreement. Supplier agrees to cooperate with and provide all necessary assistance to Company in order to ensure compliance with this Section 2.3, including during any investigations regarding complaints received by Supplier’s employees under Supplier Code. If Supplier is providing Services to the public on Company’s behalf, Supplier shall comply with all applicable federal, state and local laws and regulations and any guidance or direction provided by Company in connection with performance of the Services under this Agreement. Specifically, Supplier will be familiar with and ensure compliance with all requirements of 14 CFR Part 382 (see the Air Carrier Access Act and 14 CFR Part 382.15), including but not limited to, implementing directives issued by Company’s CROs under 14 CFR 382.151 through 382.153.
COMPLIANCE WITH LAWS AND CODE OF CONDUCT. Seller warrants and represents that it shall comply with all laws, regulations or government orders concerning the goods and/or services to be provided, including any national, international, state or local laws dealing with the environment, health and safety, labor and employment, insurance, transportation or storage of hazardous materials, and import/export or customs requirements, including the manufacture and shipment of goods purchased or returned hereunder. In particular, by accepting this Purchase Order, Seller covenants that it shall comply with the rules and regulations applicable to the Fair Labor Standards Act as amended, the Occupational Safety and Health Act (OSHA) as amended, and the Toxic Substances Control Act as amended. Further, Xxxxxx agrees to adhere to and act in a manner consistent with the principles and expectations set forth in the Plansee Code of Conduct and Supplier Policy, both of which are available upon request or at xxx.xxxxxxx.xxx > About us > Purchasing. In the event that Seller or the Products do not conform with such laws, regulations and policies and Plansee is penalized for such nonconformance, Seller shall indemnify Plansee, its affiliates and customers against all penalties, costs, and expenses including interest and attorneys’ fees.
COMPLIANCE WITH LAWS AND CODE OF CONDUCT. Seller shall comply, at its sole cost and expense, with all laws, statutes, regulations, rules, ordinances, codes and standards (“Laws”) applicable to its business, including, without limitation, all applicable labor, health and safety and environmental Laws. Seller will also comply with any Buyer policies, procedures and codes of conduct applicable to this Agreement that have been disclosed or otherwise made available to Seller.
COMPLIANCE WITH LAWS AND CODE OF CONDUCT. Participant shall maintain decorum, comply with all laws, rules, and regulations of all government authorities, and not suffer or permit the continuation of acts in breach of this Agreement.
