Compliance with Standards and Laws. Contractor represents and warrants that the Licensed Software Programs will at all times during the term of this Agreement comply with any applicable industry standards and applicable federal, state and local laws and regulations.
Compliance with Standards and Laws. Each of the Parties agrees to comply with Good Clinical Practice, Good Laboratory Practice, Good Manufacturing Practices, all applicable Law and the industry practices set forth in guidelines issued by the Pharmaceutical Research and Manufacturers of America (PhRMA) in the conduct of all activities pursuant to this Agreement.

Quest represents and warrants that the Licensed Software Program will at all times during the term of this Agreement comply with any applicable industry standards and applicable federal, state and local laws and regulations, including but not limited to Subtitle A of Title III of HAVA and the requirements of IC 3-7-26.3, in each case, as in force on the date of this Agreement.

Supplier will comply with all applicable country, federal, state, local and foreign laws, rules, acts, orders and regulations, including, but not limited to, laws pertaining to employment, import and export compliance, antitrust, environmental health, safety, chemical/material restriction and electronic/product and waste take-back. In compliance with the provisions of all applicable federal, state, and/or local laws, regulations, rules and orders, Supplier will utilize standard industry practices, such as but not limited to: a) criminal background checks, b) credit checks and/or, c) driving record checks, to ensure fitness of employees. Supplier will not employ any person that fails to meet the appropriate fitness criteria. Compliance with Standards and Laws. Appraiser will perform Appraiser's appraisal services under this Agreement in conformity with the Uniform Standards of Professional Appraisal Practice (“USPAP”) and all laws and regulations pertaining to Appraiser's services.

To the best of each Borrower's knowledge, such Borrower's operations have, in all material respects, been conducted in accordance with all relevant standards imposed by Accrediting Bodies, agencies administering provincial or federal government student aid programs in which any such Borrower participates, and all other applicable laws and regulations. Each Borrower has submitted all reports, audits and other information, whether periodic in nature or pursuant to specific requests, to all agencies or other entities with which such filings are required relating to its compliance with (i) applicable accreditation standards governing its activities or (ii) laws or regulations governing programs pursuant to which any Borrower or its students receive funding, except to the extent that failure to submit any such report, audits or other information would not result in a Material Adverse Effect. To the best of each Borrower's knowledge, all such forms and records with respect to each Borrower have been prepared, completed, maintained and filed in all material respects in accordance with all applicable federal and provincial laws and regulations, and are true and correct in all material respects. To the best knowledge of each Borrower, all financial aid grants and loans, disbursements and record keeping relating thereto with respect to such Borrower have been completed in substantial compliance with all federal and provincial requirements, and there are no material deficiencies in respect thereto. To the best of each Borrower's knowledge, such Borrower's records of its students conform in all material respects in form and substance to all relevant regulatory requirements.
Compliance with Standards and Laws. All activities and operations of Lessee under this lease shall be conducted in conformance with industry standards and practices, and shall be done in a workmanlike manner. Lessee shall at Lessee’s sole expense comply with all federal, state and local statutes, regulations, rules, and ordinances that apply to Lessee’s operations on the Leased Premises.
