Contractor’s Undertaking. For purposes of this Contract the term “subcontract” shall mean any agreement by the Contractor with any Contractor-Related Persons to perform a portion of the Services, as well as any agreements between a subcontractor and its lower tier contractors, vendors, suppliers, consultants, or other entities or persons.
Contractor’s Undertaking. The Contractor shall immediately notify the Fund in writing if: the Contractor merges with, acquires, or transfers all or substantially all of its assets to another entity; any person or entity acquires directly or indirectly the majority of the beneficial ownership rights in the Contractor; any person or entity acquires directly or indirectly the power to elect a majority of the board of directors of the Contractor, or otherwise acquires directly or indirectly the power to control the policy making decisions of the Contractor; the Contractor is dissolved; applies for insolvency or bankruptcy; or otherwise admits in writing its inability to pay its outstanding obligations or liabilities; the Contractor is administratively or judicially declared insolvent or bankrupt, placed under receivership, administration, rehabilitation or liquidation or any other such equivalent process; the Contractor’s financial condition becomes significantly unstable and threatens to jeopardize the Contractor’s ability to perform its obligations under the Contract; the Contractor loses any license or authorization required to perform its obligations under the Contract; or the Contractor faces any event beyond its control or a situation that makes it impossible for it to carry out its obligations under the Contract, and the Fund and the Contractor shall, without prejudice to any other provision of the Contract, meet to discuss and use reasonable endeavours to agree alternative arrangements to ensure full performance of the Contract under any or all of the above circumstances. The Contractor shall obtain certificates, permits, approvals, licenses and other documents required under applicable laws, regulations and decrees which are required in order to perform the Services under the Contract. If the Contractor requests the Fund’s assistance in obtaining such permits, approvals, or licenses from local public authorities, the Fund may exert reasonable efforts to assist the Contractor in completing such requirements in a timely and expeditious manner. The Contractor shall perform its obligations under this Contract diligently, observe good social management practices, and comply with relevant laws, regulations, decrees and orders concerning environmental protection, corporate social responsibility and employees of the Contractor engaged in performing the Services. Contractor’s Undertaking. Unless otherwise stated in the Employer’s Requirements the Contractor undertakes that the design, the Contractor's Documents, the execution and the completed Works will be in accordance with:
(a) Laws in the Country in so far as these laws are consistent with EU Legislation; and
(b) the documents forming the Contract, as altered or modified by Variations.
Contractor’s Undertaking. The Contractor having requested the execution of this Performance Bond by the Guarantor undertakes to the Guarantor (without limitation of any other rights and remedies of the Employer or the Guarantor against the Contractor) to perform and discharge the obligations on its part set out in the Building Contract.

Contractor’s Undertaking. (a) The Contractor undertakes that the design, the Contractor’s Documents, the engineering, the construction, the execution and the completed Works will be in accordance with:
(i) the Laws in the Country, the Consents, the Grid Code, and the Minimum Functional Specifications set forth in Annex E;
(ii) the documents forming the Contract, as altered or modified by Variations;
(iii) the Project Documents;
(iv) the plans and specifications and accompanying data submitted to the Employer pursuant to this Contract and/or enclosed in Annex K (Project Requirements);
(v) sound engineering and construction practices and Prudent Utility P ractices and Prudent Practices;
(vi) the Environmental Requirements; and
(vii) such requirements as the Employer may reasonably deem necessary in order for the Interconnection Facilities to be designed and constructed in accordance with sound engineering practices, Prudent Practices and the Project Documents.
(b) Within 3 months of signing this Contract, the Contractor shall notify the Employer of all information relating to the Grid System that is reasonably necessary for the Contractor to design and construct the Works in accordance with the Contract.
(c) The Contractor covenants that the Works (i) will be designed, constructed and completed in a good and workmanlike manner, only with materials and equipment that are brand new and unused (to the extent of t he Permanent Works), and suitable for their intended use, (ii)shall be, in accordance in all material respects with sound engineering practices and Prudent P ractices and ( iii) t hat the com pleted Works sha ll be cap able o f m eeting t he operational standards of the Power Purchaser and those set out in the Project Documents and requirements of this Contract.
(d) The Contractor shall ensure that the Works shall be executed and completed in such a manner to enable the Employer to operate and maintain the completed Works [without adverse effect on the Power Purchaser’s voltage level or voltage waveform] and otherwise in accordance with the Technical Limits. Furthermore, the Works shall be executed and completed in such a manner to ensure the completed Works may be operated at the voltage levels determined pursuant to Annex F (Technical Limits).
