D-Cubed Software Terms and Conditions. The following is applicable to the licensing of D-Cubed products including, but not limited to, the following: 2D Dimensional Constraint Manager (2D DCM), 3D Dimensional Constraint Manager (3D DCM), Collision Detection Manager (CDM), Assembly Engineering Manager (AEM), Profile Geometry Manager (PGM) and Hidden Line Manager (HLM): (i) Notwithstanding Section 3 of this Schedule, support and maintenance for the D-Cubed products will be provided solely out of Siemens’ D-Cubed facility in Castle Park, Cambridge England (the “D-Cubed Facility”) and Customer will correspond solely with the D-Cubed Facility in resolving any issues that arise pursuant to this Section 7. Subject to Siemens’ workload constraints at the D-Cubed Facility, at Siemens’ sole discretion, Siemens will provide telephone, fax, mail and e-mail support and maintenance during Siemens’ standard business hours at the D- Cubed Facility, except on holidays recognized by Siemens in England. Customer will provide Siemens with all data necessary to facilitate the provision of any such support and maintenance. Customer will verify that data provided to Siemens conforms with any local export laws, regulations, orders or other requirements to which such data is subject prior to providing it to Siemens. If Customer is unable to provide data to Siemens due to export laws and regulations Siemens will use commercially reasonable efforts to attempt to duplicate and remedy any suspected errors. (ii) Notwithstanding Section 4 of this Schedule, installation, access and use of D-Cubed products by Authorized Users are restricted solely to Customer's campus facilities. (iii) Supplementing Section 4 of this Schedule, Customer will provide Siemens at no cost copies of theses, dissertations and scholarly papers which concern the use of D-Cubed products insofar as such disclosure does not cause Customer to forgo any applicable patent rights. Siemens may use the information within these documents without restriction. All Data security provisions agreed to by the Authorized User and Contractor within the Authorized User Agreement may not be diminished for the duration of the Authorized User Agreement without prior written agreement by the parties amending the Authorized User Agreement.

  • Specific Terms and Conditions To the extent that Contractor has received an award for Lot 4, Implementation Services, the following terms and conditions apply to Lot 4 Implementation Services. All Services covered under Lot 4 – Implementation Services must be performed within CONUS. An RFQ for this Lot will be awarded based on, and result in, a deliverable-based Statement of Work (SOW) which will be incorporated into an Authorized User Agreement. The RFQ will include but is not limited to: Authorized User timeframes; system integration requirements; and other risks that may affect the cost to the Authorized User. All responses to RFQs must include detailed price information, including but not limited to: hours required per title, cost per hour, etc. Travel, lodging and per diem costs must be itemized in the total quote and may not exceed the rates in the NYS OSC Travel Policy. Article 17-B of the New York State Executive Law provides for more meaningful participation in public procurement by certified Service-Disabled Veteran-Owned Businesses (“SDVOB”), thereby further integrating such businesses into New York State’s economy. OGS recognizes the need to promote the employment of service-disabled veterans and to ensure that certified service-disabled veteran-owned businesses have opportunities for maximum feasible participation in the performance of OGS contracts. In recognition of the service and sacrifices made by service-disabled veterans and in recognition of their economic activity in doing business in New York State, Bidders are expected to consider SDVOBs in the fulfillment of the requirements of the Contract.   • Payment Terms and Conditions 67.6.1 CLEC shall pay a Transit Service Charge as set forth in Table 1 for any Transit Traffic routed to CenturyLink by CLEC. 67.6.2 CLEC shall be responsible for payment of Transit Service charges on Transit Traffic routed to CenturyLink by CLEC and for any charges assessed by the terminating carrier. CLEC agrees to enter into traffic exchange agreements with third-parties prior to routing any Transit Traffic to CenturyLink for delivery to such third parties, and CLEC will indemnify, defend and hold harmless the Transit Service provider against any and all charges levied by such third-party terminating carrier with respect to Transit Traffic, including but not limited to, termination charges related to such traffic and attorneys’ fees and expenses.

  • PLACE AND CONDITION OF WORK The City shall provide the Contractor access to the sites where the Contractor is to perform the services as required in order for the Contractor to perform the services in a timely and efficient manner, in accordance with and subject to the applicable security laws, rules, and regulations. The Contractor acknowledges that it has satisfied itself as to the nature of the City’s service requirements and specifications, the location and essential characteristics of the work sites, the quality and quantity of materials, equipment, labor and facilities necessary to perform the services, and any other condition or state of fact which could in any way affect performance of the Contractor’s obligations under the contract. The Contractor hereby releases and holds the City harmless from and against any liability or claim for damages of any kind or nature if the actual site or service conditions differ from expected conditions. The contractor shall, at all times, exercise reasonable precautions for the safety of their employees, City Staff, participants and others on or near the City’s facilities.
