General Description and Requirements. The Architect-Engineer shall perform the requested services based on the terms and conditions stated in this Agreement. If the stated terms and conditions of this Agreement are ambiguous, then the Architect-Engineer shall perform the required services in accordance with applicable standards of professional care, to comply with the times for completion of services set forth in this agreement and any schedules for the Architect-Engineer’s services to be agreed upon by the parties. Time is of the essence in the performance of this Agreement. Time periods so established shall not be exceeded by the Architect-Engineer except for delays due to causes outside the Architect-Engineer’s control (which term shall not include staffing problems, insufficient financial resources, or default or negligent acts, errors or omissions on the part of the Architect-Engineer or its Subconsultants).

General Description and Requirements. A. Coordination of Design. Architect shall fully coordinate all architectural and engineering disciplines and Subconsultants involved in completing its Services. Architect’s Subconsultants shall fully coordinate with Architect and all architectural and engineering disciplines and Subconsultants involved in completing the Services. Architect shall conduct design coordination meetings with its Subconsultants and with any District consultants on this or related projects for coordination of design. The objective of this coordination shall be the development of a design in which the work of Architect and each Subconsultant interfaces well and is properly coordinated, architecturally sound, and well-engineered, with details that work together with regard to all affected disciplines. SAMPLE B. Coordination with District. Architect shall continuously coordinate with District regarding all required District and Architect/third party interface, for example, approvals, reviews, design input and supplying information. In all phases of the Services, Architect shall work cooperatively with District, Contractor (once engaged), and any of District’s other consultants with the objective of delivering the Project within schedule, within the District’s construction budget, and Architect’s accepted estimates, and with the required level of quality. This duty will include, but not be limited to, furnishing complete and timely responses to reasonable requests for information, providing reasonable advance notice of meetings, providing decisions within a reasonable time, sharing non- proprietary information with other Project and Program participants, communicating through designated representatives of other Project and Program participants, and fulfilling Architect’s commitments made to other Project and Program participants. 1. Architect shall coordinate its work on the Project with District personnel and work of other consultants on the Project (including Project Manager) and Program, as directed by Project Manager, as necessary to achieve desired Project- and Program wide efficiencies in procurement and maintenance. 2. Architect shall immediately advise District in writing if any consultant fails in any manner to coordinate its work with Architect. 3. To the extent necessary to complete its design services for the Project, Architect shall review, update and verify all as-built information supplied by District concerning existing structures, facilities and utilities. 4. General Description and Requirements. 2.2.1 Performance of services will require Consultant to with, and attend meetings with the Agency Project Manager, the Library's representative, Inspectors, the Agency's Construction Manager, testing agencies, other governmental agencies, Contractors, and with such other consultants as Consultant determines necessary, to the extent reasonably required for the design and construction of the Project and performance of Consultant's duties under this Agreement. Services performed by Consultants shall conform to the standard of care stated in 1.1 above, regarding the requirements of the laws of the State of California applicable to public entity but not limited to, the requirements of the California Business and Professions Code, the California Code of Regulations, and the California Building Code. 2.2.1 Consultant shall provide to Agency all reasonably necessary professional architectural and engineering services in all phases of the Project to which this Agreement applies. Services will include providing all professional architectural and engineering services necessary to perform the Services, including, but not limited to civil, landscape, structural, mechanical, electrical, life safety, fire protection and related design engineering. 2.2.2 Consultant shall have adequate personnel, facilities, equipment and supplies to complete Consultant's Services. Consultant shall provide all materials to complete the required services and shall provide resumes on request for Consultant's assigned personnel. 2.2.3 Consultant shall engage all reasonably appropriate specialty sub consultants for proper completion of the Consultant's Services, at the sole expense of Consultant. Consultant's contracts with its sub consultants (and their contracts with their sub consultant's) shall incorporate this contract by reference. Agency shall have the right (but not the obligation) to approve specialty sub consultants engaged by Consultant which approval shall not be unreasonably withheld. Consultant shall review, update and verify all record and as-built information supplied by Agency concerning existing structures, facilities and utilities, for the purpose of advising Agency of any observed deficiencies, and whether the information supplied is sufficient to use in connection with all phases of Consultant's Services.

  • Compliance with NASD Rules The Company hereby agrees that it will ensure that the Reserved Securities will be restricted as required by the National Association of Securities Dealers, Inc. (the "NASD") or the NASD rules from sale, transfer, assignment, pledge or hypothecation for a period of three months following the date of this Agreement. The Underwriters will notify the Company as to which persons will need to be so restricted. At the request of the Underwriters, the Company will direct the transfer agent to place a stop transfer restriction upon such securities for such period of time. Should the Company release, or seek to release, from such restrictions any of the Reserved Securities, the Company agrees to reimburse the Underwriters for any reasonable expenses (including, without limitation, legal expenses) they incur in connection with such release.
