General Description of Program. The parties agree that the Program shall consist of the origination, funding, and collection of Loans in accordance with the Program Guidelines to Borrowers at such locations in the State of Texas as Cash America may designate from time to time. The parties agree that Lender shall have sole responsibility for establishing credit and underwriting criteria, making the decisions as to whether or not to make Loans to prospective Borrowers, funding the Loans, and, subject to the timely performance of Cash America’s obligations hereunder, managing the Program in accordance with Lender’s express obligations under this Agreement and the Program Guidelines. The parties further agree that Cash America’s responsibility under the Program shall be to act as a Credit Services Organization on behalf of consumers in accordance with the laws of the State of Texas and as such Cash America shall have the right to charge a Borrower a fee (a “CSO Fee”) for brokering a Loan on behalf of such Borrower. Cash America shall not share with Lender, and Lender shall not accept, any portion of any CSO Fee obtained from a Borrower. The services Cash America provides to each Borrower shall be governed by a Credit Services Disclosure Statement (“CSO Disclosure Statement”) and a Credit Services Contract between Cash America and each Borrower (each a “CSO Contract”). Cash America, in Cash America’s sole discretion, shall be solely responsible for determining the amount of the CSO Fee, the disclosures set forth in the CSO Disclosure Statement and the terms and conditions of each CSO Contract and Cash America shall determine, in Cash America’s sole discretion, whether or not it is appropriate to offer any particular consumer the opportunity to apply for a Loan. The parties shall endeavor to begin the Program and commence making the Loans hereunder not later than July 1, 2005. Except as expressly provided below, (a) nothing herein shall be deemed to commit Lender to originate or fund any particular level or number of Loans, and (b) Lender makes no representation as to the amount of funding it will be able to raise for the Loans; provided, however, Lender hereby commits that it will have no less than $2,000,000 available to fund Loans that satisfy the Lender’s underwriting criteria for making such Loans. General Description of Program. The Program runs during the academic year and during the summer period. Organization understands that at any given time during the term of this Agreement the Program may not be staffed with Interns depending on the availability and interests of JHU’s graduate students. Organization further understands and agrees that JHU is under no obligation to make available an Intern or Interns to Organization during the term of this Agreement, but that the purpose of this Agreement is to provide opportunities to JHU’s graduate students to work at Organization should they so desire. Upon the end of an Intern(s) Project (as defined below), Organization and JHU will work together in a timely manner to facilitate the selection of new Intern(s), if available. JHU SHALL: Make available a WSE staff member to answer questions from Organization, and the Intern(s) regarding the Program. Provide all relevant paperwork reasonably requested by Organization in connection with the Program. Provide Organization with a Program and Intern evaluation form. ORGANIZATION SHALL, WITH RESPECT TO EACH INTERN: Provide a designated project for the Intern to work on with a preference for the ability to complete the project within the term hereof. Communicate to JHU in writing that Intern has been approved and accepted by Organization for the Project by completing the applicable form provided. Grant reasonable access to the Intern to its premises for the purpose of working at Organization toward the mutual goals enumerated herein. Grant reasonable access, upon prior request, to JHU and its representatives for the purpose of visiting the Organization’s premises, non-public work sites and the Intern. Appoint at least one employee of Organization with the appropriate skills, ability, and training to supervise the Intern at all times while are on the premises of Organization or in the performance of work for Organization. Provide and explain to the Intern all applicable Organization protocols and procedures necessary for the Intern’s work for Organization, including those related to health, safety, and security of the Intern and Organization’s clients and provide Intern with requisite training on the foregoing. Complete a Program and Intern evaluation report form, which shall be provided by JHU. Notify JHU immediately if there are any problems or concerns regarding the Intern or Intern’s work or activities. General Description of Program. The SMPD is a state-recognized tribal law enforcement agency. The Tribe’s SMPD provides primary police protection for tribal reservation lands as well as lands held in trust by the federal government for the benefit of the Tribe or individual Indians (jointly referred to as the “Reservation”). While the SMPD does not have the personnel or funding to operate on a 24-hour, 7-day per week basis, it does have adequate staffing to maintain regular patrol hours. The Tribe furnishes vehicles, equipment and training necessary for the SMPD to operate. The County, through the Shawano County Sheriff’s Office, is responsible to provide secondary coverage and back-up law enforcement assistance on the Reservation when requested and primary coverage when SMPD officers are unavailable. It is agreed that the Shawano County Sheriff’s Office shall not need permission to enter Reservation/tribal land as needed to address bona fide law enforcement issues and/or to make arrests as circumstances require, and such Reservation/tribal land shall still be considered under Shawano County’s territorial jurisdiction for law enforcement under applicable law. The County understands and accepts that the lands that make up the Reservation are checker boarded throughout the Towns of Bartelme and Red Springs so that the SMPD will be driving through the Towns to reach Reservation lands. The County also recognizes and accepts that the SMPD may enter into agreements with other jurisdictions, such as the Towns and the Villages of Gresham and Xxxxxx, to provide police protection.
