General Lease Terms. 1.1. We agree to grant you a long term right to exclusively occupy the Property and House by way of a lease of the Property (including the House) to you for 100 years from the Start Date on the terms set out in this Agreement. 1.2. You and your family can live at the Property without interference from us provided you comply with this Agreement. 1.3. The Property can only be used as your family home. 1.4. You may not rent out nor part with any part of the Property (including on a night by night basis) for more than 28 days per annum, unless approved by us. 1.5. If both of you die then we may implement clause 9 below. 1.6. If you separate then we may implement clause 9 below. 1.7. We can inspect the Property at any time provided we give you 48 hours advance warning. In the case of an emergency we can inspect the Property without advance notice. 1.8. We may engage a Related Party or its nominee to manage the Property and our rights under this Agreement on our behalf. 1.9. If we have reason to believe or suspect that there may be illegal substances manufactured or used on the Property then we have the right to arrange for a property inspection or testing with 24 hours’ notice to you. If that inspection shows illegal substances then we may implement clause 9.1 below. 1.10. The Residential Tenancies Act 1986 does not apply to this Agreement or your occupancy of the Property by virtue of Section 5(1)(x) of that Act. 1.11. For clarity, we acknowledge that your rights under this Agreement constitute an “estate in land” for the purposes of the KiwiSaver scheme rules in Schedule 1 of the XxxxXxxxx Xxx 0000 as at the date of this Agreement.

If that inspection shows illegal substances then we may implement clause 10.1 below. 2.9 The Residential Tenancies Act 1986 does not apply to this Agreement or your occupancy of the Property by virtue of section 5(1)(x) of that Act. 2.10 We acknowledge that your rights under this Agreement constitute an “interest in land” for the purposes of the KiwiSaver rules as at the date of this Agreement.
General Lease Terms. As the Parties enter into the exclusive negotiations, the Parties desire that the lease include the following general provisions; provided, the actual language of each provision is subject to further negotiation, and most material terms and provisions of the a. Project Partners shall commence construction of the Peace Village no later than one (1) year after the execution of the lease agreement and shall complete construction of the Peace Village within seven (7) years after execution of lease. Project Partners shall not commence construction of the Peace Village unless and until they have demonstrated, to the City’s Finance Manager’s reasonable satisfaction prior to expiration of the year within which Project Partners are to commence construction, that they have all of the funds necessary to design and construct, at a minimum, the Primary Component (adobe rehabilitation, site infrastructure and public park construction), as well as operate for at least two (2) years after completion of construction, plus a 15% contingency, available in cash or approved financing (the “Required Funds”). Secondary component tiny house construction will commence within 3 years, and; Secondary component New Studio construction will commence within 5 years of lease agreement. If Project Partners do not timely demonstrate that they have the Required Funds, or if Project Partners fail to timely begin or timely complete construction of the Primary Component, Project Partners shall be in substantial default, and the lease shall automatically terminate unless City agrees otherwise in writing. Failure of Smart Share or Peace Project to complete either one or both of the Secondary Components will not place Project Partners in default. The Peace Village shall be deemed complete only upon issuance of a Certificate(s) of Occupancy. b. Minimum 55-year term with the right of first refusal for additional lease years provided that the Project Partners are in good standing at the time of the renewal. c. Rent of $1.00 per year provided Project Partners: i. Are a California non-profit corporation in good standing; and ii. Are a federal and state income tax exempt 501 (c)(3) entity; and use the Property solely as described herein, consistent with the RFI and other related City approved community uses. iii. Project Partner’s failure to maintain their non-profit corporate status in good standing or its tax-exempt status under applicable state and federal law or to use the Property for any purpose...

  • Master Lease A. All the obligations contained in the Master Lease conferred and imposed upon Sublessor (as Tenant therein) shall be borne by Sublessor and Sublessee in accordance with the Sublessor's Percentage and the Sublessee's Percentage, respectively, except as modified and amended by this Sublease, and all rights and privileges contained in the Master Lease conferred upon Sublessor (as Tenant therein), are hereby conferred and imposed upon Sublessee, to the extent of Sublessee's Percentage. Sublessor covenants and agrees it will make payment of the rentals reserved under the Master Lease as and when due, will perform Sublessor's insurance obligations under the Master Lease, and will otherwise fully and faithfully perform the terms and conditions of the Master Lease with respect to the Sublessor's Percentage. Sublessee covenants and agrees to otherwise fully and faithfully perform the terms and conditions of the Master Lease and the Sublease on its part to be performed. Neither the Sublessor nor Sublessee shall do or cause to be done any act which would or might cause the Master Lease, or the rights of Sublessor as tenant under the Master Lease to be endangered, cancelled, terminated, forfeited or surrendered, or which would or might cause Sublessor to be in default thereunder or liable for any damage, claim or penalty. Sublessee agrees, as an express inducement for Sublessor executing this Sublease, that if there is any conflict between the provisions of the Master Lease and this Sublease which would permit Sublessee to do or cause to be done any act which is prohibited by the Master Lease then the provisions of the Master Lease shall prevail. B. Sublessee shall pay to Sublessor, within ten (10) days after demand therefor by Sublessor, Sublessee's Percentage of any and all sums (except fixed annual rent payable under the Master Lease) due pursuant to the Master Lease. Sublessor shall not demand such payment prior to the date which is thirty (30) days before the date any such sum shall be due and owing under the Master Lease. C. Notwithstanding anything to the contrary herein contained, Sublessor shall have no duty itself to perform any obligations of the Master Landlord, nor shall such default of the Master Landlord affect this Sublease or waive or defer the performance of any of Sublessee' s obligations hereunder; provided, nevertheless, that in the event of any such default or failure of performance by Master Landlord, Sublessor agrees, upon notice from Sublessee, to make immediate demand upon Master Landlord to perform its obligations under the Master Lease.
