If both of you die then we may implement clause 9 below. 1.6. If you separate then we may implement clause 9 below. 1.7. We can inspect the Property at any time provided we give you 48 hours advance warning. In the case of an emergency we can inspect the Property without advance notice. 1.8. We may engage a Related Party or its nominee to manage the Property and our rights under this Agreement on our behalf. 1.9. If we have reason to believe or suspect that there may be illegal substances manufactured or used on the Property then we have the right to arrange for a property inspection or testing with 24 hours’ notice to you. If that inspection shows illegal substances then we may implement clause 9.1 below. 1.10. The Residential Tenancies Act 1986 does not apply to this Agreement or your occupancy of the Property by virtue of Section 5(1)(x) of that Act. 1.11. For clarity, we acknowledge that your rights under this Agreement constitute an “estate in land” for the purposes of the KiwiSaver scheme rules in Schedule 1 of the ▇▇▇▇▇▇▇▇▇ ▇▇▇ ▇▇▇▇ as at the date of this Agreement.

If Project Partners do not timely demonstrate that they have the Required Funds, or if Project Partners fail to timely begin or timely complete construction of the Primary Component, Project Partners shall be in substantial default, and the lease shall automatically terminate unless City agrees otherwise in writing. Failure of Smart Share or Peace Project to complete either one or both of the Secondary Components will not place Project Partners in default. The Peace Village shall be deemed complete only upon issuance of a Certificate(s) of Occupancy. b. Minimum 55-year term with the right of first refusal for additional lease years provided that the Project Partners are in good standing at the time of the renewal. c. Rent of $1.00 per year provided Project Partners: i. Are a California non-profit corporation in good standing; and ii. Are a federal and state income tax exempt 501 (c)(3) entity; and use the Property solely as described herein, consistent with the RFI and other related City approved community uses. iii. Please propose a fixed, or flat, rental rate for a Gross Lease: including all expenses – taxes, insurance, janitorial services, maintenance, etc. The State may elect to pay for utilities separately so please include a cost per square foot to reduce the rental rate if such occurs.

  • Original Lease The single executed original of this Lease marked "THIS COUNTERPART IS THE ORIGINAL EXECUTED COUNTERPART" on the signature page thereof and containing the receipt of the Lessor therefor on or following the signature page thereof shall be the Original Executed Counterpart of this Lease (the "Original Executed Counterpart"). To the extent that this Lease constitutes chattel paper, as such term is defined in the Uniform Commercial Code as in effect in any applicable jurisdiction, no security interest in this Lease may be created through the transfer or possession of any counterpart other than the Original Executed Counterpart.
