LEASE AND OTHER PAYMENTS. 4.1. For use and possession of the Premises and Parking Slots the Lessee shall pay the Lease Payment to the Lessor during the Lease Period, including the Fixed Part of the Lease Payment and the Variable Part of the Lease Payment (utility charges). 4.2. The Fixed Part of the Lease Payment consists of the following: • Basic Lease Payment; • Operating Expenses; • Parking Fee. 4.3. The Basic Lease Payment includes the following: • use and possession fee for the Premises; • use fee for the Common Areas; • use fee for the Land Plot for the purpose of access to the Building and the Premises, loading and unloading; • fee for placement of signs with the Lessee’s name in the entrance space of the Building. 4.4. The Operating Expenses shall include the costs related to maintenance of the Complex, the Building, Common Areas and the Premises, such as: • cleaning outside of the Premises, cleaning in the Common Areas (including outdoors), removal of snow and ice in Common Areas in winder, and from the Parking Slots provided to the Lessee, without the possibility of temporary placement of the snow being removed on the Parking Slots of the Lessee; • maintenance and repair of the Common Areas and Building, including the main utilities in accordance with the Certificate of Delineation of Operational Responsibility; • maintaining green plants on the Land Plot; • washing windows outside of the Building twice a year; • Complex management; • Complex guarding, video surveillance on the Complex perimeter and Complex access control; • general consumption of water and power in the Common Areas; • ensuring fire safety of the Common Areas; • operation, repair, replacement, cleaning, and maintenance of the fire alarm system, the automatic firefighting system, the firefighting equipment and auxiliary devices, and primary means of firefighting; • insurance of the Building; • depreciation of equipment (including without limitation utilities, equipment in the ventilation premises, a proportional part of the equipment in the common area ventilation premises, cleaning equipment, snow removal equipment); • land tax; • maintenance of general telecommunications; • ensuring 24 h heating of the Building in the heating season and maintaining ventilation of the Building during the whole year in accordance with the requirements to heating and ventilation specified in the Terms of Reference (this service does not include payment of the utility service paid by the Lessee as a part of the utility charg...

LEASE AND OTHER PAYMENTS. (a) Lessor and Lessee understand and intend that the obligation of Lessee to make monthly Lease Payments hereunder shall constitute a binding contractual obligation of Lessee to make the payments subject only to the limitations and conditions stated herein. Lessee covenants to appropriate sufficient funds to cover Lease Payments due each applicable fiscal year in its annual budget, subject to sufficient appropriations made by the State of New Mexico, the New Mexico Public Education Department or the Public School Capital Outlay Council (together the “State of New Mexico”). If sufficient funds are not made by the State of New Mexico for current payments under this Lease Agreement, this Lease Agreement may terminate prior to the end of the Lease Term without further obligations to Lessee. (b) The Commencement Date of the Lease Agreement is April _1 , 2017. “Rental Commencement Date” shall be May 1, 2017.
LEASE AND OTHER PAYMENTS. The Borrower Group Companies shall require all Lessees to make all payments of Basic Rent to the Collections Account or to a Borrower Rental Account if it is required by law or requested by any Lessee (provided that, before payments of Basic Rent may be deposited into a Borrower Rental Account, the Administrative Agent and the Security Trustee shall have received a favorable opinion of counsel, in Agreed Form, in the jurisdiction in which such Borrower Rental Account is located that all necessary actions have been taken to ensure that the Security Trustee has a first priority perfected Lien over such Borrower Rental Account and that the Security Trustee does have such Lien), provided that all funds deposited in any Borrower Rental Account shall be promptly transferred to the Collections Account. The Borrower Group Companies shall ensure that all Collections are deposited into the Collections Account by the close of business on the date such payment is made or as soon as practicable thereafter. The Borrower Group Companies shall ensure that, during the continuance of a Trigger Event, all Segregated Funds received from time to time from any Lessee shall be deposited into the related Lessee Funded Account by the close of business on the date such payment is made or as soon as practicable thereafter. The Borrower shall have the right to direct the Security Trustee to make withdrawals from the Collections Account in order to pay Borrower Expenses (subject to the limitations on amount set forth in the definition of Borrower Expenses) and Lessor Payments as necessary from time to time; provided that any withdrawals from the Collections Account to pay Lessor Payments shall only be permitted after prior application of all amounts in the Aircraft Expenses Account, and only if (i) the request for such withdrawal is accompanied by supporting invoices and supporting documentation detailing the amounts and reasons for the incurrence of such Lessor Payments and (ii) such Lessor Payment is due and payable prior to the next Payment Date. The Borrower Group Companies shall have no right to direct the Security Trustee to make any withdrawals from the Collections Account except in accordance with this Agreement and Section 2.08 of the Facility Agreement. LEASE AND OTHER PAYMENTS. The monthly rent payable by the PriceLine Parties under the Intercompany Lease shall be equal to Xxxxxx Digital's monthly base rental payment for leasing the PriceLine Occupied Space then occupied by the PriceLine Parties (as determined by Xxxxxx Digital and xxxxxxxxx.xxx as required by Section 4.1 above). In addition to the foregoing, the PriceLine Parties shall pay to Xxxxxx Digital, on a monthly basis after invoice from Xxxxxx Digital (i) their proportionate share, based on the then current PriceLine Occupied Space, of the monthly out-of-pocket cost to Xxxxxx Digital for all utilities (other than telephone and telecom services), taxes and maintenance, cleaning, security and repair fees paid by Xxxxxx Digital with respect to the Xxxxxx Leased Space, (ii) their proportionate share, based on usage, of the monthly out-of-pocket cost to Xxxxxx Digital for the provision of third party telephone and telecom services to the PriceLine Parties, and (iii) their proportionate share, based on the usage of the PriceLine Parties, of the monthly out-of-pocket cost to Xxxxxx Digital for all capital equipment located at or on the Xxxxxx Leased Space (such as photocopy and facsimile equipment and leased appliances), PROVIDED, HOWEVER, that all telephones (including cellular telephones), personal computers and printers used by the PriceLine Parties and owned or leased by Xxxxxx Digital shall be paid for by the PriceLine Parties based on the actual out-of-pocket cost to Xxxxxx Digital for the provision of each such item to the PriceLine Parties.

  • Royalties and Other Payments 5.1 For the rights, privileges and exclusive licenses granted hereunder, Licensee shall pay to CMCC the following amounts in the manner hereinafter provided until the end of the term of the last to expire Licensed Patent Right, unless this Agreement shall be sooner terminated as hereinafter provided: (a) A license issue fee of [**] Dollars ($[**]), which license issue fee shall be deemed earned on the date of the execution of this Agreement. Running royalties on a country-by-country basis in an amount equal to [**] percent ([**]%) of Net Sales by Licensee or an Affiliate of Licensed Products or Licensed Processes derived from a new chemical entity discovered by Licensee or its Affiliate and which, but for this Agreement would infringe a Valid Claim of the Licensed Patent Rights. 5.2 In the event Licensee or its Affiliate has granted sublicenses under this Agreement, Licensee or its Affiliate will pay CMCC [**] percent ([**]%) of Gross Compensation received by Licensee or its Affiliate from said Sublicensees on a country-by-country basis for Licensed Products or Licensed Processes derived from a new chemical entity disclosed by CMCC to Licensee or its Affiliate which, but for this Agreement would infringe a Valid Claim of the Licensed Patent Rights in the country, and [**] percent ([**]%) of Gross Compensation received by Licensee or its Affiliate from said Sublicensees for Licensed Products or Licensed Processes derived from a new chemical entity discovered by Licensee, its Affiliate or Sublicensee, and which, but for this Agreement would infringe a Valid Claim of the Licensed Patent Rights in the country. 5.3 No multiple royalties shall be payable because any Licensed Product or Licensed Process, its manufacture, use, lease or sale which, but for this Agreement would infringe a Valid Claim of more than one patent licensed under this Agreement. 5.4 To the extent that Licensee or its Affiliates obtains subsequent to the date of this Agreement licenses to third party patents or other intellectual property that it or they reasonably believes are necessary to produce or sell Licensed Products or Licensed Processes, Licensee may deduct from the running royalty on Net Sales due to CMCC [**] percent [**]%) of the Net Sales as appropriate on a country by country basis due in respect of such third party patents or intellectual property, but only up to an amount equal to [**] percent ([**]%) of the Net Sales or share of Gross Compensation due hereunder for the same payment period. 5.5 For purposes of calculating royalties, in the event that a Licensed Product or Licensed Process includes both component(s) which, but for this Agreement would infringe a Valid Claim of the Licensed Patent Rights (“Patented Component”) and a component which is diagnostically useable or therapeutically active alone or in a combination which does not require the Patented Component, and such component is not covered by a Valid Claim of a Licensed Patent Right (“Unpatented Component”), then Net Sales of the Combination Product or Combination Process shall be calculated using one of the following methods; provided that in no event shall royalties payable to CMCC hereunder be reduced to less than fifty percent (50%) of those otherwise due hereunder: (a) By multiplying the Net Sales of the Combination Product or Combination Process during the applicable royalty accounting period (“accounting period”) by a fraction, the numerator of which is the aggregate gross selling price of the Patented Component(s) contained in the Combination Product or Combination Process if sold separately, and the denominator of which is the sum of the gross selling price of both the Patented Component(s) and the Unpatented Component(s) contained in the Combination Product or Combination Process if sold separately; or (b) In the event that no such separate sales are made of the Patented Component(s) or the Unpatented Components during the applicable accounting period, Net Sales for purposes of determining royalties payable hereunder shall be calculated by multiplying the Net Sales of the Combination Product or Combination Process by a fraction, the numerator of which is the fully allocated production cost of the Patented Component(s) and the denominator of which is the sum of the fully allocated production costs of the Patented Component(s) and the Unpatented Component(s) contained in the Combination Product or Combination Process. Such fully allocated costs shall be determined by using Licensee’s standard accounting procedures, which procedures must conform to standard cost accounting procedures. 5.6 Royalty payments shall be paid in United States dollars in Boston, Massachusetts, or at such other place as CMCC may reasonably designate consistent with the laws and regulations controlling in any foreign country. If the currency conversion shall be required in connection with the payments of royalties or other amounts hereunder, the conversion shall be made by using the exchange rate prevailing at the Bank of Boston on the last business day of the calendar quarterly reporting period to which such royalty payments relate. 5.7 The royalty payments set forth in this Agreement shall, if overdue, bear interest until payment at a per annum rate of four percent (4%) above the prime rate in effect at the Bank of Boston on the due date. The payment of such interest shall not foreclose CMCC from exercising any other rights it may have as a consequence of the lateness of any payment.

  • Improper and Other Payments (a) Neither the Company, any director, officer, employee thereof, nor any agent or representative of the Company nor any person acting on behalf of any of them, has made, paid or received any unlawful bribes, kickbacks or other similar payments to or from any person or authority, (b) no contributions have been made, directly or indirectly, by the Company to a domestic or foreign political party or candidate; and (c) the internal accounting controls of the Company are believed by the Company’s management to be adequate to detect any of the foregoing under current circumstances.

  • Fees, Expenses and Other Payments (a) Except as otherwise provided in this Agreement, all costs and expenses, including, without limitation, fees and disbursements of counsel, financial advisors and accountants, incurred by the parties hereto shall be borne solely and entirely by the party which has incurred such costs and expenses (with respect to such party, its "Expenses"); provided that, except in the event that the payment provided in Section 8.5(b) becomes payable, if DOCP breaches any material term of this Agreement or if the Merger is not consummated, and this Agreement is thereafter terminated, and within one year of the date of such termination DOCP enters into an agreement respecting an Alternative Transaction, DOCP shall pay the reasonable fees and expenses of one firm of legal counsel advising the Management Investor, up to $50,000, plus 50% of any such fees in excess of $50,000, for the benefit of the Management Investor in connection with the transactions contemplated hereby. (b) If (i) this Agreement shall be terminated by Buyer pursuant to Section 8.1(e) or by Buyer or DOCP pursuant to Section 8.1(f), or (ii) (A) after the date of this Agreement any person or "group" (within the meaning of Section 13(d)(3) of the Exchange Act) shall have publicly made a proposal with respect to an Alternative Transaction, (B) the Offer shall have remained open until at least the scheduled expiration date immediately following the date such proposal is made, (C) the Minimum Condition shall not have been satisfied at the expiration of the Offer and (D) this Agreement shall thereafter be terminated pursuant to Section 8.1(d), then DOCP shall pay to Buyer $3,000,000 plus all Expenses of Buyer, CSX, NSC and the Management Investor as promptly as practicable but not later than two business days after termination of this Agreement (unless required simultaneously with termination under Section 8.1(f)) by wire transfer of immediately available funds to an account designated by Buyer.

  • Rent and Other Charges Base Rent, Operating Expenses, and any other amounts which Tenant is or becomes obligated to pay Landlord under this Lease or other agreement entered in connection herewith, are sometimes herein referred to collectively as "Rent," and all remedies applicable to the non-payment of Rent shall be applicable thereto. Rent shall be paid at any office maintained by Landlord or its agent at the Property, or at such other place as Landlord may designate.

  • Fees and Other Charges (a) The Borrower will pay a fee on each outstanding Letter of Credit requested by it, at a per annum rate equal to the Applicable Margin then in effect with respect to Eurocurrency Loans under the Revolving Facility (minus the fronting fee referred to below), on the face amount of such Letter of Credit, which fee shall be shared ratably among the Revolving Lenders and payable quarterly in arrears on each Fee Payment Date after the issuance date; provided that, with respect to any Defaulting Lender, such Lender’s ratable share of any letter of credit fee accrued on the aggregate amount available to be drawn on any outstanding Letters of Credit during the period prior to the time such Lender became a Defaulting Lender and unpaid at such time shall not be payable by the Borrower so long as such Lender shall be a Defaulting Lender except to the extent that such Lender’s ratable share of any letter of credit fee shall otherwise have been due and payable by the Borrower prior to such time; provided further that any Defaulting Lender’s ratable share of any letter of credit fee accrued on the aggregate amount available to be drawn on any outstanding Letters of Credit shall accrue for the account of the Borrower so long as such Lender shall be a Defaulting Lender. In addition, the Borrower shall pay to each Issuing Lender for its own account a fronting fee on the aggregate face amount of all outstanding Letters of Credit issued by it to the Borrower separately agreed to by the Borrower and such Issuing Lender (but in any event not to exceed 0.25% per annum), payable quarterly in arrears on each Fee Payment Date after the issuance date. (b) In addition to the foregoing fees, the Borrower shall pay or reimburse each Issuing Lender for costs and expenses agreed by the Borrower and such Issuing Lender in issuing, negotiating, effecting payment under, amending or otherwise administering any Letter of Credit requested by the Borrower.

  • Vacation and Other Leave During the Period of Employment, the Executive shall accrue and be entitled to take paid vacation in accordance with the Company’s vacation policies in effect from time to time, including the Company’s policies regarding vacation accruals; provided that the Executive’s rate of vacation accrual during the Period of Employment shall be no less than three (3) weeks per year. The Executive shall also be entitled to all other holiday and leave pay generally available to other executives of the Company.

  • Commission and Other Charges Before you begin to trade, you should obtain a clear explanation of all commission, fees and other charges for which you will be liable. These charges will affect your net profit (if any) or increase your loss.

  • Fire and Other Casualty Tenant shall immediately notify Landlord of any fire or other casualty at the Premises. If the Premises is damaged by fire or other casualty, but not so as to render the Premises untenantable, the Landlord shall repair the same as speedily as practicable, but the Tenant’s obligation to pay the rent hereunder shall not cease. If, in the opinion of the Landlord, the Premises be so extensively and substantially damaged as to render it untenantable, then the rent shall cease until such time as the Premises shall be made tenantable by the Landlord. However, if, in the opinion of the Landlord, the Premises be totally destroyed or so extensively and substantially damaged as to require practically a rebuilding thereof, then Landlord shall either: (a) notify Tenant that the Lease is terminated; or (b) notify Tenant that Landlord intends to rebuild the Premises, in which case, rent shall be abated from the date of the fire or other casualty until issuance of a certificate of occupancy for the Premises, during which time Tenant may terminate this Lease by written notice to Landlord. In no event however, shall the provisions of this clause become effective or be applicable, if the fire or other casualty results from the carelessness, negligence or improper conduct of the Tenant or the Tenant’s agents, employees, guests, contractors, licensees, invitees, subtenants, assignees or successors. In such case, the Tenant’s liability for the payment of the rent and the performance of all the covenants, conditions and terms hereof on the Tenant’s part to be performed shall continue and the Tenant shall be liable to the Landlord for the damage and loss suffered by the Landlord. Tenant shall repair all damages caused to the Premises by vandalism or burglary.

  • Taxes and other Amounts The Servicer will use its best efforts to collect all payments with respect to amounts due for Taxes, assessments and insurance premiums relating to each Loan Asset to the extent required to be paid to the Borrower for such application under the applicable Loan Agreement and remit such amounts to the appropriate Governmental Authority or insurer as required by the Loan Agreements.
