LICENSE ENFORCEMENT. The Licensed Software incorporates technology to electronically enforce the license limitations included in the License Key. Licensee shall not take any steps to circumvent, disable, or otherwise interfere with the electronic enforcement of the terms of this SLA.

LICENSE ENFORCEMENT. The Software may have certain central server functionality (“Central Server”) used by PDQ to track and enforce licensing of the Software based on the number of concurrent sessions which permits PDQ to verify whether the Software is being downloaded, installed, accessed and used by Licensee on a per Administrator or Enterprise SL License basis as required in this XXXX. The limit of concurrent sessions to the Central Server is directly tied to the number of Software licenses granted to Licensee by PDQ hereunder. For example, if Licensee has been granted for its Administrators a five (5) user PDQ Deploy Enterprise Software license, then PDQ enabling the Central Server for this license will limit the number of concurrent sessions to a maximum of five (5). If Licensee wishes for an Administrator to utilize multiple concurrent sessions, then additional licenses to the Software are required to be granted to Licensee from PDQ for each such session. If Licensee wishes for an Administrator to maintain consoles in stand-alone mode (i.e. by not connecting to a centralized server), then the requirement to be granted one (1) license per Administrator for the Software is still required.
LICENSE ENFORCEMENT. CrossWorlds agrees to inform Cyclone, as ------------------- promptly as practicable, of any known material breach of a sublicense agreement relating to the Licensed Software. CrossWorlds agrees to use commercially reasonable efforts (and in any event efforts that are no less than those CrossWorlds normally uses to enforce customer obligations under license agreements relating to CrossWorlds software products of comparable value) to enforce Customer obligations under the Customer Licenses.
LICENSE ENFORCEMENT. Master Reseller agrees to use its best effort to enforce the terms of the License Agreement(s) for the Software Product(s) with end user, and shall give LSC notice of any breaches of such License Agreement by the end user(s). Master Reseller agrees that LSC and its suppliers shall have the right to enforce the terms and conditions of the License granted and shall provide for such right in each License.
LICENSE ENFORCEMENT. Reseller shall use its best efforts to assist Cipherloc in the protection of Cipherloc’s legal rights relating to the Products, including without limitation, providing prompt written notice to Cipherloc of any known violations or breaches of any EXXX and any infringement by third parties of Cipherloc’s Intellectual Property Rights. Reseller shall use its best efforts to cooperate with Cipherloc in any action by Cipherloc alleging any actual or threatened violation of Cipherloc’s Intellectual Property Rights.
LICENSE ENFORCEMENT. Upon request of the County as provided above the City shall exercise its authority to exclude PSM or other third parties from the Right-of-Way Area or portion thereof as necessary; to perform the work. Further the City shall enforce the PSM License as it relates to the County’s rights provided for herein, including, but not be limited to, restricting PSM uses under the License when reasonably necessary to do so and ensuring that PSM remains adequately insured during the term of the License. Coordination. City will identify a person or person(s) who will be responsible for coordinating the City’s responses to the County’s needs, including needs for emergency access to the Right-of-Way Area.
LICENSE ENFORCEMENT. We may take appropriate action against any use without permission or any use that does not conform to this Section 8 of the Participation Agreement, at any time and in our sole discretion, including injunctive relief and termination of the Company Trademarks License per Section 8.2.6 of this Participation Agreement. LICENSE ENFORCEMENT. While SLS may provide its advice with respect to each Licensee’s compliance with its License Agreement, all actions with respect to the enforcement of any License Agreement shall be made by Licensor in Licensor’s sole and absolute discretion. If Licensor decides to take any action to enforce a License Agreement, such action shall be undertaken by and in the name of Licensor and at Licensor’s sole cost and expense. SLS agrees to reasonably cooperate with Licensor in any such action, subject to payment by Licensor of SLS’ reasonable out-of-pocket costs in doing so. If Licensor receives any recovery from such action, SLS shall be entitled to its Rep Fee (defined below) on all amounts recovered in excess of Licensor’s out-of-pocket costs in pursuing the action. SLS is not obligated to (i) audit, sue or take any other action against a Licensee to enforce a License Agreement; (ii) monitor or prohibit the unauthorized use of the Licensed Property or take any action against any Person suspected of infringing on the Licensed Property; or (iii) perform or engage others to perform any professional services not expressly described herein (including, but not limited to, legal or accounting services). SLS disclaims any warranty or representation that any Licensee will comply with its License Agreement. SLS shall have no liability to Licensor for any breach of any License Agreement by any Licensee.
LICENSE ENFORCEMENT. The Service alerts customers when their subscription term is about to expire. Once a subscription expires, new backups will suspend and not resume until the subscription is renewed. Otherwise, Customer Data will be decommissioned in accordance with the Data Decommissioning section. Service Subscriptions are metered on either a per User or per FETB basis, as described in the Connector Types section above. If there are multiple connectors that are set up, usage is aggregated at the Tenant level to get the total capacity used by the connectors configured. • For connectors with user-based licenses, the Service will alert the customer when 100% of available licenses and/or storage are used. The service will not allow more users to be added to the connector’s scope once a connector has used all available licenses. New backups will be suspended and will not run until Customer either reduces capacity usage or purchases more storage. • For connectors with user-based licenses there are limits on capacity allocated. The service will alert the customer when the data protected by the Service for a particular license type has reached 80% capacity, 90% capacity and 100% capacity or exceeds available capacity, as compared against the Shared Storage Allocation. The Service will not allow more users to be added to the connector’s scope, and new backups will be suspended and will not be run until Customer either reduces capacity usage or purchases more storage. • For connectors with front-end terabyte-based licenses, the Service will alert the customer when data protected by the Service for a particular license type has reached 80% capacity, 90% capacity, and when at 100% capacity or exceeds available capacity. Once the 100% or exceeds capacity alert is triggered, new backups will be suspended and will not be run until Customer either reduces capacity usage or purchases more licenses. • Licenses are time-bound according to Customer’s Service Subscription start and end dates. If Customer’s Subscription expires, Customer will no longer have access to login to the Tenant and new backups will be suspended, and all Customer Data will be decommissioned in accordance with the Data Decommissioning section, including data with immutable retention periods or on legal hold.   • Specific Enforcement Each party hereto acknowledges that the remedies at law of the other parties for a breach or threatened breach of this Agreement would be inadequate and, in recognition of this fact, any party to this Agreement, without posting any bond, and in addition to all other remedies that may be available, shall be entitled to obtain equitable relief in the form of specific performance, a temporary restraining order, a temporary or permanent injunction or any other equitable remedy that may then be available.

  • Governing Law; Enforcement The terms of this Settlement Agreement shall be governed by the laws of the State of California and apply within the State of California. For purposes of this Settlement Agreement only, the Settling Entity stipulates that the Superior Court of California shall have personal jurisdiction over it for the limited and sole purpose of an action to enforce the terms of this Settlement Agreement, brought without joinder of other claims.
