There are no plans, programs or arrangements providing Retirement Benefits for the Employees which will transfer to Purchaser or its Affiliates after Closing by operation of laws or otherwise other than the Transferred Plans. No Employee Benefit Plan shall partially transfer to Purchaser after the Closing by operation of Law or otherwise.
