MAINTENANCE, SANITATION, AND REPAIRS. 11.1 (a) Licensee shall, at its sole cost and expense (or through arrangements with third parties), renovate, operate, and maintain the Licensed Premises in good and safe condition and in accordance with industry standards. This includes, but is not limited to, the maintenance and repair of the entire Licensed Premises, all interior and exterior structures, public restrooms, building systems, utility systems and connections, sewer systems and connections, equipment, lighting, sidewalks, paved areas, vaults, gutters, curbs, and fixtures. In addition, Licensee must keep all signs and structures on the Licensed Premises in good condition and free of graffiti.

MAINTENANCE, SANITATION, AND REPAIRS. 12.1 Licensee shall, at its sole cost and expense and to the reasonable satisfaction of Commissioner, put, keep, repair, preserve, and maintain in good order the Licensed Premises, including all batter piles, mooring bits, wales, chocks, paths, walkways, and signage so as to maintain the Licensed Premises in a manner customary for landing and docking facilities in the same industry. Licensee shall at all times keep the Licensed Premises clean, litter free, neat and, with respect to any food service operations, fumigated, disinfected, deodorized and in every respect sanitary. Licensee shall provide regular cleaning and maintenance services for the Licensed Premises (up to and including the perimeter of the Licensed Premises), and collect and remove all litter, debris, snow and garbage therefrom. Licensee shall provide for the regular cleaning and maintenance of the perimeter of the Licensed Premises including but not limited to the timely removal of all litter and debris, snow and garbage, perimeter sidewalk and perimeter fence maintenance and repair. Licensee shall repair and maintain in good working order any and all equipment installed at the Licensed Premises necessary for the proper operation of this License. Licensee shall provide equipment maintenance contracts, or directly provide maintenance services deemed by Parks to be equivalent to service contracts, for the equipment on the Licensed Premises. Licensee shall adhere to the maintenance schedules recommended by the manufacturers for all mechanical systems and equipment.

This includes, but is not limited to, the maintenance of and the making of all necessary repairs to the Premises, all interior and exterior structures, building systems, utility systems and connections, sewer systems and connections, restrooms (including the stocking of supplies), equipment, lighting, sidewalks, paved areas, vaults, gutters, curbs, and fixtures during the Term. In addition, all signs and structures at the Kiosk at the Premises must be kept in good condition and free of graffiti.

To ensure Parks’ satisfaction with Licensee’s compliance with the standards set forth in this Article 11 Licensee shall provide Parks with full and free access to the Licensed Premises. This includes, but is not limited to, the maintenance and repair of the entire Licensed Premises, all interior and exterior structures, the inflatable air structure (bubble)/ enclosure, tennis courts, public restrooms, building systems, utility systems and connections, sewer systems and connections, equipment, lighting, sidewalks, paved areas, vaults, gutters, curbs, and fixtures. The inflatable air structure (bubble)/ enclosure must be kept clean throughout the Indoor Season. Licensee shall make all necessary repairs to all of the tennis courts within the Licensed Premises to ensure that the tennis courts are in good condition. In addition, Licensee must keep all signs and structures on the Licensed Premises in good condition and free of graffiti. The erecting of any ancillary structures at the Licensed Premises shall be subject to Parks’ prior written approval.

Licensee may not erect any ancillary structures at the Licensed Premises without Parks's and RIPA’s prior written approval, such approval not to be unreasonably withheld, conditioned or delayed. Any repair to the exterior of the building during the course of the Term will require prior written approval from Parks, DOB and any other agencies having jurisdiction.

To the extent that building systems, utility systems and connections, sewer systems and connections may pass through the Parks facilities, Licensee shall coordinate with Parks to access those systems.
