OBJECT OF THIS CONTRACT. 1.1 The object of this contract is the service provision for the software license supplied by EPLAN, as stated in Annex 1 (hereinafter: Software). If not otherwise agreed, EPLAN only has to provide service for the latest program version made available to the licensee. The standard functions of the software are indicated in the corresponding product description. The rights and obligations of the licensee with respect to the Software already supplied and with respect to the new program versions supplied in accordance with this contract, follow exclusively from the license terms and conditions applicable for the Software. These remain in full force due to this Software service contract. 1.2 The service relates both to the Software and to the corresponding documentation. 1.3 If at a later date other licenses or modules of the standard software are used by the licensee it is then necessary to extend this contract for the additional licenses/modules. 1.4 The licensee shall in each case receive the standard version of the new status of the software. The licensee himself shall be responsible for implementing any client-specific adjustments. Individual programs, as well as client-specific adjustments of the Software based on customizing, such as API programming, scripting, individualization of master data, batch routines etc. are excluded from the service. For any work required relating to this to maintain operation after supply of a new status of the standard software – subject to the regulations in paragraph 3.3. – A separate order shall be placed and a separate payment must be made.

Under this Contract the Customer shall order and the Executor shall undertake to provide following services: - complete and accurate diagnosis of the level of stuttering in order to understand the anticipated workload for its eliminating - professional consultation concerning the solution to the problem of stuttering with the gradual consolidation of all the required techniques - detailed explanation of the situations, which previously provoked stupor and finding concrete solutions to replace it with normal speech without stuttering - conducting training sessions and provision of information on stuttering elimination until a full understanding of the material by student is reached - explanation of the initial cause of speech stupor using clear and easily learnt examples - analysis of all irrational movements (which lead to stupor, tensions and other things that don`t fall within normal speech), which sometimes a student may have during forming the new habit of speaking freely and beautifully (on average, it takes 21 days) - pointing out all student`s mistakes in time, explanation of the initial cause of them and conducting a practical work to correct the mistakes and to avoid them in the future - repeating over and over again (but no more than 50 times) some issues, which should be necessarily consolidated by student on a subconscious level in order to speak at ease - conducting a set of measures aimed at testing of your speech, identification and analysis of mistakes not only within the four walls face-to-face with the teacher, but also in communications in society (with your close people, friends, strangers, at school, at work, on the street and in other different situations) - free assistance not only during our training session when you form the new habit of speaking freely and naturally, without stuttering (from 9 a.m. to 9 p.m. Moscow time, wherever possible, through text messages, voice messages, telephone calls or on Skype) - timely provision of all necessary exercises aimed at forming a new comfortable for you habit of speaking with a detailed instruction on application and explanation what you should do and which results you will get doing it - conducting training so that a student will be able to use speech organs like all normal (non stuttering) people do it, multiple checks for qualitative consolidation of a new useful skill in practice - conducting the examination in speaking which will be a good exam...
OBJECT OF THIS CONTRACT. 1.1. The Customer shall order and the Executor shall undertake to provide services in respect of legal consulting under the Technical Assignment (Appendix No.2) which is an inalienable part of this Contract. 1.2. Periods (stages) of the performance of work (provision of services) shall be determined in the Technical Assignment.

Gross negligence by Finductive is understood to mean: • communication of false information; • failure to comply with an obligation of this Contract; • the nomination of a special mediator and insolvency administrator to initiate rehabilitation or liquidation proceedings. iii. In the event of a modification to applicable regulations and their interpretation by the relevant regulatory authority that may affect the ability of Finductive to provide Payment Services, this Contract will automatically be terminated. The Account Holder may no longer send Payment Orders after the effective termination date. Payment Transactions initiated before the termination date might be affected by the termination request if the regulatory authority prohibits Finductive from processing any Payment Transactions. iv. The termination of this Contract will result in the permanent closure of the Payment Account. The closure of a Payment Account will not give rise to any compensation, regardless of any possible damage caused by said closure. The Account Holder is not authorised, unless explicitly authorised by Finductive, to open another Payment Account at Finductive. Any Payment Account opened in violation of this provision may be immediately closed by Finductive, without notice. v. Any funds available in Payment Accounts which are being closed in accordance with this Contract will be debited to the Account Holder following written instructions by the Account Holder’s legal representatives, unless Finductive is prohibited to do so by law. vi. Finductive reserves the right to bring legal action to repair the damage suffered due to a breach of the Contract.

  • Effect of this Agreement Subject to the Corporation’s right to terminate the Option pursuant to Section 7.4 of the Plan, this Option Agreement shall be assumed by, be binding upon and inure to the benefit of any successor or successors to the Corporation.
