SERVICES OF THE CONTRACTOR. 2.1 The CONTRACTOR will perform the services described in the Scope of Services set forth on Exhibit B (the "Work").
2.2 The CONTRACTOR shall report, and be responsible, to the TOWN and its designee (if any) as set forth on Exhibit A.
2.3 There shall be no amendment to the Scope of Services or Work provided for in this Agreement without the written approval of the TOWN. The TOWN shall be under no obligation to pay for any services performed by the CONTRACTOR which are not explicitly agreed to by the TOWN in writing.
2.4 The CONTRACTOR represents and warrants to the TOWN that the CONTRACTOR (including all of its personnel, whether employees, agents or independent contractors) will be qualified and duly licensed (if necessary) to perform the services required by this Agreement and further agrees to perform its services in a professional manner, and in accordance with the reasonable standard of care implied by law and all applicable local, state or federal ordinances, laws, rules and regulations, all of which are incorporated herein by reference. The CONTRACTOR will obtain and pay for any and all permits, bonds and other items required for the proper and legal performance of the Work.
2.5 The CONTRACTOR represents and warrants to the TOWN that it is not a party to any agreement contract or understanding which would in any way restricts or prohibits it from undertaking or performing its obligations hereunder in accordance with the terms and conditions of this Agreement.
2.6 All written materials and any other documents (whether in the form of “hard” copies, graphics, magnetic media or otherwise) which are received and produced by the CONTRACTOR pursuant to this Agreement shall be deemed to be “work for hire” and shall be and become the property of the TOWN upon the receipt and production of such items by the CONTRACTOR. The TOWN acknowledges that such materials are being prepared with respect to the specific project contemplated hereby and that any reuse of such materials by the TOWN in connection with any other project shall be at the TOWN’s sole risk, unless otherwise agreed to by the CONTRACTOR in writing.
2.7 The CONTRACTOR shall be responsible for the professional and technical accuracy, and for the coordination, of all designs, drawings, specifications, estimates and other work or services furnished by CONTRACTOR or its consultants and subcontractors. SERVICES OF THE CONTRACTOR. 1.1. All work shall be in accordance with the attached RFP xxxxx and the Contractor’s response to the RFP xxxxx attached hereto as Exhibit A and incorporated herein by reference. Should there be any discrepancy between Exhibit A and this Agreement the terms and conditions of this Agreement shall prevail.
SERVICES OF THE CONTRACTOR. For the duration of the contract the Operator will perform extraordinary maintenance of the PV plant. The Extraordinary maintenance includes any activity required to repair faults and malfunctions of the plant, including the actions developed to repair and/or replacement of defective components and/or damaged. The Corrective Maintenance Services will not include: · the repairing or maintenance of any equipment of the System which was not within the Works under the EPC Contract; · the repairing or maintenance of any equipment beyond the Cabina di Consegna; · the repairing or maintenance of any equipment of the System due to the occurrence of a Force Majeure event; · the repairing or maintenance of any equipment in the event of, or resulting from, any alterations or repairs to the System made by the Principal without the Contractor's prior written approval. In the above case the repairing or maintenance of any equipment will be managed as Non-Subscription Services. Under the Corrective Maintenance Services, the O&M Contractor will proceed with the replacement of the broken down sub-component with another new or reconditioned sub-component of the same quality (Photovoltaic broken modules will be replaced with new parts only). c. Spraying will be 3 times a year, in early Spring; Treatment of 11 surface areas which includes; retention pond and canal.

SERVICES OF THE CONTRACTOR. A. The CONTRACTOR shall provide all goods and services as stated in the ITB and the Specifications referenced therein in accordance with the Bid Proposal (hereinafter referred to as “Work”), which are incorporated herein by reference, to that degree of care and skill ordinarily exercised, under similar circumstances, by reputable members of its profession practicing in the same or similar locality at the time the Work is provided.
B. The Work provided by CONTRACTOR shall be commenced subsequent to the execution and approval of this Contract and upon receipt of purchase order and written notice from the CITY to proceed
SERVICES OF THE CONTRACTOR. The Services to be performed by the Contractor shall at all times be subject to the inspection of the Commissioner. Acceptance by the Commissioner of any work or document hereunder shall not relieve the Contractor of sole responsibility for completing the Project as expressly set forth in this Agreement, in accordance with all applicable laws and regulations.
SERVICES OF THE CONTRACTOR. During the term of this Agreement, the Contractor shall devote his skills and best efforts in the performance of the services set forth on exhibit A to this Agreement (the "Services").
SERVICES OF THE CONTRACTOR. Services provided under this Contract include the items of work awarded for either Bid Schedule #1, Bid Schedule #2, or both bid schedules of services. Portions of the scope of work may not be applicable to this Contract if specific portions of the scope are not awarded under this Contract. Services include debris clearing from public rights‐of‐way immediately after a storm/disaster (70 Hour Push); and removal of debris and providing supplies/equipment as needed to assist the City with recovery efforts. Attachment 1 to this Contract provides more detailed information on the Scope of Services. The Bid Sheet included with the Proposal Document outlines all of the pay items and their pricing information associated with this Contract. There is no way to anticipate every recovery service that will be needed for a particular disaster at the time of this “pre‐event” bid/contract; therefore, upon mutual agreement, additional pay items may be added by Change Order as needed. The City reserves the right to delete from the Scope individual pay items and authorize individual pay items as part of specific work assignments. The City also reserves the right to award portions of work to separate contractors. One Contractor may be awarded any one (or more) individual bid items within this Scope.

x. Xxxxxx Park Maintenance Agreement This is an agreement for a one year contract to perform complete maintenance on both baseball fields located at Ormond Park. This proposal includes grass cutting, spraying, and fertilization. It is imperative that the seeding, grass cutting, spraying, and fertilization are scheduled seamlessly to insure that the Bermuda grass meets its maximum growth potential. This process will allow For a durable and aesthetically pleasing playing surface. Included in the price of the cutting, we will also take care of the dirt infield and home plate areas to ensure proper drainage and to maintain consistent dirt/grass edges. The following prices are for both fields and includes all materials, labor, and expertise to allow the fields to reach their maximum potential.
