OBSERVANCE OF STATUTORY REQUIREMENTS. 23.1 The Contractor shall comply with all statutory and other provisions to be observed and performed in connection with the provision of the Services and shall indemnify the Trust against all actions, claims, demands, proceedings, damages, costs, charges and expenses whatsoever in respect of any breach by the Contractor of this condition.
OBSERVANCE OF STATUTORY REQUIREMENTS. The Service Provider shall comply with all statutory and other provisions to be observed and performed in connection with the Services provided under this Contract with particular regard to health and safety of employees and of the public and shall indemnify and keep indemnified the Council accordingly.
OBSERVANCE OF STATUTORY REQUIREMENTS. The Partners shall comply and ensure that their employees, agents and sub-contractors shall comply with all the relevant legal provisions, whether in the form of orders, regulations, statutes, statutory instruments, codes of practice, bye laws, directions or governmental guidance or the like, to be performed in connection with this Partnership arrangements under this Agreement.
OBSERVANCE OF STATUTORY REQUIREMENTS. The parties to this Contract shall comply with all statutory and other provisions to be observed and performed in connection with the commissioning and provision / delivery of the Service under this Contract and any relevant nationally recognised Codes of Practice, Codes of Conduct, Regulations, Standards and Guidance.
OBSERVANCE OF STATUTORY REQUIREMENTS. 19.1 The Contractor shall comply with all statutes, orders, regulations or bye-laws applicable to the performance of the Contract and indemnify the Council against any losses claims liabilities costs expenses proceedings or otherwise as a result of the Contractors non compliance with the same.
OBSERVANCE OF STATUTORY REQUIREMENTS. The Grant Recipient shall comply with all statutory and other provisions to be observed and performed in connection with the Project. This includes those relating to employment of staff, payment of salaries and wages (such as income tax and National Insurance contributions), premises and health and safety legislation. and (without prejudice to the generality of the foregoing) in particular:
(a) the Equality Xxx 0000 (and insofar as they remain in force the Race Relations Ac 1976 (as amended), the Race Relations (Amendment) Xxx 0000, the Sex Discrimination Xxx 0000, the Disability Discrimination Xxx 0000, the Disability Discrimination Act 2005) and all relevant codes of practice issued by the Equality and Human Rights Commission or comparable body;
(b) the Health and Safety at Work Xxx 0000 in order to protect the health and safety of personnel and those of the Authority and all other people and to adopt safe methods of work; and
(c) the Modern Slavery Xxx 0000 and any other applicable anti-slavery and human trafficking laws, statutes, regulations and codes from time to time in force.
OBSERVANCE OF STATUTORY REQUIREMENTS. 13.1. The Agency shall ensure that the Services delivered by the Agency, shall:
(a) comply with all applicable laws, regulations, regulatory policies, guidelines or codes in each case from time to time in force, including all such guidelines and codes issued by statutory, regulatory and industry bodies;
(b) not infringe the Intellectual Property Rights or proprietary rights of any third party; and
(c) not be defamatory, libellous, obscene or otherwise offensive.
13.2. The Agency shall indemnify the Authority and the Authority’s Affiliates (together Indemnified Parties) against all liabilities, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other reasonable professional costs and expenses suffered or incurred by the Indemnified Parties (Losses) arising out of or in connection with any third-party claims or any action, adjudication or decision taken against the Indemnified Parties by any regulatory body, in each case directly or indirectly arising (in whole or in part) out of any breach by the Agency of clause 13.1.
13.3. The indemnity in clause 13.2 shall not extend to any Losses if the same are caused by:
(a) any breach of this Agreement by the Authority; or
(b) the negligence or fraud of any of the Indemnified Parties.
13.4. If either the Agency or the Authority becomes aware that there is risk that any part of the Services is not in compliance with clause 13.1, each shall promptly notify the other, and, without prejudice to any other right or remedy of the Authority, the Agency shall make any modifications which may be necessary to remedy that defect in the Services or part thereof. Any modifications shall be at the Agency's cost unless the problem was due to the Authority’s act or omission and/or to any material error in the Authority’s Property and/or any information provided by the Authority to the Agency in relation to the relevant part of the Services.
13.5. The Authority shall ensure that the Agency's possession and use of the Authority’s Property in the exercise of the Agency's obligations under this Agreement shall not infringe the Intellectual Property Rights or proprietary rights of any third party.
OBSERVANCE OF STATUTORY REQUIREMENTS. In carrying out their respective obligations under this Agreement, the Parties shall comply at all times with the Law.
OBSERVANCE OF STATUTORY REQUIREMENTS. 18.1 The Consultant shall comply with all statutes, orders, regulations or bye-laws applicable to the performance of the Contract and indemnify the Council against any losses claims liabilities costs expenses proceedings or otherwise as a result of the Consultants non compliance with the same.
OBSERVANCE OF STATUTORY REQUIREMENTS. 23.1 Fusion shall comply with all relevant legal provisions to be observed and performed in connection with the provision of the Community Services at the Facility.
23.2 Fusion shall at all times comply with the requirements of the Health and Safety At Work etc act 1974 and any other act, regulation, order or rules of law relating to health and safety.
