Pension and Other Employee Plans. Except as provided in Section 3.1.3 above, debts, obligations or liabilities under any pension, profit sharing, savings, retirement, health, medical, life, disability, dental, deferred compensation, stock option, bonus, incentive, severance pay, group insurance, vacation or other similar employee plans or arrangements, or under any policies, handbooks, or custom or practice, or any employment agreements, whether express or implied, applicable to any of Seller's employees at any time through and including the Closing Date.
Pension and Other Employee Plans. Sponsorship, debts, obligations or liabilities under any pension, profit sharing, savings, retirement, health, medical, life, disability, dental, deferred compensation, stock option, bonus, incentive, severance pay, group insurance or other similar employee plans or arrangements, (however, excluding any accrued but unpaid vacation time, which shall be subject to the terms of Section 9.2 hereof) or under any policies, handbooks, or custom or practice, collective bargaining agreement, or any employment agreements, whether express or implied, applicable to any of Seller's employees at any time.
Pension and Other Employee Plans. Debts, obligations or liabilities that accrue under any pension, profit sharing, savings, retirement, health, medical, life, disability, dental, deferred compensation, stock option, bonus, incentive, severance pay, group insurance or other similar employee plans or arrangements, or under any policies, handbooks, custom or practice, collective bargaining agreements, or employment agreements (collectively the "PLANS"), whether express or implied, applicable to any of Seller's employees that accrue at any time through and including the Closing Date or for claims of wrongful discharge, employment discrimination or other similar actions at any time through and including the Closing Date and for claims after the Closing Date which relate to any of Seller's employees not being offered employment by Buyer.
Pension and Other Employee Plans. Schedule 2.20 attached hereto lists all benefit plans and, without duplication, all employee benefit plans and collective bargaining, employment or severance agreements or other similar arrangements to which JANY is a party or by which it is bound, legally or otherwise, including without limitation (i) any profit-sharing, deferred compensation, bonus, stock option, stock purchase, pension, retainer, consulting, retirement, severance, welfare or incentive plan, agreement or arrangement, (ii) any plan, agreement or arrangement providing for "fringe benefits" or perquisites to employees, officers, directors or agents, including but not limited to benefits relating to JANY's automobiles, clubs, vacation, child care, parenting, sabbatical, sick leave, medical, dental, hospitalization, life insurance and other types of insurance, (iii) any employment agreement, or (iv) any other "employee benefit plan" within the meaning of ERISA). Seller has delivered to Purchaser true and complete copies of all current governing documents and summary plan descriptions with respect to such plans, agreements and arrangements, or summary descriptions of any such plans, agreements or arrangements not otherwise in writing. JANY is in compliance with the applicable provisions of ERISA (as amended through the date of this Agreement), the regulations and other published regulatory authorities thereunder, and all other laws applicable with respect to all benefit plans. JANY has performed all of its obligations under all benefit plans. To the knowledge of Seller, there are no Actions (other than routine claims for benefits) pending or threatened against such benefit plans of their assets, or arising out of such benefit plans, and, to the knowledge of Seller, no facts exist which could give rise to any such Actions. Other than as indicated on Schedule 2.20 attached hereto:
(a) JANY neither maintains, sponsors nor contributes to any program or arrangement covering employees of JANY that is an "employee pension benefit plan," an "employee welfare benefit plan," or a "multi-employer plan" as such terms are defined in Sections 3(2), 3(1) and 3(37), respectively, of the Employee Retirement Income Security Act of 1974, as amended ("ERISA") ("ERISA Plans"), or any other incentive or benefit arrangement ("Non-ERISA Plans");
(b) No ERISA Plan (or any trust created thereunder) has engaged in a "prohibited transaction" within the meaning of Section 406 of ERISA or Section 4975 of the Internal Reven...

Pension and Other Employee Plans and Agreement Other than the AIM stock option plan, AIM does not maintain or contribute to any Employee Plan. The AIM Stock Option Plan has been approved by the AIM Shareholders and was adopted by AIM in accordance with the requirements of Canadian Securities Laws.
