POLICIES, PROCEDURES AND GUIDELINES. The client agrees to follow all local, state, and federal laws and regulations and abide by all University Policies and Procedures, some of which are outlined below. Violation of these or any other University policies may result in suspension of reservation privileges for up to one academic year. POLICIES, PROCEDURES AND GUIDELINES. HCO (including its Users) must comply with SELECTHEALTH’s then-current policies, procedures, and guidelines for (a) security, (b) protection of PHI, and (c) access to or use of the Services, Data Repository, Licensed Software, or any of SELECTHEALTH’s computer systems, networks, or communication systems. SELECTHEALTH will make the applicable policies and procedures as easy to access as reasonably practicable.
POLICIES, PROCEDURES AND GUIDELINES. Distributor has developed or will develop for use in the Territory various policies, procedures and guidelines. Details of such policies, procedures and guidelines will be provided to Supplier in writing and will be binding on Supplier from the date of issuance so long as they do not contradict the express terms of this Agreement. POLICIES, PROCEDURES AND GUIDELINES. Distributor hereby acknowledges and agrees that it has read and understands the ExxonMobil Policies, Procedures and Guidelines (individually referred to as a “Policy”, “Procedure” or “Guideline” and collectively referred to as the “Policies, Procedures and Guidelines”). Distributor agrees to comply with, and to ensure that its employees, contractors, agents, Sub-distributors, Sellers, and permitted assigns comply with, the Policies, Procedures and Guidelines. ExxonMobil may from time to time change, delete, add to, or supplement the Policies, Procedures and Guidelines by providing written or electronic notice to Distributor via a Network update or in accordance with Section 14.2. The obligation on the part of Distributor to comply with such updated Policies, Procedures and Guidelines will be automatically incorporated into this Agreement upon provision of such notice. Distributor agrees to check the Network, or any successor system, at least once every week during the Term of this Agreement, and to read all announcements so provided, including any updates to the Policies, Procedures and Guidelines.
POLICIES, PROCEDURES AND GUIDELINES. The Company’s policies, procedures and guidelines as prescribed, amended and published from time to time are not incorporated into and do not form part of this Agreement, nor do they impose contractual obligations on the Company or give rise to contractual rights enforceable by you. Where such obligations arise, it is a condition of your employment with the Company and under this Agreement that you comply with these obligations as a lawful and reasonable direction issued to you by the Company. You are also obliged under this Agreement to undertake related training in relation to such policies, procedures and guidelines as requested from time to time. Policies, procedures and guidelines may be added to, modified or withdrawn at any time and in the event that there is a conflict between this Agreement and the policies, procedures and guidelines this Agreement will prevail. Failure to comply with the Company’s policies, procedures and guidelines may be taken into account in assessing your performance and your conduct as an employee. Conduct which is in breach of policies, procedures or guidelines or refusing to undertake training in relation to policies, procedures or guidelines, may in particular cases justify disciplinary action, up to and including termination of employment without notice or without payment in lieu of notice. You should therefore ensure that you are familiar with the Company’s policies, and procedures and guidelines, which can be obtained from the company’s intranet, your Manager or the Human Resources team.

  • OPERATIONAL PROCEDURES In order to minimize operational problems, it will be necessary for trade information to be supplied in a secure manner by the Subadviser to the Fund’s Service Providers, including: JPMorgan Chase Bank, National Association (the “Custodian”), Virtus Fund Services (the “Fund Administrator”) BNY Mellon Investment Servicing (US) Inc., (the “Sub-Accounting Agent”), any Prime Broker to the Series, and all other Counterparties/Brokers as required. The Subadviser must furnish the Fund’s service providers with required daily information as to executed trades in a format and time-frame agreed to by the Subadviser, Custodian, Fund Administrator, Sub-Accounting Agent and Prime Broker/Counterparties and designated persons of the Fund. Trade information sent to the Custodian, Fund Administrator, Sub-Accounting Agent and Prime Broker/Counterparties must include all necessary data within the required timeframes to allow such parties to perform their obligations to the Series. The Sub-Accounting Agent specifically requires a daily trade blotter with a summary of all trades, in addition to trade feeds, including, if no trades are executed, a report to that effect. Daily information as to executed trades for same-day settlement and future trades must be sent to the Sub-Accounting Agent no later than 4:30 p.m. (Eastern Time) on the day of the trade each day the Fund is open for business. All other executed trades must be delivered to the Sub-Accounting Agent on Trade Date plus 1 by Noon (Eastern Time) to ensure that they are part of the Series’ NAV calculation. (The Subadviser will be responsible for reimbursement to the Fund for any loss caused by the Subadviser’s failure to comply with the requirements of this Schedule A.) On fiscal quarter ends and calendar quarter ends, all trades must be delivered to the Sub-Accounting Agent by 4:30 p.m. (Eastern Time) for inclusion in the financial statements of the Series. The data to be sent to the Sub-Accounting Agent and/or Fund Administrator will be as agreed by the Subadviser, Fund Administrator, Sub-Accounting Agent and designated persons of the Fund and shall include (without limitation) the following:
