Preliminary Activities. 1.1 At the time of membership, the General Clearing Member will have to fill and send to CC&G, by registered mail or courier and anticipated by e-mail, the origianl copy of the form in Annex B.122B, containing the names of the personnel authorized to request the suspension of the Trading Clients from the Section/s membership and the related revocation. This form will have to be sent again to CC&G, replacing the previous one, at every change of authorized personnel.
1.2 Upon recipt of the form as at point 1.1, CC&G will send by e-mail, to each person indicated therein, a notification of receipt and an individual password to be used in case of request for suspension or its revocation as provided at points 2.1 (fourth line) and 3.1 (fourth line). The passwords will be changed whenever it deems appropriate by CC&G and disclosed to authorized persons well in advance.
Preliminary Activities. Prior to commencement of any construction, demolition, additions or other modifications to the Premises during the term of this Lease, Concessionaire shall familiarize itself with the Board's Tenant Design Manual and the DFW Design Criteria Manual. Concessionaire shall comply with the provisions of the Tenant Design Manual and the prescribed provisions of the DFW Design Criteria Manual.
Preliminary Activities. 5.1. Before deciding on the commercial exploitation of the Slag deposit, such further investigations and studies (referred to as preliminary activities) are necessary to determine the feasibility of the investment, the construction and processing activities.
5.2. The costs and expenses incurred by the Parties prior to the setting up of the J.V. and approved by the Board of Directors (and by an independent auditor, if necessary) shall be considered as a contribution against the obligation of the Parties to provide with the capital contribution of the J.V. pursuant to Article 3.1. of this Agreement.
5.3. The technical and administrative services needed to carry out the preliminary activities shall as far as possible be rendered by the Parties or their affiliated companies on such terms and conditions considered reasonable and acceptable by the Board of Directors.
5.4. Upon completion of the preliminary activities and after the analysis of the cobalt contents of the Slag deposit in accordance with Article 3 of the Frame Agreement, the Parties shall take their final decision as to whether they begin to invest, construct and initiate the Processing operations. That decision shall be taken no later than six months after the signing of this Agreement, provided OMG and/or GGF have not made use of the right to withdraw.
Preliminary Activities. 3.3.1 The Criteria A/E shall schedule, conduct, and participate in meetings with the Contracting Authority and Owner:
3.3.1.1 to assist the Contracting Authority and Owner with assembling the Evaluation Committee (as described under OAC 153:1-6-02);
3.3.1.2 to identify design-builder qualifications criteria required for the Project and to determine how those criteria will be evaluated in the qualifications phase of the selection;
3.3.1.3 to identify the performance criteria and pricing criteria required for the Project and to determine how they will be evaluated and weighted in the request for proposal phase of the selection;
3.3.1.4 to identify and document any minimum or mandatory technical requirements for the project;
3.3.1.5 to establish a process for maintaining records of decisions made at all stages of the selection process; and
3.3.1.6 if appropriate, to determine the amount of any stipend to be paid to the non-selected short-listed design-build firms for a responsive pricing and technical proposal.
Preliminary Activities. 3.1.1 FRESENIUS shall use commercially reasonable efforts in performing the Preliminary Activities in accordance with the provisions of this Agreement and in completing the Preliminary Activities within the time frame set forth in Exhibit A.
3.1.2 In order to facilitate execution of the Preliminary Activities, TRANSMEDICS shall supply FRESENIUS with the TRANSMEDICS Know-How.

Newport City Council will use the Implementation Grant in accordance with Welsh Ministers’ grant conditions unless otherwise agreed in advance and in writing by the Home Authorities and Welsh Ministers. Newport City Council shall provide the other Home Authorities with a copy of the Welsh Government grant conditions referred to in Clause 4.1 and shall provide such details as the other Home Authorities may require for the purposes of demonstrating how the Implementation Grant was spent.
Preliminary Activities. (a) The Parties shall use commercially reasonable efforts to conduct the preliminary activities as set forth on Exhibit I (the “Preliminary Activities”). The Parties shall share the Third Party out-of-pocket costs associated with the Preliminary Activities *; provided, however, that Third Party legal costs associated with the negotiation and finalization of the Ancillary Documents shall be paid 100% by the Party incurring such costs. Each Party shall be responsible for all of the costs and expenses of its employees in connection with the Preliminary Activities at such Party’s sole expense, including incidental expenses such as travel, home office, and benefits.

Preliminary Activities to be conducted by each Party between the Effective Date and the Closing Date (the “Preliminary Work Plan”). The Preliminary Work Plan shall include a separate “FEED Engineering Work Plan” that shall set forth in detail the FEED Engineering Activities to be conducted. Such plans shall include the specific tasks, deliverables, deadlines and budget for each activity as well as which Party shall conduct the applicable activity. The approved Preliminary Work Plan shall be deemed a replacement for Exhibit I (as it exists on the Effective Date) and incorporated herein. After Steering Committee approval, the Preliminary Work Plan may be amended by mutual agreement of the Parties or the unanimous vote of the Steering Committee.
(c) Solazyme shall use commercially reasonable efforts to complete FEED Engineering Activities by December 31, 2011. Bunge shall use commercially reasonable efforts to facilitate the completion of the FEED Engineering Activities, including providing Solazyme or its engineering contractors with reasonable access to the site that the Parties select for the Plant and to project personnel of the Bunge Affiliate associated with such site to the extent reasonably required by Solazyme...
