Price Commitment. Icosavax will ensure that it or its manufacturing and/or commercial partner(s) sell the Covid Vaccine to Public Sector Purchasers for use in Eligible Countries for the Charitable Purpose at no more than [***] above the combined COGS for Covid Vaccine [***] (the “Price Commitment”).
Price Commitment. (i) Upon WHOPQ, and in compliance with applicable laws and regulations, Company will offer and provide to Public Sector Purchasers the Aggregate Minimum Supply at the Annual Minimum Supply (as set forth in section 3(d)) of the Released Product for Maternal Immunization in the Developing Countries at a maximum price as reflected in Table A:
Price Commitment. (a) The overall minimum plan pricing of the Program Service provided (not including administrative and miscellaneous fees as set out in our Schedule of Fees and Charges) will not be increased for three years from the commencement of this Agreement.
(b) The total plan pricing over three years from commencement of this Agreement (not including administrative and miscellaneous fees as set out in our Schedule of Fees and Charges) will be capped at the following amounts:
(i) $1,428.20 (GST inclusive), where the Program Service is an AdamMax 512 Light Entry Level Service; and $1,618.20 (GST inclusive), where the Program Service is an AdamMax 512 Medium Entry Level Service; or
(ii) $1,618.20 (GST inclusive), where the Program Service is an AdamMax Open Starter Entry Level Service; $1,978.20 (GST inclusive), where the Program Service is an AdamMax Open Light Threshold Service; $2,158.20 (GST inclusive), where the Program Service is an AdamMax Open Medium Threshold Service; $2,518.20 (GST inclusive), where the Program Service is an AdamMax Open Average Added Value Service; $3,058.20 (GST inclusive), where the Program Service is an AdamMax Open Super Added Value Service; $3,778.20 (GST inclusive), where the Program Service is an AdamMax Open Premium Added Value Service; and $4,498.20 (GST inclusive), where the Program Service is an AdamMax Open Ultra Added Value Service; or
(iii) $3,024 (GST inclusive), where the Program Service is a SmartBiz AdamMax Starter Added Value Service; $3,384 (GST inclusive), where the Program Service is a SmartBiz AdamMax Light Added Value Service; $4,104 (GST inclusive), where the Program Service is a SmartBiz AdamMax Medium Added Value Service; $5,904 (GST inclusive), where the Program Service is a SmartBiz AdamMax Average Added Value Service; $7,344 (GST inclusive), where the Program Service is a SmartBiz AdamMax Super Added Value Service.
Price Commitment. “Price Commitment” shall mean, with respect to any Mortgage Loan, the confirmation issued to Seller with the terms and conditions under which Seller is obligated to sell and THDA is obligated to purchase such Mortgage Loan, including, without limitation, terms and conditions relating to Mortgage Product, Purchase Price, Mortgage Interest Rate, Lock Expiration Date, and issued in accordance with the OA Guide or Seller Guide and a Product Term Sheet and Daily Pricing Sheet then in effect. A Price Commitment issued for any Mortgage Loan shall expire on the date specified therein.
Price Commitment. During the effective term of this Agreement, prices for PRODUCTS and SERVICES not specified in Appendix D Supplier shall provide a Price Commitment for each Order entered by Purchaser and accepted by Supplier for PRODUCTS and SERVICES and/or Services according to the following schedules or as mutually agreed to by Purchaser and Supplier:
1. For Services only, Supplier shall provide the Price Commitment six (6) weeks after the Order placement date but in no event later than thirty (30) days prior to the date of the first invoice.
2. If Supplier is also providing PRODUCT, Supplier shall provide the Price Commitment eight (8) weeks prior to the scheduled PRODUCT main ship date but in no event later than thirty (30) days prior to the date of the first invoice.
3. For short interval Orders, i.e., less than Supplier’s published standard intervals as specified in Appendix E, the Price Commitment must be received prior to issuance of the applicable invoices. If Supplier provides a mechanized detailed summary, the associated data layouts must conform to American National Standards Institute (ANSI) standards as interpreted by the Telecommunications Industry Forum (TCIF) and Purchaser’s supplements to these standards and must be provided in the same format as the mechanized invoice and transmitted in a mode specified by Purchaser. If the mechanized detailed summary is in addition to a manual (paper) summary provided with the Price Commitment, the mechanized summary must be provided no later than thirty (30) days prior to the date of the first invoice. If provided in lieu of a manual (paper) process, the mechanized detailed summary must be provided in accordance with the dates specified for the Price Commitment. This Price Commitment must reflect any and all applicable discounts and include the following:
1. A detailed summary of PRODUCT including SOFTWARE to be provided. This detailed summary must include prices at the “Retirement Unit/Property Record level” (individual items of PRODUCT having unique functions and identity) as prescribed in FCC Rules and Regulations for class “A” Telephone Companies, coded per Telcordia publication TR-ISD-000325 (formerly PUB 52004) and furnished in a format suitable for direct entry into Purchaser’s applicable mechanized system.
2. Each Service must be priced in sufficient detail to identify costs directly associated with additions, removals, rearrangements and modifications as well as to provide costs for each component of the SERV...
Price Commitment. Bidders providing equipment through this solicitation will not be allowed to charge interest.

(ii) Notwithstanding Table A, within three (3) months prior to the estimated date for WHOPQ, and unless otherwise agreed by the Parties, at every third anniversary thereafter, coinciding with UNICEF tenders, the Parties shall, in good faith, discuss applicable adjustments to the Price Commitment (whether upwards or downwards) to proportionately, fairly, and reasonably reflect the factors set forth in Appendix C, including the impact on such factors caused by external or internal circumstances, including inflation, currency fluctuations, efficiencies of scale, product demand and yield improvements. In preparation for considering any such price adjustment, in the event that there are changes in [**] Costs that, in the aggregate exceed [**] since the last calculation, then Company shall provide to the Foundation an update to its [**] Costs consistent with Appendix C and the Foundation’s COGS Principles and Assessment Methodology Handbook, at least sixty (60) days in advance of such third anniversary and the Parties shall meet in good faith to discuss such changes within sixty (60) days after Company provides the Foundation with such update. In the event of any conflict between Appendix C of this GACA and the Foundation’s COGS Principles and Assessment Methodology Handbook, Appendix C of this GACA shall control. Price Commitment. 1. Bidders providing equipment through this solicitation will not be allowed to charge interest.
2. Bid discounts/prices must include delivery (F.O.B.), set up of equipment in user location, instruction in operation, technical assistance, all consumables (except paper & staples) and operation manuals.
3. Agencies will not be required to purchase any component, accessory, or feature of the copier for any reason. (This does not apply to software licensing requirements.)
4. Any promotion offered in conjunction to this contract will be specifically limited to the models that are listed on the Official Bid Price Sheet and included in the contract award.
5. OSP will have final approval as to which items proposed will be included in the contract award.

As part of SDA’s commitment to paying its suppliers a market competitive milk price, SDA undertakes that the weighted average price paid to suppliers at the end of the Milk Year will be at least equivalent to the weighted average price of the other two largest milk processors in the Southern Milk Region.
