PRODUCT MAINTENANCE. Licensor is not obligated to provide maintenance, support or updates to You for the Product.
PRODUCT MAINTENANCE. On an as-available basis, Questica will provide enhancements, modifications or upgrades to the Software as Questica may from time to time make available to its Subscribers generally (“Updates”) but excluding any New Product (a “New Product” being a solution which, in Questica’s determination and subject to general industry standards, does not replace the Software licensed hereunder.) Updates do not include:
I. Platform extensions including product extensions to (i) different hardware platforms; (ii) different windowing system platforms; (iii) different operating system platforms
II. New applications
III. Services associated with the application or installation of Updates If requested, Questica will provide assistance in the testing of any site-specific customizations. Questica will provide a quote for any required rework associated with customizations resulting from the upgrade.
PRODUCT MAINTENANCE. ECT shall have no obligation to repair or maintain any product furnished hereunder following the warranty period for such product, unless the Buyer and ECT shall have first entered into a separate maintenance agreement in writing respecting such product.
PRODUCT MAINTENANCE. Sonatype will provide Product Maintenance pursuant to the terms of the support policy set forth at xxxx://xxx.xxxxxxxx.xxx/Usage/Software-Support-Policy.
PRODUCT MAINTENANCE. Vendor shall commence Maintenance and Support Services upon the Acceptance of the Product in accordance with the terms of this Agreement and Exhibit 5.1, Maintenance and Support. BTE shall have the right to purchase and Vendor shall provide Maintenance and Support Services on an annual basis for a period of [**] additional years following the expiration of the Product Performance Warranty Term for the last purchase of the applicable Equipment, subject to BTE’s right to discontinue such services in accordance with Section 5.3; provided, however, that Vendor’s obligation to provide such Maintenance and Support Services for this period is subject to BTE continuing to purchase Maintenance and Support Services (which shall include BTE’s purchase of any level of Maintenance and Support Services offered by Vendor under Section B.1 or B.2 of Exhibit 2.2) during such period. Vendor shall offer the Maintenance and Support Services in accordance with the annual Pricing set forth in Exhibit 2.2, Pricing Schedule, for the period set forth in this Section 5.2. In the event that BTE discontinues the purchase of such Maintenance and Support Services from Vendor, Vendor’s obligation to maintain such services pursuant to this Section 5.2 shall terminate. Vendor shall perform the Maintenance and Support Services at no additional cost to BTE during the Product Performance Warranty Term. PRODUCT MAINTENANCE. RSA may provide new revisions of Software and may provide continuous support and maintenance for Products in accordance with RSA’s then current policies and procedures (“Product Maintenance”), at no additional charge during the Evaluation Period. During the Evaluation Period, Customer shall:
i. not move the Product from the Installation Site without RSA’s approval;
ii. maintain an environment consistent with Product specifications;
iii. notify RSA promptly if the Product fails; and
iv. permit changes to the Product by RSA at RSA’s expense which do not adversely affect performance or interchangeability or are required by law or for safety or reliability. Failure to comply with the foregoing shall allow RSA to terminate this Agreement or the applicable Schedule without liability or obligation to Customer. RSA may change the scope of Product Maintenance at any time. Product Maintenance does not include efforts to remedy, repair or replace Products as a result of:
i. accident or neglect;
ii. problems relating to or residing in other items or services with which the Product(s) are used;
iii. installation not in accordance with RSA's instructions or the applicable specifications;
iv. use in an environment, in a manner, or for a purpose for which the Product was not designed; or
v. installation, modification, alteration or repair by anyone other than RSA or its authorized representatives. All replaced Equipment or portions thereof shall be returned to and become the property of RSA. Customer authorizes RSA to store diagnostic programming tools and related materials used in warranty or maintenance services at Customer’s site, but Customer shall (1) not copy or make any use thereof whatsoever; and (2) protect such tools and related materials from disclosure to any third party and give RSA reasonable access thereto.
PRODUCT MAINTENANCE. (a) MYOB provides improvements and enhancements to the Software from time to time, including Software updates and bug fixes (Product Maintenance). Please refer to section 11 for further information.
PRODUCT MAINTENANCE. (a) Subject to your timely payment of all applicable Fees, GDI or its designated provider will provide you with Maintenance for the Product. Maintenance terms automatically renew unless cancelled by either party with written notice at least 30 days before the renewal date.
PRODUCT MAINTENANCE. 46 Labs shall not replace, and the Customer shall be responsible for the full cost of replacement of Product in the event of damage: (a) to consumable parts, such as batteries, or protective coatings designed to diminish over time unless failure has occurred due to a defect in materials or workmanship; (b) to cosmetic damage, including but not limited to scratches, dents, and broken plastic on ports; (c) to damage caused by use with other products; (d) to damage caused by accident, abuse, misuse, liquid contact, fire, earthquake or other external causes; (e) to damage caused by operating the product outside the permitted or intended uses described by 46 Labs;
PRODUCT MAINTENANCE. In consideration of the annual maintenance fees to be paid hereunder and for so long as (i) you are current in your payment of such fees and (ii) not in material breach of this Agreement, Tresys shall provide to you Product Maintenance Updates and Software Error Repair (“Product Maintenance”). The fees charged for Product Maintenance may be changed for subsequent annual periods and Product Maintenance may be modified or discontinued by Tresys on reasonable notice, not to exceed sixty (60) days. If discontinued, you shall receive a refund of maintenance fees equal to the unused portion that you have paid. Prior to expiration of any Product Maintenance period, you will be notified as to Product Maintenance then-current pricing. Product Maintenance for the Software will expire at the end of a term if not timely renewed and paid for.
