Provider Equipment. Any equipment such as wireless routers, modems or similar interior or exterior use equipment provided by the Provider, including any wiring or antenna attached to Subscriber property, installed by the Provider or the Subscriber (including passive and active devices, the “Provider Equipment”) shall at all times remain the property of the Provider or its designee. The Provider may, at its option, provide Subscriber with new or reconditioned equipment. Subscriber may not sell, transfer, lease, encumber or assign all or any part of the Provider Equipment.
Provider Equipment. Provider shall be responsible for providing any Equipment other than the Company Provided Equipment that is necessary or required to provide the Services (collectively, the “Provider Equipment”). Provider shall install, operate, manage and maintain all of the Provider Equipment, in accordance with the maintenance schedules recommended by the applicable Equipment manufacturer. All Provider Equipment shall be currently supported by the applicable Equipment manufacturer. Notwithstanding the location of Provider Equipment at a Company Facility, all right, title and interest in and to any such Provider Equipment shall be and remain in Provider, and Company shall not have any title or ownership interest in the Provider Equipment; provided, however, by the delivery of written notice to Provider, Company may elect to cause Provider to transfer to Company or its designee ownership of any Provider Equipment designated by Company in such notice that is no longer used in the performance of Services under this Agreement or any Order issued pursuant to this Agreement.

Customer shall not acquire any rights of ownership, title or interest other than applicable license/s granted pursuant to any SA, OF or SOW in any such Provider Equipment and shall not (whether by operation of law or otherwise), have any lien or other similar rights over such Provider Equipment. Customer acknowledges that it does not have right to make modifications, changes or alterations to the operating environment Provider Equipment without prior consent of the Provider and shall inform Provider promptly and in no event later than five (5) business days of any planned modification, changes or alteration in the operating environment for the Provider Equipment, the connection that may directly or indirectly impact the Services and / or the Provider Equipment. Customer acknowledges and agrees that if any failure by Customer to adhere to this section results in Service disruption or Service failure, under no circumstances will the Provider be liable for such Service disruption and/or failure. Provider shall be entitled to access any Customer Equipment located at Customer premises (including any Customer Equipment located in a private suite or locked cabinet) at any time for the purposes of performing maintenance or other works relating to hosting solution (including without limitation any software, application or hardware component), in the case of an emergency or for health and safety reasons. The Customer shall provide Provider with any security codes, access passes or keys necessary to enable access by Provider in accordance with this section. In respect of any Provider Equipment, the Customer shall: ▪ take reasonable care of that Equipment, such obligation to include prohibiting any person other than those authorised by Provider to damage, alter, tamper with, move, remove, replace or repair that Equipment; ▪ promptly inform InterCall of any damage to or loss of the Provider Equipment, where Customer is aware of the same; ▪ operate the environment in which the Provider Equipment is situated and the connectivity with due care and skill, and by using appropriately qualified personnel; ▪ maintain at its own cost any operating environment for that Provider Equipment, as may be reason...

  • Customer Equipment “Customer Equipment” means any Customer-owned or provided software, hardware or services that you elect to use in connection with the Service(s). You agree to allow us and our agents the rights to insert CableCARDs and other hardware in the Customer Equipment, send software and/or downloads to the Customer Equipment and install, configure, maintain, inspect and upgrade the Customer Equipment. You warrant you are either the owner of the Customer Equipment or that you have the authority to give us access to the Customer Equipment. You should call Customer Service at ▇-▇▇▇-▇▇▇-▇▇▇▇ to find out if it meets our technical, security and other requirements. We reserve the right to disallow the use of Customer Equipment that we determine is not compatible with our network. We shall have no obligation to provide, maintain, or service Customer Equipment, including, but not limited to, Customer Equipment to which the Company or a third party has sent software or downloads. If you use Customer Equipment, you agree that the following limitation of liability shall apply: THE COMPANY DOES NOT WARRANT THAT CUSTOMER EQUIPMENT WILL ENABLE YOU TO SUCCESSFULLY INSTALL, ACCESS, OPERATE, OR USE THE SERVICE(S). YOU ACKNOWLEDGE THAT ANY SUCH INSTALLATION, ACCESS, OPERATION, OR USE COULD CAUSE CUSTOMER EQUIPMENT TO FAIL TO OPERATE OR COULD CAUSE DAMAGE TO CUSTOMER EQUIPMENT, YOU, YOUR PREMISES OR COMPANY EQUIPMENT. NEITHER THE COMPANY NOR ANY OF ITS AFFILIATES, SUPPLIERS OR AGENTS SHALL HAVE ANY LIABILITY WHATSOEVER FOR ANY SUCH FAILURE OR DAMAGE, INCLUDING LACK OF 911/E911 CAPABILITY OR DIALING ASSOCIATED WITH A SECURITY SYSTEM. YOUR USE OF CUSTOMER EQUIPMENT MAY PREVENT PROVISION OF SERVICE. The foregoing limitation of liability is in addition to and shall not limit any other limitation of liability set forth in this Agreement.

  • Computer Equipment No computers and/or personal electronic devices, such as tablets and laptop computers, or any component thereof, may be purchased with funds provided under this Contract, regardless of purchase price, without prior written approval of ADMINISTRATOR. Any such purchase shall be in accordance with specifications provided by ADMINISTRATOR, be subject to the same inventory control conditions specified above in Subparagraphs 18.1.1 to 18.1.4, and, at the sole discretion of ADMINISTRATOR, become the property of COUNTY upon termination of this Contract.

  • Computer Equipment Recycling Program If this Contract is for the purchase or lease of computer equipment, then Contractor certifies that it is in compliance with Subchapter Y, Chapter 361 of the Texas Health and Safety Code related to the Computer Equipment Recycling Program and the Texas Commission on Environmental Quality rules in 30 TAC Chapter 328.
