Reporting and Review Requirements. (a) The Servicer shall send to the Agent, the Series Support Provider and the Trustee a Servicer's Certificate with respect to each Collection Period, such Servicer's Certificate to be in the form of that attached hereto as Exhibit D, not later than three (3) Business Days prior to the immediately succeeding Settlement Date. Such report shall also be sent to the Trustee in an electronic format acceptable to the Trustee. (b) By January 31 of each calendar year, commencing January 31, 2003, the Servicer shall prepare and distribute to the Agent a statement containing such information as is required to be provided by an issuer of indebtedness under the Code and such other customary information as is necessary or may reasonably be requested by the Agent to enable the Purchasers to prepare their tax returns. (c) The Series Support Provider or its designee shall, at Marlin's expense (not to exceed $52,500 per annum plus out-of-pocket costs and expenses) be permitted to conduct such audits of Marlin's origination, servicing and documentation procedures as the Series Support Provider shall deem necessary, but not more frequently than three times per year. In addition, the Series Support Provider or its designee shall have the right (1) as long as a Series Event of Default has not occurred and is not continuing, to conduct additional audits at the Series Support Provider's (or its designee's) expense, upon at least two Business Day's prior notice and (2) following the occurrence of and during the continuance of a Series Event of Default, to conduct audits as frequently as it deems necessary, at any time without prior notice and at Marlin's expense. (d) Xxxxxx shall provide the Agent and the Series Support Provider with a covenant compliance certificate (as part of the Servicer's Certificate), to the effect that, as of the end of each calendar quarter, Xxxxxx and each Obligor is in compliance with its respective covenants hereunder (listing any exceptions) signed by the Servicing Officer of Xxxxxx and delivered within 45 days of the end of such calendar quarter. (e) Xxxxxx shall provide the Agent and the Series Support Provider with consolidated and consolidating financial statements (consolidating financial statements to include, in columnar format, all wholly-owned subsidiaries of Xxxxxx, with the exception of subsidiaries that are special-purpose entities), in each case prepared in accordance with GAAP (i) unaudited, on a quarterly basis, within 45 days of the en...

Include cost and schedule status report. Present and discuss variances. Provide a full explanation of negative variances in excess of $50,000, including recovery plans. d. Contingency Management section, including contingency expenditures for the reporting period, update of graphical presentation of contingency usage and forecasts on potential, future contingency liens for the project. e. Summary of risk management activities for the reporting period. f. Discussion of any other issues relevant to project performance. 2. An Annual Performance Report will be submitted once per year, no later than one month prior a to a regular performance review of the project team. a. The Annual Performance Report will provide a comprehensive analysis of the project over the reporting period. The cognizant NSF Program Officer will work with the Awardee to determine the content, format, and submission time for this Annual Performance Report at least 90 days prior to submission. b. Should performance reviews be conducted more frequently than once per year, additional reporting may be required for any additional review. 3. The submission of this Annual Performance Report does not supersede NSF's requirement of an annual report submitted to NSF via Fastlane 3 months prior to the end of the 12-month reporting period. 4. A Final Project Report submitted for this CSA as set forth in CA-FATC, Article 15, "Final Report Requirements." 5. The content, format, and submission time for any additional reporting, exclusive of any actions required by NSF's Inspector General, will be established by the cognizant NSF Program Officer 90 days prior to any additional review. Reporting and Review Requirements. The Contractor shall collect outcome information as requested by the DSHS Program Manager. The Contractor shall gather information compiled on a monthly cumulative updated basis and forward electronically to the DSHS Program Manager by the 1 Oth of each month. The Contractor shall notify DSHS within 15 days of signing the Contract if the Contractor needs an alternate method other than the electronic format for data collection. Failure on the part of the Contractor to carry out the reporting requirements may result in nonpayment and/or termination of this Contract.

  • Contractor Requirements The Firm shall be construed, during the entire term of this contract, to be an independent contractor. Nothing in this contract is intended to nor shall be construed to create an employer- employee relationship, or a joint venture relationship. The Firm represents that it is qualified to perform the duties to be performed under this contract and that it has, or will secure, if needed, at its own expense, applicable personnel who are qualified to perform the duties required under this contract. Such personnel shall not be deemed in any way, directly or indirectly, expressly or by implication, to be employees of the District. Any person assigned by the firm to perform the services hereunder shall be the employee or a subcontractor of the Firm, who shall have the sole right to hire and discharge its employee or subcontractors. The Firm or its subcontractors shall pay, when due, all salaries and wages of their employees and accepts exclusive responsibility for the payment of federal income tax, social security, unemployment compensation and any other withholdings that may be required. Neither the Firm, its subcontractors nor their employees are entitled to state retirement or leave benefits. It is further understood that the consideration expressed herein constitutes full and complete compensation for all services and performance hereunder, and that any sum due and payable to the Firm shall be paid as a gross sum with no withholdings or deductions being made by the District for any purpose from said contract sum, except as permitted in paragraphs 16, 17 and 18.
